AIRPORT TERMINAL BUILDING I ].7e12I Members Present: Warren Bishop, Scott Clair (via Zoom), Judy Pfohl, Hellecktra Orozco Members Absent: Chris Lawrence Staff Present: Michael Tharp, Jennifer Schwickerath Others Present: Matt Wolford, Joe Roenfeldt, Ryan Story DETERMINE QUORUM A quorum was determined at 6:00 pm and Pfohl called the meeting to order. Bishop moved nominate Pfohl as Acting Chair for the meeting, seconded by Clair, motion carried 4-0 (Lawrence Absent). Clair moved to nominate Orozco as Acting Secretary for the meeting, seconded by Bishop. Motion carried 4-0 (Lawrence absent) APPROVAL OF MINUTES Bishop moved to accept the minutes, seconded by Orozco. Motion carried 4-0 (Lawrence Absent) PUBLIC COMMENT None. ITEMS FOR DISCUSSION / ACTION a. Community Foundation / Airport Fundraising Tharp gave an update on the progress stating that they had met with the Community Foundation to follow up the conversation from last meeting. Tharp thanked Schwickerath for leading much of the work to develop the fundraising statement. i. Consider a resolution A22-10 establishing charitable fund and use statement — Orozco moved the resolution A22-10, Seconded by Bishop. Resolution approved 4-0 b. Airport Signage/Wayfinding Tharp noted he didn't have anything new on this. He stated the FUEL team had given him a number of cost estimates that they were going to incorporate into the state grant application and that they'd have a more detailed update next month. Tharp stated that he had given FUEL the go ahead for the door vinyl replacements as that was something the Commission had previously indicated their desire to move forward on. Runway 7/25 Rehab East End — Tharp noted that both this and the Threshold Relocation project are at the same spot. They are reaching out to the contractors to get a pre -construction meeting put together so they can discuss schedules and distribute that information to Jet Air and other users of the airport. ii. Runway 25 Threshold Relocation— see above. iii. South T-hangar infrastructure Tharp noted that Bolton & Menk had delivered a set of the plans and specifications and that this is the beginning process for the bid. Tharp noted the Commission would have digital versions in the packet at their next meeting. 1. Consider a resolution setting a public hearing on the plans, specifications, and form of contract for the south taxilane and apron project - Pfohl moved resolution #A22-11, seconded by Bishop. Resolution approved 4-0 (Lawrence Absent) iv. Hangar A Door Replacement (phase 1) Tharp noted this is going to be the same process and they have the Plans and Specifications. 1. Consider a resolution setting a public hearing on the plans, specifications, and form of contract for the Hangar A Door Replacement (Phase 1) - Bishop moved resolution #A22-12, seconded by Orozco, resolution approved 4-0 (Lawrence absent) v. FAA Bipartisan Infrastructure Law (BIL) Grant programs — Tharp noted that the FAA gave a little update on the BIL but that there wasn't a lot of new information. Tharp noted that he had conversations with the regional staff that were there regarding the desire to use funds for the solar power project, as well as a terminal study and that those appeared to be received well. vi. Iowa DOT FY23 Grant Applications Tharp noted that there wasn't a lot of information on this for the meeting, and it was meant as more of an acknowledgment that the call letter for applications went out. Tharp stated that his thoughts for grant application projects would be for hangar A doors, the wayfinding and terminal building work, and additionally a project to replace the front cabinets of the fuel storage facility. Pfohl asked questions regarding the hangar door project in relation to the art project. Tharp noted that by next fall they would know if they were able to get all the doors done. d. Airport "Operations" i. Management 1. Airport Terminal Area/Parking Lot — Tharp noted that he hadn't gotten a lot of info back from engineering on this. He stated they were in the process of redrawing the work as requested by the Commission. He hoped to have a better timeline at the next meeting for this to get completed. Airport Operations/Commission handbook Tharp noted that he hadn't made much headway on this. He had a number of things mentally prepared for the book but needed to get them on paper for this work. He noted he had a rough idea of what would be in the book, and how to find other things noting a lot of the city policy materials are already online. 3. USAF Display Jet - Tharp noted that Pfohl had requested this to be on the agenda. Pfohl mentioned that she had reached out to Veterans groups about responsibility for the jet. Clair noted that he had prepared a history on the jet. Pfohl mentioned they had discussed the options of returning the jet to the Air Force and doing something different either with a piece of art or something more related to the airport. Clair noted that with the terminal study the desire to look at the entryway and consider the options of what a different entryway would look like. ii. Budget 1. Art Mural — Tharp noted that the Art Mural section was more of a placeholder for the time being. Tharp noted that he didn't want to take a. Fundraising b. RFQ 2. Toyota Iowa City — Tharp reminded members that last month the owners of the Toyota dealership had requested a lease extension from the Commission that was a little bit early, and now it appears they know the motivation for that. Tharp recommended the Commission approve the request to allow for the lease assignment. a. Consider a resolution giving consent to assign the lease to McGrath Holdings - Bishop moved, seconded by Clair resolution A22-13. Motion carried 4-0 (Lawrence absent. iii. Events - Tharp stated the Autocross group would be here this weekend starting the event cycle. Tharp noted that these are the dates for events going on and noted they were also having a conversation with the Summer of the Arts group for a third movie weekend. Tharp also noted the pancake breakfast would be August 28th. 1. Autocross: April 24; July 24; August 21 2. Drive-in Movies: May 28, Oct 8 e. FBO / Flight Training Reports i. Jet Air Wolford handed out the maintenance log for the Commission noted that usually they get to do things a little earlier and look back at the previous month. Wolford noted that Tharp had mentioned the need to work on the front end of Airport Commission Agenda & Info Packet Meeting Date: May 12, 2022 Page 6 of 59 Airport Commission April 21, 2022 Page 4 of 5 the fuel farm and noted the grant program would be a good project. He noted they were spending a bit of time replacing seals on the system. Wolford also noted that they replaced the old popcorn machine. Wolford stated that charter activity was going well and that their biggest struggle was with the rapid increases in fuel prices. Wolford noted that he believed the flight training rates would be adjusted upward. He stated the rates hadn't been changed for the last 2 years or so. Pfohl asked about fuel supply and Wolford responded to those questions. Members asked Wolford questions about flight training rates and Wolford responded. f. Commission Members' Reports Clair thanked Tharp for doing an outstanding job for organizing the aviation conference. Wolford noted that the Iowa City airport really got highlighted in the conference. g. Staff Report Tharp gave an update on the Conference stating they had FUEL give a presentation on marketing and identity, and that Rantizo came in a gave a presentation on their company which uses drones to conduct ag spraying operations. Tharp stated that he would be out of the office the first week of May and possibly for a longer period around Memorial Day at the end of the month. SET NEXT REGULAR MEETING The next meeting is scheduled for 6:00 pm, May 12, 2022, at the Airport. Clair noted he might be remote again for the next meeting. Tharp stated they last update he had from Lawrence said that he thought he'd be at the meeting on May 12. ADJOURN Bishop moved to adjourn, seconded by Orozco motion carried 4-0. Riverside Dr, Iowa City IA 52246 319-350-5045 Resolution number Resolution authorizing the chairperson to execute an agreement with the Community Foundation of Johnson County to establish a Designated Fund to be known as the Iowa City Municipal Airport Charitable Giving Fund Whereas, the Community Foundation of Johnson County will receive funds for designated purposes on behalf of the Iowa City Municipal Airport; Whereas, the Iowa City Airport Commission has previously adopted language for a purpose statement for this fund; Whereas, the Commission finds the proposed agreement to be proper and in the best interest of the Iowa City Municipal Airport; Now, therefore, be it resolved by the Iowa City Airport Commission: 1. That the proposed agreement is hereby approved. 2. That the Chairperson is directed and authorized to execute the agreement with the Community Foundation of Johnson County. Passed and approved this day of Chairperson Secretary It was moved by and seconded by adopted, and upon roll call there were: Ayes Nays Approvedby c1ty At omeys Office Absent 2022. the Resolution be Bishop Clair Lawrence Orozco Pfohl Airport Commission Agenda & Info Packet Meeting Date: May 12, 2022 Page 9 of 59 Community Foundation of Johnson County Designated Fund Agreement/Fiscal Sponsorship Iowa City Municipal Airport Charitable Giving Fund This agreement is between the Iowa City Airport Commission ("Organization") and the Community Foundation of Johnson County's ("Foundation") to establish a Designated Fund to be known as the Iowa City Municipal Airport Charitable Giving Fund ("Fund"). This agreement takes effect on May 1, 2022 is subject to the following terms and conditions. I. Contribution Gifts made to this fund will be received by The Community Foundation of Johnson County, a charitable organization described in sections 501(c)(3) and 509(a)(1) of the Internal Revenue Code. Gifts made to the fund are irrevocable, which will be used to establish and maintain a charitable fund of the Foundation, subject to the Foundation's governing documents and bylaws. The Organization establishes this fund as the following type (choose only one): x Non -Endowed Designated Fund The Foundation may refer to its non -endowed finds as charitable giving funds. Distributions can be made of the income and principal of the fund. Endowed Designated Fund Endowed funds are intended to last, with the principal of the fund remaining intact as a permanent source of community capital. Distributions are capped at a percentage each year (historically at 5%). 11. Purpose Consistent with the charitable purposes of the Foundation, distributions from this Fund will be used to serve the community by enhancing the quality of life for Iowa City residents and visitors through the development, enhancement, and support of the Iowa City Municipal Airport by funding the general support, upkeep, beautification, and capital improvement to buildings, equipment, and grounds of the Iowa City Municipal Airport. III. Distributions Designated Fund Representatives may make recommendations for distributions from the fund. The Foundation will independently determine whether recommendations it received are consistent with the Fund's chafitable purpose. The Foundation may accept or reject recommendations. Distributions must comply with the Foundation's policies and procedures, including its Spending Policy and Procedure for Grantmaking and Due Diligence Policy. The Foundation cannot make distributions to fulfill any pledge, obligation, or membership, or to support any activity from which a Donor, Advisor or related party will receive a benefit. The Fund is subject to the Foundation's governing instruments including the Foundation's power to modify any restrictions or condition on the distribution of funds for any specified charitable purposes or to specified charitable purposes or to specified organizations if in the sole judgement of the governing body (without the necessity of the approval of any participating trustee, custodian, or agent), such restriction or condition becomes, in effect, unnecessary, incapable of fulfillment, or inconsistent with the charitable needs of the community or area served. V. Fees The Foundation will assess administrative and investment management fees against the Fund in accordance with the Foundation's published fee schedule, as amended from time to time. The Foundation may also assess the fund to cover any unusual expenses incurred in connection with the contributed assets, including the cost of disposing of them, and in the administration of the Fund. The current fee for fiscal sponsorship funds is 3.00%. VI. Administration The Fund will be administered in accordance with the normal and customary policies of the Foundation (available upon request). Whereas, the Iowa City Airport Commission entered into a contract entitled "Master Agreement" with Bolton & Menk on February 22, 2019, to provide engineering services for Federal Airport Improvement Program Projects; and Whereas, Paragraph IV.B of said agreement provides that Bolton & Menk, Inc. is entitled to additional compensation if there is a change to the scope of a work order that requires additional services by Bolton & Menk, Inc.; and Whereas, the Iowa City Airport Commission and Bolton & Menk, Inc. have previously approved a change to the scope of work in Work Order No 4; and Whereas, the change increases the fee of Work Order 4 by $10,000, which includes payment for rebidding services for the "Runway 7/25 Threshold Relocation and Runway 7/25 Rehabilitation (East End)" projects. Whereas, the Federal Aviation Administration has determined these additional costs to be eligible for reimbursement under the Airport Improvement Program. Prepare Advertisement for Bids and Bid Documents Consultant shall prepare, reproduce, and distribute a total of 10 sets of bidding documents for the project. Consultant will submit a copy to the Sponsor for distribution to the local and selected publications of the pending project. The Sponsor shall pay for the associated cost of advertising. In addition, electronic copies of the bid documents will be made available for download through the Quest Construction Document Network website (QuestCDN). The consultant will also keep a current list of plan holders and distribute this to interested parties upon request. This task includes coordination required to facilitate these requests. 3. Respond to Bidders Questions During the bidding process, the Consultant will be available to clarify bidding issues with contractors and suppliers, and for consultation with the various entities associated with the project. This item also includes contacting bidders to generate interest in the project. 4. Prepare and Distribute Addendums Consultant shall issue addenda as appropriate to interpret, clarify, or change the bidding documents as required by the Sponsor or the FAA. Addenda will be made available to the plan holders either through mail, electronic mail, hand delivering or via facsimile transmission. Any addenda that are generated as a sole result of the Sponsors error or omission will be considered as extra services and the Consultant shall be reimbursed for this effort as an amendment to this contract. 5. Bid Opening The Consultant will attend the bid opening. 6. Bid Review and Bid Tabulation Consultant shall advise Board as to the acceptability of any subcontractors, suppliers, and other persons and organizations proposed by the bidders and as to the acceptability of substitute materials and equipment proposed by bidders. The Consultant shall prepare a spreadsheet that includes all bid items for the purpose evaluating the lowest bidder. The Consultant shall input the as -bid unit prices into the spreadsheet and to verify mathematical computations of the bids. The Consultant will then provide recommendations to the Sponsor as to the name of the Apparent Low Bidder. Prepare Recommendation for Award The Consultant will prepare a recommendation of award for the Sponsor to accept or reject the bids as submitted. If rejection is recommended, the Consultant will supply an explanation for their recommendation and possible alternative actions the Sponsor can pursue to complete the project. Once the Contract Award is made the Consultant will distribute the bid tabulations on request of the Sponsor. The amount of bid security to accompany each bid for the construction of the above - named project shall be in the amount of 5% (five percent) of bid payable to the Iowa City Airport Commission. 3. The City Clerk is hereby authorized and directed to post notice as required in Iowa Code section 26.3, not less than 13 days and not more than 45 days before the date of the bid letting, which may be satisfied by timely posting notice on the Construction Update Network, operated by the Master Builders of Iowa, and the Iowa League of Cities website. Sealed bids for the above -named project are to be received by the City of Iowa City, Iowa at the Office of the City Clerk, at the City Hall, before 3:OOpm on the 2nd day of June, 2022. At that time, the bids will be opened and announced by the City Clerk or her designee, and thereupon referred to the Iowa City Airport Commission for action upon said bids at its next regular meeting, to be held at the Terminal Building, Iowa City Airport, 1801 S. Riverside Drive, Iowa City, Iowa, at 6:OOpm on the 9th day of June, 2022, or if said meeting is cancelled, at the next meeting of the Airport Commission thereafter as posted by the City Clerk. Now, therefore, be it resolved by the Iowa City Airport Commission that: The plans, specifications, form of contract and estimate of cost for the above -named project are hereby approved. The amount of bid security to accompany each bid for the construction of the above - named project shall be in the amount of 5% (five percent) of bid payable to the Iowa City Airport Commission. 3. Riverside Drive, Iowa City, Iowa, 52246 Phone/Email: Michael Tharp, Airport Manager; 319-356-5045; mtharp@iowa-city.org ("Producer) 1. Grant of Rights: Owner hereby grants to Producer, its successors', licensees and assigns, the right to enter upon, to make photographs (stills, film, tape or otherwise) of and to use for location purposes the Property for any lawful purpose to include, but are not limited to, the right to photograph all structures and signs located on the Property, the right to refer to the Property by its correct and/or fictitious name (if any), and the right to discuss events which may have occurred on the property and the right to replicate the Property in any manner that the Producer deems appropriate. Owner also hereby grants to Producer the irrevocable right to use the photographs of the Property in any and all media now known or hereafter devised, and for advertising, publicity and promotional purposes in connection with the Program and ancillary or subsidiary uses, through the universe in perpetuity. Such records shall remain the Producer's sole property. 2. Consideration: The Owner acknowledges and agrees that the possibility that its Property will be included in the Program is sufficient consideration for the right granted herein. The Owner acknowledges and agrees that nothing in this Agreement shall obligate the Producer to utilize the rights granted hereunder in connection with the Property or the Program, or to actually produce the Program. Producer will pay the Iowa City Municipal Airport a use fee of $300.00 for use of the Iowa City Municipal Airport grounds. 3. Delay Due to Weather or Other Occurrences: Owner understands and agrees that if photography is prevented or hampered by weather or other occurrence beyond the Producer's control, then without further obligation to Owner, it may be postponed to or completed at a mutually agreeable time or Producer, in its sole discretion, may terminate this Agreement. 4. Use of Property: Producer may bring onto the premises talent, technicians, and equipment as shall be necessary for its production and remove them after completion of the work. Producer agrees to leave Property in as good order and condition as prior to any use, reasonable wear and tear excepted. 5. Indemnification: Producer will indemnify and hold Owner harmless from and against any and all actual liability, loss or expense, including but not limited to personal injury or property damage, caused by or arising out of the acts or omission of Producer, its employees, guests and agents in connection with photographing the Property. 6. Release: Producer, its employees, guests and agents, waive, release and hold harmless (i) the City of Iowa City, its directors, officers, employees and agents and (ii) the Iowa City Municipal Airport, its commission members and employees and the respective successors or assigns of each of the foregoing, from all claims of damage, loss or liability of any kind or nature arising out of the use of the Iowa City Municipal Airport under this agreement. Producer, its employees, guests and agents, understand and acknowledge that (i) the City of Iowa City and its directors, officers, employees and agents and (ii) the Iowa City Municipal Airport, its commission members and employees disclaim any and all liability for personal injury or property damage arising, directly or indirectly, from the use of the Iowa City Municipal Airport under this agreement. 7. Choice of Law: This Release shall be construed in accordance with the Laws of Iowa pertaining to agreements entered into and wholly performed within said State, precluding the possibility of litigation between the parties with respect to or arising out of this Release in any jurisdiction other than specified in this paragraph. 8. Other: Owner represents and warrants that Owner is the owner or lessee of the Property or its authorized representative and has the full right and authority to grant the rights herein granted.
