Whereas, The Iowa City Airport Commission has worked with the Public Art Advisory Committee to support an art mural to be located on a hangar at the Iowa City Airport; Whereas, The Iowa City Airport Commission requested qualifications from artists for the project, reviewed the proposals received, and selected Jenna Brownlee as their preferred artist; Whereas, the Iowa City Airport Commission now desires to enter into an agreement for services related to the Airport Mural Project. Now, therefore, be it resolved by the Iowa City Airport Commission: 1. The Chairperson is hereby authorized to sign the attached agreement for the Airport Mural Project. Chairperson Secretary Approved by: d, .Q� City Attomey's Office It was moved by and seconded by Resolution be adopted, and upon roll call there were: Ayes Nays Absent Bishop Clair Lawrence Orozco Pfohl the Airport Commission Agenda & Info Packet Meeting Date Monday March 20, 2023 Page 3 of 47 AGREEMENT FOR THE AIRPORT MURAL PROJECT BY AND BETWEEN THE IOWA CITY AIRPORT COMMISSION AND JENNA BROWNLEE THIS AGREEMENT is made on, 2023, between the Iowa City Airport Commission, hereinafter referred to as the CITY, the manager of the Iowa City Municipal Airport located at 1801 S. Riverside Drive, Iowa City, Iowa, and Jenne Brownlee, hereinafter referred to as ARTIST. For the purposes of this Agreement, the CITY'S REPRESENTATIVE shall be Wendy Ford, the COMMITTEE shall be the Iowa City Public Art Advisory Committee and the PROJECT shall be the Airport Mural Project. WHEREAS, the COMMITTEE issued a Request for Qualifications (RFQ) inviting artists to submit their qualifications to participate in the PROJECT funded through the Iowa City Public Art program and the CITY in October 2022; and WHEREAS, several responses were received by area artists; and WHEREAS, the CITY reviewed proposals and recommended ARTIST as their preferred artist on February 9, 2023; and WHEREAS, on March 3, 2023, the COMMITTEE reviewed the submissions and supported the recommendation to work with the ARTIST; and WHEREAS, the PROJECT requires that the ARTIST coordinate with the CITY in developing a design for the art installation by responding to their vision for the PROJECT which details how it will help tell the story of aviation in Iowa City; and WHEREAS, the parties hereto now wish to memorialize the relative rights and responsibilities regarding completion and maintenance of the PROJECT. NOW, THEREFORE, in consideration of the mutual promises and undertakings contained herein, the parties agree as follows: Article 1. Scope of Services 1.1 General The parties agree that the PROJECT has been reviewed and approved by both the CITY and the COMMITTEE at their February 9 and March 3, 2023 meetings, respectively. The CITY shall pay ARTIST a commission of $38,400 as set forth in the schedule herein. a. ARTIST shall work with the CITY'S REPRESENTATIVE to produce and install the PROJECT by September 30, 2023 according to the following schedule: March 20, 2023-- Payment of first third of commission - $12,800 — to occur within Airport Commission Agenda & Info Packet Meeting Date Monday March 20, 2023 Page 4 of 47 fifteen (15) days of executed contract. • June 1, 2023 — Satisfactory demonstration of progress of the PROJECT via in - person visitation by the CITY'S REPRESENTATIVE or receipt of photographs. Payment of second third of commission - $12,800 — within fifteen (15) days of approval. • September 30, 2023— Completion of PROJECT — Payment of last third of commission - $12,800 —within fifteen (15) days of installation and completion. Failure to meet the above schedule will result in withholding payment to the ARTIST and/or termination of this Agreement, as provided herein. b. The CITY'S REPRESENTATIVE shall have the right to review the PROJECT at reasonable times during the production thereof in order to ensure general conformity to final approved design plans. C. ARTIST shall present to the COMMITTEE and CITY in writing for further review and approval any significant changes in scope, design, color, size, material or texture of PROJECT not agreed to during the design stage with CITY'S REPRESENTATIVE. A significant change, as reasonably determined by the CITY'S REPRESENTATIVE, is any change in the scope, design, size, material, texture or location of the site of the PROJECT which affects the PROJECT, scheduling, site preparation or maintenance for the PROJECT or the concept of the PROJECT approved by CITY'S REPRESENTATIVE, d. The CITY agrees to provide access to the ARTIST as necessary for site preparation/production of the PROJECT. e. The ARTIST agrees to work with the CITY in planning for and production of the PROJECT throughout the process. The ARTIST agrees to be responsible for all costs related to the production of the PROJECT beyond the agreed upon CITY production assistance. It is expressly understood and agreed that the acceptance and production of the PROJECT is conditioned upon the feasibility of a safe and secure production at the Iowa City Municipal Airport. If it is not feasible or consistent with the budgeting resources to safely and securely Install the PROJECT, the CITY shall be under no obligation to do so. f. All costs related to the PROJECT shall be the responsibility of the ARTIST. Airport Commission Agenda & Info Packet Meeting Date Monday March 20, 2023 Page 5 of 47 g. The CITY, as manager of the Iowa City Municipal Airport hangar upon which the PROJECT is to be produced, reserves the right, in its sole discretion, to perform any maintenance activities on and around the hangar without having any requirement or obligation to replace, refurbish, pay compensation or reimbursement for any part of the PROJECT that may be damaged or destroyed, and CITY makes no warranties that any such actions will not result in damage or destruction to said PROJECT. Further, CITY, as owner of the PROJECT may, in its sole discretion, take any other actions consistent of the public use of said PROJECT or public necessity without having any requirement or obligation to replace, refurbish, pay compensation or reimbursement for any part of the PROJECT that may be damaged or destroyed, and CITY makes no warranties that any such actions will not result in damage or destruction to said PROJECT. h. ARTIST shall take all necessary actions to avoid overspray going into the hangar units. i. ARTIST shall carry general liability insurance in the amount of $1,000,000 (one million dollars) naming the City of Iowa City and the Iowa City Airport Commission as additional insureds on a primary, noncontributory basis. ARTIST shall furnish a copy of a certificate of insurance for same, satisfactory to the CITY, upon execution of this Agreement. ARTIST shall notify the CITY immediately upon cancellation of said insurance. 1.2 Maintenance and Longevity a. Notwithstanding paragraph 1.1 (g) above, the CITY requires, and ARTIST agrees to maintain the PROJECT in place for two years from acceptable completion of the project. b. ARTIST agrees that they will not intentionally damage, alter, modify or change the PROJECT without the prior written approval of the CITY. 1.3 Risk of Loss The risk of loss or damage to the PROJECT shall be borne by the ARTIST, Article 2. Certifications 2.1 Certifications of Title. ARTIST represents and certifies that, to the best of its knowledge: (a) the PROJECT is solely the result of the effort of ARTIST; (b) the PROJECT is unique and original and does not infringe upon Airport Commission Agenda & Info Packet Meeting Date Monday March 20, 2023 Page 6 of 47 any copyright; and (c) the PROJECT is free and clear of any liens from any source whatever, 2.2 Warranties of Quality and Condition CITY accepts responsibility for all general maintenance and repair as outlined in the maintenance guidebook and as well as repairs necessary due to general wear and tear from daily use for the life of the PROJECT. ARTIST represents and certifies that, to the best of its knowledge: (a) the execution and fabrication of the PROJECT will be performed in a workmanlike manner; (b) the PROJECT, as fabricated and installed, will be free of defects in material and workmanship, including any defects consisting of inherent qualities which cause or accelerate deterioration of the PROJECT; and (c) the ARTIST accepts responsibility for repair of defects in material or workmanship that occurred during the execution and fabrication of the PROJECT for the first two years after installation. Article 3. ARTIST as Independent Contractor. ARTIST shall perform all work under this Agreement as an independent contractor and not as an agent or an employee of the CITY. ARTIST shall not be supervised by any employee or official of the CITY, nor shall ARTIST exercise supervision over any employee or official of the CITY. Article 4. Termination If any party to this Agreement shall willfully or negligently fail to fulfill in a timely and proper manner, or otherwise violate, any of the covenants, agreements or stipulations material to this Agreement, the other party shall thereupon have the right to terminate this Agreement by giving written notice to the defaulting party of its intent to terminate specifying the grounds for termination. The defaulting party shall have thirty (30) days after receipt of the notice to cure the default. If it is not cured, then this Agreement shall terminate. Article 5. General Terms 5.1. ARTIST shall not, to the best of its ability commit any of the following employment practices and agrees to prohibit the following practices in any subcontracts: 5.1.1. To discharge or refuse to hire any individual because of their race, color, religion, sex, national origin, disability, age, marital status, gender identity, or sexual orientation. To discriminate against any individual in terms, conditions, or privileges of employment because of their race, color, religion, sex, national origin, disability, age, marital status, gender identity, or sexual orientation. 5.2 Should any section of this Agreement be found invalid, it is agreed that the remaining portion shall be deemed severable from the invalid portion and continue in full force and effect. 5.3 Upon signing this Agreement, ARTIST acknowledges that Section 362.5 of the Iowa Code prohibits a City officer or employee from having an interest in a contract with the City and certifies that no employee or officer of the City, which includes members of the City Council and City boards and commissions, has an interest on behalf of ARTIST, either direct or indirect, in this Agreement, that does not fall within the exceptions to said statutory prohibition enumerated in Section 362.5. 5.4 Notwithstanding the assignment of any advertising and promotion rights to the Client, the Artist shall retain all copyrights of the artwork, including all reproduction, display, distribution, and derivative works rights. Client shall not use digital files in any capacity (unless licensing is included in project description). Advertising and promotion rights are assigned to the Client and shall include, but are not limited to, the use of photographs and videos depicting the artwork or portions of the artwork on Client's and the City of Iowa City's, and Iowa City Municipal Airport's websites, social media accounts and marketing collateral. Artist is entitled to use any unselected designs for other projects. Artist is entitled to sign the mural in a discreet area of the wall. Artist is entitled to identify as the creators of the artwork and share on their portfolio, including website and on social media platforms. Client shall not alter, modify, edit, or change the artwork without Artist's prior written consent. The parties agree that maintenance of the hangar, which impacts the artwork, shall not be considered an alteration, modification, edit, or change of the artwork requiring the Artist's prior written consent. Client may reproduce the artwork or a portion of the artwork provided credit is given to Artist and Artist approves of the design. Article 6. Entire Agreement This writing embodies the entire agreement and understanding between the parties hereto, and there are no other agreements and understandings, oral or written, with reference to the subject matter hereof that are not merged herein and superseded hereby. Modification No alteration, change, or modification of the terms of the Agreement shall be valid unless made In writing and signed by both parties hereto and approved by appropriate action of the CITY. Whereas notice of public hearing on the plans, specifications, form of contract, and estimate of cost for the above -named project was published as required by law, and the hearing thereon held. Now, therefore, be it resolved by the Iowa City Airport Commission that: 1. The plans, specifications, form of contract, and estimate of cost for the above -named project are hereby approved. 2. The amount of bid security to accompany each bid for the construction of the above - named project shall be in the amount of 5% (five percent) of bid payable to the Iowa City Airport Commission. 3. The City Clerk is hereby authorized and directed to post notice as required in Iowa Code section 26.3, not less than 13 days and not more than 45 days before the date of the bid letting, which may be satisfied by timely posting notice on the Construction Update Network, operated by the Master Builders of Iowa, and the Iowa League of Cities website. 4. Sealed bids for the above -named project are to be received by the City of Iowa City, Iowa at the Office of the City Clerk, City Hall 410 E. Washington St., Iowa City, Iowa, before 3:00 pm on the 10th day of April, 2023. At that time, the bids will be opened and announced by the City Clerk or their designee, and thereupon referred to the Iowa City Airport Commission for action upon said bids at its next regular meeting, to be held at the Terminal Building, Iowa City Airport, 1801 S. Riverside Drive, Iowa City, Iowa, at 6:OOpm on the 13th day of April, 2023, or if said meeting is cancelled, at the next meeting of the Airport Commission thereafter as posted by the City Clerk.
