June 20, 2023 Resolution approving eligibility for a tax exemption on a proposed improvement project on commercial property located at 2419 and 2451 Naples Ave., SW, Iowa City, Iowa, pursuant to the Highway Commercial Urban Revitalization Plan. Executive Summary: In spring of 2021, City Council adopted the Highway Commercial Urban Revitalization Plan which allows for tax abatement on the improvement value of commercial property if that improvement adds at least 15% in new taxable value to the property. The owner of two undeveloped lots just north of Menards on Naples Avenue has applied for approval a proposed commercial construction project so that it might be eligible for the 3-year property tax abatement allowed pursuant to the Plan. Background / Analysis: The Highway Commercial Urban Revitalization Plan was adopt ed to to encourage the revitalization of commercial activity in the Revitalization Area by creating property tax incentives to reinvest in non-residential commercial activities through rehabilitation, additions or new construction. The Area is along the highway corridors, not typically incentivized through urban renewal efforts such as TIF. Eligible applications for tax abatement receive a 100% tax abatement on the new value created for 3 years, after which the full property tax bill will ensue. The goal of the program was to spur reinvestment in older building stock and new construction while incentivizing property owners and building the tax base. Property owners will still pay property taxes on land value and any building value prior to the improvement. Eligible projects must be approved by the City Council before they are constructed. Brian Shafer of Flex Investments, LLC, is seeking approval of his project to construct two new buildings containing 20 contractor bays at 2419 and 2451 Naples Avenue, just north of Menards. These lots are currently undeveloped. Each bay will be 30’ x 40’ and include a restroom. The Plan requires that all applicants identify which energy savings methods they will employ with the improvements. Shafer has indicated that all lighting installed will be LED with proximity sensors and timers, and all water heaters will be electric. Shafer plans to invest approximately $2.18 million in the project, the full taxable valuation of which may qualify for the 3 year 100% tax abatement since there was no prior building on the land. The property owner will still be responsible for property taxes on the land value for those 3 years, and after 3 years, will pay full taxes on both land and improvements. This prior approval does not entitle the owner to the exemption until the improvements have been completed and found to be "Qualified Real Estate", as defined in the Plan. Whereas, the City has adopted the Highway Commercial Urban Revitalization Plan, pursuant to Chapter 404 of the Code of Iowa, designating the Highway Commercial Urban Revitalization Area ("Revitalization Area") as an economic development area appropriate for commercial and industrial enterprises; (Resolution 21-106, passed April 20, 2021, and recorded in Book 6213, Page 179-230 of the records of the Johnson County, Iowa Recorder); and Whereas, the primary objective of the Plan is to encourage the revitalization of commercial activity in the Revitalization Area by creating a property tax exemption incentives to reinvest in non- residential commercial activities through rehabilitation, additions or new construction; and Whereas, the Plan allows for a three year property tax exemption on actual valued added to Qualified Real Estate by Eligible Improvements that result in at least a 15% increase in the actual value of the real estate, as defined and detailed in the Plan; and Whereas, pursuant to the Plan, prior to commencement of any Eligible Improvements for which an owner intends to seek a tax exemption, the owner must seek Council approval of the improvement project; and Whereas, Flex Investments, LLC (Owner) is the owner of commercial property locally known as 2419 and 2451 Naples Ave., SW, located within the Highway Commercial Urban Revitalization Area, upon which Owner proposed to construct two new commercial buildings to be used as contractor bays; and Whereas, Owner sought approval of the project at or around the time it commenced construction of the project in October, 2022 so that it might be eligible for the tax exemption allowed pursuant to the Plan; and Whereas, Owner intends to employ only LED lighting with proximity sensors and timers and electric water heaters, as energy saving methods; and Whereas, the estimated cost of the improvement project is $2,180,000, with the project to be completed in 2023 and fully assessed as of January 1, 2024; and Whereas, this property is not located within an Urban Renewal Area and has not received either direct or indirect benefits financed through a tax increment financing program. Now, therefore, be it resolved by the City Council of the City of Iowa City, Iowa, that: 1. The improvement project described in the attached application is in conformance with the Highway Commercial Urban Revitalization Plan and Iowa Code Chapter 404, is located within the Revitalization Area, and the improvements will be completed while the Revitalization Area was so Resolution No. 23-175 Page 2 designated. Executive Summary: In spring of 2021, City Council adopted the Highway Commercial Urban Revitalization Area which allows for tax abatement on the improvement value of commercial property if that improvement adds at least 15% in new taxable value to the property. The owners of a new car wash in the Pepperwood Plaza have applied for a 3-year tax abatement for their project. Background / Analysis: Eligible areas in the plan are home to a lot of older commercial properties and undeveloped lots along Highway 6 and Highway 1 where businesses have not had access to incentives in the past. Eligible applications for tax abatement will receive a 100% tax abatement on the new value created for 3 years after which the full property tax bill will ensue. The goal of the program was to spur reinvestment in older building stock and new construction while incentivizing property owners and building the tax base. Property owners will still pay property taxes on land value and any building value prior to the improvement. Anthony Petta, President and majority owner of Quick Shine Express is constructing a 150’ express car wash with 30 free vacuums. Lighting will be all LED and cleaning products will be biodegradable. They will invest approximately $4.6 million in the project. Since there was a building on that parcel prior to this project (the former Tuesday Morning Store), he would receive a 3-year 100% tax abatement on the difference between the old building’s value and his new building’s value. The property owner is responsible for property taxes on the land value and the value of the building that was removed for this project. June 20, 2023 Resolution approving eligibility for a tax exemption on a proposed improvement project on commercial property located at 3 Escort Lane, Iowa City, Iowa, pursuant to the Highway Commercial Urban Revitalization Plan. Executive Summary: In spring of 2021, City Council adopted the Highway Commercial Urban Revitalization Area which allows for tax abatement on the improvement value of commercial property if that improvement adds at least 15% in new taxable value to the property. The owner of a lot on Escort Lane has applied for a 3-year tax abatement for a new construction project. Background / Analysis: Eligible areas in the plan are home to a lot of older commercial properties and undeveloped lots along Highway 6 and Highway 1 where businesses have not had access to incentives in the past. Eligible applications for tax abatement will receive a 100% tax abatement on the new value created for 3 years after which the full property tax bill will ensue. The goal of the program was to spur reinvestment in older building stock and new construction while incentivizing property owners and building the tax base. Property owners will still pay property taxes on land value and any building value prior to the improvement. Scott Goedken, Partner in Cornerstone Capital, LLC is constructing a 7,000 square foot multi-tenant commercial building. An existing business in a building next door will expand into half of the building while the other half is leased to a commercial tenant. The building will be powered by a rooftop solar array. Cornerstone Capital, LLC is investing approximately $1.1 million in the project, the full taxable valuation of which will qualify for the 3 year 100% tax abatement since there was no prior building on the land. The property owner will still be responsible for property taxes on the land value for those 3 years, and after 3 years, will pay full taxes on both land and improvements. Executive Summary: Any urban renewal activities undertaken in an urban renewal area must be included in the respective urban renewal plan. Amendment #17 to the City University Project 1 Urban Renewal Area includes a project to rehabilitate the historic exterior of the Iowa City Senior Center, located within the urban renewal area. It is important to note that the amendment to the plan does not constitute the approval of any contract for the project, which will be presented to you at a future date. Background / Analysis: The old United States Post Office is now home to the Iowa City Senior Center. Built in 1904 and expanded in 1931, it served as the local post office until 1975 when a new building was built. Because of its central location, the vacated building was selected as the new location for the Senior Center in 1981 and has operated there for 42 years. The imposing structure was built in the Beaux Arts Style with exterior walls of Indiana limestone, with ornamental stonework, including quoins, keystones and a stone balustrade along the parapet. It was listed on the National Register of Historic Places in 1979 and is a Local Landmark and contributing building too Iowa City’s Historic Downtown District. The building was included in the 2001 amended area of the City-University Project 1 (also known as the Downtown) Urban Renewal Area in which Improvements to historic structures was cited to encourage the physical rehabilitation of buildings slated to remain in the district, such as the Old Post Office. That his 25,000 square foot building has operated in this capacity for 42 years, serves low income and aging adults, attracts people from all over the county, and is instrumental in engaging our older population within the larger community suggests that alternative funding options for the same purposes would be cost prohibitive, disruptive, and provide no solutions for the historic preservation and building maintenance of this publicly owned historic building. Its restoration and rehabilitation will serve the entire Urban Renewal Area as an anchor destination and encourage private investment. The City commissioned an Exterior Historic Assessment complete in December 2021, which identified several areas on the structure in need of restoration and rehabilitation, including the limestone veneer, masonry parapet, block arches, and panels, cornice, elastomeric sealants, the wood window frame elements, window sill carved stone brackets, raised panels and window. SECTION 3 - PROPOSED URBAN RENEWAL PROJECTS Although certain project activities may occur over a period of years, in addition to the projects previously proposed in the Plan, as amended, the following proposed urban renewal projects are hereby added to the Plan: 1. Public Buildings Project I Date Estimated cost Senior Center Exterior Building Envelope 2024-25 $2,000,000 Preservation, Restoration and Rehabilitation Rationale: The Iowa City Senior Center Exterior Building Envelope Preservation, Restoration and Rehabilitation project will address the recommendations of the 2021 Exterior Historic Assessment, including exterior limestone repair and restoration, dismantling and reconstruction of existing parapet piers, removal and replacement of existing windows, removal and replacement of exterior doors, repair and restoration of historic wood elements at monumental window openings and historic doorways. The Iowa City Senior Center is located in the former United States Post Office building at 28 S. Linn Street. Built in 1904 and expanded in 1931, it served as the local post office until 1975 when a new building was built. Because of its central location, the vacated building was selected as the new location for the Senior Center in 1981 and has operated there for 42 years. The imposing structure was built in the Beaux Arts Style with exterior walls of Indiana limestone, with ornamental stonework, including quoins, keystones and a stone balustrade along the parapet. It was listed on the National Register of Historic Places in 1979 and is a Local Landmark and contributing building to Iowa City's Historic Downtown District. This 25,000 square foot building is a community center. It has operated in this capacity for 42 years, serving low income and aging adults, attracts people from all over the county, and is instrumental in engaging older population within the larger community Its programming enhances quality of life by creating opportunities to support wellness, social connections, community engagement, and lifelong learning for a diverse and growing older adult population. Its restoration and rehabilitation will serve the entire Urban Renewal Area as an anchor destination and encourage private investment. This project furthers the stated City-University Project 1 Urban Renewal Plan objective to preserve and protect buildings that, for reasons of age, history, architecture or significance, are listed or are eligible for listing on the National Register of Historic Places (set forth in the 2001 Plan Amendment). The City desires to rehabilitate this historic structure so that it may continue to be a functional space for the Senior Center program and services. Alternative options for providing the same services would be cost prohibitive, disruptive, and provide no solutions for its historic preservation and building maintenance. SECTION 4— PROPOSED URBAN RENEWAL ACTIVITIES All activities or actions from previous Plan amendments continue, as detailed in previous Plan amendments. SECTION 5 - DEBT 1. FY 24 constitutional debt limit: $368,416,450 2. Outstanding general obligation debt: $52,915,000 3. Proposed amount of loans, advances, indebtedness or bonds to be incurred: The specific amount of debt to be incurred for the Proposed Urban Renewal Projects has not yet been determined. The Projects authorized in this Amendment are only proposed projects at this time. The City Council will consider each proposed project on a case-by- case basis to determine if it is consistent with the Plan and in the public's best interest. The City commissioned an Exterior Historic Assessment complete in December 2021, which identified several areas on the structure in need of restoration and rehabilitation, including the limestone veneer, masonry parapet, block arches, and panels, cornice, elastomeric sealants, the wood window frame elements, window sill carved stone brackets, raised panels and window. SECTION 3 - PROPOSED URBAN RENEWAL PROJECTS Although certain project activities may occur over a period of years, in addition to the projects previously proposed in the Plan, as amended, the following proposed urban renewal projects are hereby added to the Plan: 1. The Iowa City Senior Center is located in the former United States Post Office building at 28 S. Linn Street. Built in 1904 and expanded in 1931, it served as the local post office until 1975 when a new building was built. Because of its central location, the vacated building was selected as the new location for the Senior Center in 1981 and has operated there for 42 years. The imposing structure was built in the Beaux Arts Style with exterior walls of Indiana limestone, with ornamental stonework, including quoins, keystones and a stone balustrade along the parapet. It was listed on the National Register of Historic Places in 1979 and is a Local Landmark and contributing building to Iowa City's Historic Downtown District. This 25,000 square foot building is a community center. It has operated in this capacity for 42 years, serving low income and aging adults, attracts people from all over the county, and is instrumental in engaging older population within the larger community Its programming enhances quality of life by creating opportunities to support wellness, social connections, community engagement, and lifelong learning for a diverse and growing older adult population. Its restoration and rehabilitation will serve the entire Urban Renewal Area as an anchor destination and encourage private investment. This project furthers the stated City-University Project 1 Urban Renewal Plan objective to preserve and protect buildings that, for reasons of age, history, architecture or significance, are listed or are eligible for listing on the National Register of Historic Places (set forth in the 2001 Plan Amendment). The City desires to rehabilitate this historic structure so that it may continue to be a functional space for the Senior Center program and services. Alternative options for providing the same services would be cost prohibitive, disruptive, and provide no solutions for its historic preservation and building maintenance. SECTION 4— PROPOSED URBAN RENEWAL ACTIVITIES All activities or actions from previous Plan amendments continue, as detailed in previous Plan amendments. SECTION 5 - DEBT 1. FY 24 constitutional debt limit: $368,416,450 2. Outstanding general obligation debt: $52,915,000 3. Proposed amount of loans, advances, indebtedness or bonds to be incurred: The specific amount of debt to be incurred for the Proposed Urban Renewal Projects has not yet been determined. The Projects authorized in this Amendment are only proposed projects at this time. SECTION 7 - EFFECTIVE PERIOD This Urban Renewal Plan Amendment #17 will become effective upon its adoption by the City Council. Notwithstanding anything to the contrary in the Urban Renewal Plan, any prior amendment, resolution, or document, the Urban Renewal Plan shall remain in effect until terminated by the City Council, and the use of incremental property tax revenues, or the "division of revenue," as those words are used in Chapter 403 of the Code of Iowa, will be consistent with Chapter 403 of the Iowa Code. Background / Analysis: City Park Pool and the associated infrastructure, equipment and facilities have significant deficiencies that need to either be comprehensively repaired or replaced. The current facility includes a 50-meter T-shaped pool with an attached deep well and a zero-depth entry wading pool. The main pool is more than seventy years old and the wading pool is six years old. The main pool currently loses a tremendous amount of water. During the 2021 season, the pool was losing approximately 30,000 gallons per day despite annual crack sealing and basin painting. The main pool gutter grating is worn and abrasive, and patrons have received minor injuries from the fiberglass grates. Similarly, the pool house structure and pool mechanical equipment have deficiencies and are not constructed to meet modern employee safety and patron accommodation expectations. A considerable amount of public input was gathered about City Park Pool during the 2022 Recreation Facilitates and Program Master Plan. There was strong sentiment to retain the current park atmosphere and fence line of the pool. Should it be determined that replacement of the pool is in the best interest of the community, the project will aim to achieve a design that accommodates the needs of existing pool user groups while enhancing accessibility, engagement and comfort for all residents. Four consulting teams submitted proposals for this project. All four were interviewed and had an opportunity to tour the existing pool facility. City staff recommends the Williams Architect group due to their comprehensive experiences with similar projects, strength of their subconsultants and understanding of the history and public input received to date. Subconsultants for the project are Counselman-Hunzaker Aquatic Design Firm, Hitchcock Landscape Architects, IMEG Engineers, BerryDunn Consulting for public input and the University of Illinois for the possible statistically valid survey. As presented to the City Council in May, the consultant agreement will begin with an assessment of the current facility. Borings were taken of the concrete shell, a video was captured of the main drain, and two areas of the diving well had significant replacement of concrete leading up to opening of the pool this season. The information gathered from these efforts will be analyzed and additional static water testing will be completed by the consultant team. A recommendation will be made to the City Council later this summer based upon these findings. Council will be asked at that time to authorize either moving toward repairs to the current pool or with complete replacement. If replacement is chosen, a robust schedule of public input and a statistically valid survey are included in the contract to inform Council’s final decision regarding the design of a new facility. The plan for public engagement is similar to what was presented the City Council in May. Concept Design Development. a. Visioning and Core Program. (1) Provide insight into aquatic trends from agencies all around the country. (2) Utilize input gleaned during the open house and focus group meetings. (3) Identify the recommended core programs for the aquatic facility including key activities and programs for participants, as well as the potential size of the core program and market positioning. b. Aquatic Facility Program. -4- (1) Meet with the City to review program needs and establish the same as required. Discuss the number of pools, pool zones and depths and Identify preliminary water activities and features. (2) Prepare a bullet-point Aquatic Facility Program summary for use in preparing the conceptual design options(two options with a $10M budget and one option for a$15M budget). c. Facility Concept Designs. Consultant shall utilize the Aquatic Facility Program which describe the facility's program elements, areas, and functional/spatial relationships, in order to develop three (3)concept designs.The concept designs shall support the core program visioning, depicting the organization of aquatic elements within the proposed facility. Furthermore, the concept designs shall include narrative and graphic recommendations and shall clearly identify priorities.The concept designs shall show how proposed facilities are oriented within the overall site, and how they interact/connect with the surrounding park. The concept designs shall be sensitive to the parks ecology and incorporate sustainabiiity objectives identified in the City's Climate Action Plan.The deliverables shall include the following: (1) Final Summarized Aquatic Facility Program. (2) Final Concept Design plans for the three(3) options. (3) Enlarged plans of Aquatic Facility support structures. (4) Aerial 3D vignette of the Aquatic Facility Concept Designs. (5) Order of Magnitude Cost Estimate for each design option. 4. Statistically Valid Survey. Consultant shall conduct a community survey to assess preferences for one of three pool designs, assess entry fee willingness to pay thresholds and assess opinions regarding changing rooms and restroom design, single-use facilities and other locker room designs. Programming needs and preferences shall also be assessed. Findings from this survey shall inform the planning of the aquatic facility. (1) Consultant shall create and execute statistically valid survey. (2) Consultant shall write a final report of findings and recommendations. (3) Final deliverables shall include: a. Final Report(PDF Format) b. Copy of the raw data (in Excel format) c. Attend City Council meeting to present the final report. 5. Open House No. 2. Upon completion of the statistically valid survey and the concept designs, the Consultant shall conduct a 2nd open house to present a summary and results of -5- 6. General Terms A The Consultant shall not commit any of the following employment practices and agrees to prohibit the following practices in any subcontracts. 1. To discharge or refuse to hire any individual because of their race, color, religion, sex, national origin, disability, age, marital status, gender identity, or sexual orientation. • 2. To discriminate against any individual in terms, conditions, or privileges of employment because of their race, color, religion, sex, national origin, disability, age, marital status, gender identity, or sexual orientation. B Should the City terminate this Agreement, the Consultant shall be paid for all work and services performed up to the time of termination. However, such sums shall not be greater than the "not-to-exceed" amount listed in Section III. The City may terminate this Agreement upon seven (7) calendar days'written notice to the Consultant. C This Agreement shall be binding upon the successors and assigns of the parties hereto, provided that no assignment shall be without the written consent of all Parties to said Agreement. D It is understood and agreed that the retention of the Consultant by the City for the purpose of the Project shall be as an independent contractor and shall be exclusive, but the Consultant shall have the right to employ such assistance as may be required for the performance of the Project. C It is agreed by the City that all records and files pertaining to information needed by the Consultant for the Project shall be available by said City upon reasonable request to the Consultant. The City agrees to furnish all reasonable assistance in the use of these records and files. F It is further agreed that no Party to this Agreement shall perform contrary to any state, federal, or local law or any of the ordinances of the City of Iowa City, Iowa, G At the request of the City, the Consultant shall attend meetings of the City Council relative to the work set forth in this Agreement. Any requests made by the City shall be given with reasonable notice to the Consultant to assure attendance. H The Consultant agrees to furnish, upon termination of this Agreement and upon demand by the City, copies of all basic notes and sketches, charts, computations, and any other data prepared or obtained by the Consultant pursuant to this Agreement without cost, and without restrictions or limitation as to the use relative to specific Projects covered under this Agreement. In such event, the Consultant shall not be liable for the City's use of such documents on other Projects. The Consultant agrees to furnish all reports, specifications, and drawings with the seal of a licensed professional as required by Iowa law. J The City agrees to tender the Consultant all fees in a timely manner, excepting, however, that failure of the Consultant to satisfactorily perform in accordance with this Agreement shall constitute grounds for the City to withhold payment of the amount sufficient to properly complete the Project in accordance with this Agreement. K Should any section of this Agreement be found invalid, it is agreed that the remaining portion shall be deemed severable from the invalid portion and continue in full force and effect. -8- • L. Original contract drawings shall become the property of the City. The Consultant shall be allowed to keep reproducible copies for the Consultant's own filing use. M Fees paid for securing approval of authorities having jurisdiction over the Project will be paid by the City. N Upon signing this Agreement, Consultant acknowledges that Section 362.5 of the Iowa Code prohibits a City officer or employee from having an interest in a contract with the City, and certifies that no employee or officer of the City, which includes members of the City Council and City boards and commissions, has an interest, either direct or indirect, in this Agreement, that does not fall within the exceptions to said statutory provision enumerated in Section 362.5. 0 Indemnification 1. To the full extent permitted by law, Consultant agrees to defend, indemnify, and hold harmless the City against any and all claims,demands,suits, loss,expenses, Including attorney's fees, and for any damages which may be asserted,claimed or recovered against or from the City by reason of personal injury, including bodily injury or death, and property damages, including loss of use thereof, caused by Consultant's negligent acts, errors or omissions in performing the work and/or services provided by Consultant to the City pursuant to the provisions of this Agreement. 2. Consultant assumes full responsibility for any and all damage or injuries which may result tc any person or property by reason of Consultant's negligent acts, errors or omissions in connection with the work and/or services provided by Consultant to the City pursuant to this Agreement, and agrees to pay the City for all damages caused to the City's premises resulting from the negligent acts,errors or omissions of Consultant. 3. The Consultant's obligation to indemnify the City shall not include the obligation to indemnify, hold harmless, or defend the City against lability, claims, damages, losses, or expenses, including attorney fees, to the extent caused by or resulting from the negligent act, error, or omission of the City. 4. For purposes of this paragraph, the term "Consultant" means and includes the Consultant, its officers, agents, employees, sub-consultants, and others for whom Consultant is legally liable,and the term"City"means and includes the City of Iowa City, Iowa its Mayor, City Council members,employees, and volunteers. P Insurance 1. The Consultant agrees at all times material to this Agreement to have and maintain professional liability insurance covering the Consultant's liability for the Consultant's negligent acts, errors and omissions in the sum of$1,000,000 Pe:- Claim, $1,000,000 Annual Aggregate, or a$1,000,000 Combined Single Limit. To the fullest extent permitted by applicable state law,a Waiver of Subrogation Clause (endorsement)shall be added. -9- 2. Consultant agrees to provide the City a certificate of insurance evidencing that all coverages, limits and endorsements required herein are maintained and in full force and effect, and certificates of Insurance shall provide a minimum thirty (30) day endeavor to notify, when available by Consultant's insurer. If the Consultant receives a non-renewal or cancellation notice from an insurance carrier affording coverage required herein,or receives notice that coverage no longer complies with the insurance requirements herein, Consultant agrees to notify the City within five (5) business days with a copy of the non-renewal or cancellation notice. Q Standard of Care 1. The Consultant shall perform services for, and furnish deliverables to, the City pertaining to the Project as set forth in this Agreement. The Consultant shall possess a degree of learning, care and skill ordinarily possessed by reputable professionals, practicing in this area under similar circumstances. The Consultant shall use reasonable diligence and professional judgment in the exercise of skill and application of learning. 2. Consultant represents that the Services and all its components shall be free of defects caused by negligence; shall be performed in a manner consistent with the standard of care of other professional service providers in a similar Industry and application; shall conform to the requirements of this Agreement; and shall be sufficient and suitable for the purposes expressed in this Agreement. 3. All provisions of this Agreement shall be reconciled in accordance with the generally accepted standards of the Engineering Profession. 4. Consultant's obligations under this Section shall exist without regard to, and shall not be construed to be waived by, the availability or unavailability of any insurance, either of City or Consultant. R There are no other considerations or monies contingent upon or resulting from the execution of this Agreement, it is the entire Agreement, and no other monies or considerations have been solicited. S This Agreement shall be interpreted and enforced in accordance with the laws of the State of Iowa. Any legal proceeding instituted with respect to this Agreement shall be brought in a court of competent jurisdiction in Johnson County, Iowa. The parties hereto hereby submit to personal jurisdiction therein and irrevocably waive any objection as to venue therein, including any argument that such proceeding has been brought in an inconvenient forum.
