CUSTOMER SERVICE AGREEMENT ? Customer agrees to purchase, and Freeman agrees to provide, the following described service(s): (X all that apply) ~ Fire Alarm System inspection service. Freeman will inspect Customers system according to the 1. fr~uehcy required by the AHJ at the cost of $90.00 per hour. At the time of inspection, any repairs or adjustments that may be required to maintain the system in proper working order will be done. If parts are required and are not available at the time of inspection, Freeman agrees to replace said parts as soon as they are available. Any parts required to maintain the system in proper working order will be billed separately from the cost of the inspection. 2.//~ _ Fire Alarm System repair service. Freeman will repair Customers system at the cost of $60.00 per hour per technician excluding parts. Customer hereby decides to limit the amount of repair cost to without prior notification by Freeman. 3. /~ Fire Alarm System Monitoring service. Customer agrees to enter into a monitoring contract with International Dispatch Corporation, a U.L. Listed Central Station, number S-3583 and said contract is to be effective for the same term as this agreement. The cost of this contract is $24.00 per month, billed quarterly. In addition to the routing of all signals received to the appropriate authority, this cost includes daily auto tests of both phone lines connected to the communicator. Any special monitoring requirements of the Customer will be noted on the Central Station Contract. The term of this Agreement is one year from the date of signing by both Freeman and Customer, and shall automatically renew for successive one-year periods after the initial first year terminates. However, either party may terminate this Agreement at any time on sixty (60) days' prior written notice given to the other party by Certified Mail, Return Receipt Requested. It is agreed that all services on said system shall be completed during Freeman's regular working hours, which are 8:30 A.M. to 5:00 P.M. Monday through Friday. In the event that Customer requests services to be performed by Freeman after regular business hours, weekends or holidays, Customer agrees to pay Freeman the additional costs incurred by Freeman resulting therefrom. Customer hereby authorizes Freeman, it agents, employees or assignees, the right to enter the premises for the purposes of inspection, maintenance and repair of said system. Customer shall notify Freeman immediately of any defects or interruptions of service with regard to the above system. Furthermore, Customer shall not permit access, except by authorized employees of Freeman, to the equipment supplied by Freeman to Customer during the effective term of the agreement. Customer agrees not to authorize or permit maintenance, repairs or modifications of any kind to be made or attempted to the system, except by Freeman, unless approved in advance by Freeman. In the event of any loss or damage to equipment supplied by Freeman to Customer resulting from any act of negligence on the part of the Customer or its agents, malicious intent, fire, accidents or acts of God, Customer agrees to pay Freeman for the cost of repairing or replacing said equipment. THE FOLLOWING PROVISIONS ARE APPLICABLE TO ALL SERVICES WHICH FREEMAN HAS AGREED TO PROVIDE TO CUSTOMER, AS INDICATED HEREINABOVE: A) Freeman warrants that its service under this Agreement will be competent and that any parts installed in the system will meet manufacturer's specifications at the time of installation. B) Freeman reserves the right to increase the fees required to be paid by Customer herein, as detailed above, but only by written notice of said increase given by Freeman to Customer of no less than thirty (30) days prior to the effective date of the fee increase. C) When parts are necessary in order to provide service under this Agreement, Freeman will, at its option, use parts which are new. Freeman reserves the right to substitute replacement parts of equal quality and function. Other parts as may be needed shall be charged to the Customer at Freeman's regular prices for same. All replacement parts shall become the property of Customer. D) Occasionally, manufacturers may issue without charge mandatory upgrades to equipment necessary to assure proper operation of the system. When, in such an event, installation of such upgrades can be accomplished in the opinion of Freeman as incidental to a normal inspection or other service call, Freeman will do so at no additional charge. However, if said upgrade requires other parts not currently part of the Fire Alarm System, said additional parts shall be paid for by the Customer at Freeman's regular prices. Failure to have such upgrades required by the manufacturer installed on the Customers system shall relieve Freeman from further performance under this Agreement but shall not relieve the Customer of its obligations hereunder. E) The Customer shall provide an adequate working space, including light, heat, ventilation, electricity and telephone access for Freeman's use in providing service under this Agreement. F) The Customer shall designate a suitable representative as the exclusive contact person between Customer and Freeman. This representative shall have the authority to make decisions on behalf of the Customer concerning service of the system. Customer shall notify Freeman in the advent that they need to designate a new representative as soon as possible. G) Freeman agrees to provide on-call or emergency service to Customer as soon as reasonably practical to do so. Freeman will make reasonable efforts to attend promptly to the emergency needs of the Customer, but Freeman can make no guarantee about the time of response by Freeman, or what may be necessary to properly service the system and replace or repair malfunctioning components. H) Except as specifically set forth in this Agreement, Freeman makes no warranties, express or limited, as to any matter whatsoever, including warranties of the merchantability or fitness for a particular purpose, and there are not warranties or representations which extend beyond the face of the Agreement. I) Customer agrees to indemnify and hold Freeman harmless against any claims or demands by the present or future owners of the premises on which the system is installed. J) In the event that Customer fails to pay the required fees as set forth above in a timely fashion, this Agreement may be terminated upon ten (10) days' written notice mailed by Certified Mail, Return Receipt Requested, to Customer. K) Freeman shall not be responsible for defective or failed service due to weather, accidents, state or municipal interference, or strike. L) This Agreement shall not be assignable by Customer, and shall not be altered except upon the written consent of both parties. M) This written Agreement constitutes the entire agreement between the parties and any prior oral representations or statements made by either party to the other are superseded by this written Agreement.
