RESOLUTION NO. 93-268
RESOLUTION AUTHORIZING THE MAYOR TO SIGN AND THE CITY CLERK TO
ATTESTTHE RELEASE OF A LIEN FOR PROPERTY LOCATED AT 512 SOUTH
SUMMIT STREET, IOWA CITY, IOWA.
WHEREAS, on June 4, 1990, the property owners of 512 South Summit Street, Iowa City, Iowa,
executed a rehabllitallon agreement and Interim lien In the amount of $17,500 In exchange for
a no.lnterest loan: and
WHEREAS, the Interim lien required the owners to execute a Promissory Note for a low-Interest
loan if, after two years, the City determined that the owners could repay the loan: and
WHEREAS, on March 13, 1993, the owners executed a Promissory Note and Mortgage
superseding the Interim lien: and
WHEREAS, the owners paid the balance due under all loan Instruments on October 1, 1993.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF IOWA CITY,
IOWA that the Mayor Is authorized to sign and the City Clerk to attest the attached Release of
Lien for recordallon, whereby the City does release the affected property from an obligation of
the property owners at512 South Summit Street, Iowa City, Iowa, to pay to the City the principal
amount of $t 7,500, which obligation was recorded In Book 1 t 54, Pages 173-175, and In Book
1522, Pages 35,46 of the Johnson County Recorder's Office.

Lot 3 In Block 4 In Summit Hili Addition to Iowa City, Iowa according to the recorded plat
thereof, except the east 125' thereof, and except the south 30' of the west 150' thereof.
from an obligation of the property owners of 512 South Summit Street to the City of Iowa City In
the principal amount of $17,500 originally represented by an Addendum to Real Estate Contract
and Statement of Interim Lien recorded In the Johnson County Recorder's Office on June 4,
1990, In Book 1154, Pages 173.175, The obligation was subsequently represented by a
Rehabilitation Agreement, Promissory Note and Mortgage recorded in the Johnson County
Recorder's Office on April 6, 1993, In Book 1522, Pages 35.46,
This obligation has been satisfied and the property Is hereby released, In full, from any liens or
clouds upon title to the above property by reason of said prior recorded documents,

WHEREAS, on December 18, 1987, the property owner of 2018 Union Road, Iowa City, Iowa,
executed a Promissory Note to the City of Iowa City In the amount of $2,600 In exchange for a
no.lnterest loan; and
WHEREAS, said Promissory Note created a lien against the subject properly; and
WHEREAS, on October 4, 1993, the Owner paid the balance of the loan In full.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF IOWA CITY,
IOWA, that the Mayor Is authorized to sign and the City Clerk to attest the attached Release of
Uen for recordation, whereby the City does release the affected properly from an obligatfon of
the properly owner at 2018 Union Road to pay to the City the principal amount of $2,600, which
obllgatfon was recorded in Book 990, Pages 257 of the Johnson County Recorder's Office,

main, and paving improvements for Walden Wood, Part 4 has been completed in
substantial accordance with the plans and specifications of the Engineering
Division of the City of Iowa City. The required maintenance bonds are on file In
the City Clerk's office for the sanitary sewer, storm sewer, and water main

RESOLUTION AUTHORIZING THE MAYOR TO SIGN AND THE CITY CLERK TO
ATTEST A PARTIAL RELEASE AGREEMENT CONCERNING THE STORMWATER
MANAGEMENT EASEMENT AGREEMENT FOR IDYLLWILD CONDOMINIUMS
WHEREAS, the City of Iowa City, Iowa, a municipal corporation (hereinafter '1he City") and
Idyllwlld, Inc, (hereinafter "Developer") entered Into a Stormwater Management Easement
Agreement for Idyllwlld Condominiums dated February 12, 1992, and recorded In the Johnson
County Recorder's Office In Book 1337, Pages 163,167; and
WHEREAS, the Stormwater Management Easement Agreement and Large Scale Residential
Development (LSRD) Plan for Idyllwlld Condominiums obligate Developer to construct two
stormwater management facilities; and
WHEREAS, the City does not ordinarily release a development from the construction
requirements relating to stormwater management facilities until the City Eng!neer certifies that
permanent groundcover Is established and mowable; erosion and sedimentation are wholly or
substantially controlled; and substantially all lots wllhln the tributary area In the development have
been developed; and
WHEREAS, In the Interim, a lien remains on Idyllwlld Condominiums with a cloud on the titles to
all the condominiums In the development; and
WHEREAS, local builders and flnanclallnslltutions are unable to market local mortgages on the
secondary mortgage market by reason of these liens and clouds on the tltie; and
WHEREAS, the Partial Release Agreement would remove the cloud on the title to Idyllwlld
Condominiums, while protecting the City by reason of the lien attaching to an established escrow
fund, said escrow fund to be established and maintained by the City Finance Department; and
WHEREAS, the remaining requirements for maintenance, access and other requirements of the
Stormwater Management Easement Agreement and the requirement of the LSRD plan would
continue In full force and effect, In order to protect the Interests of both parties.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF IOWA CITY,
IOWA, THAT:
1. It Is In the public Interest to execute the Partial Release Agreement fOf Idyllwild
Condominiums In order to protect local property values,
2. The Council finds that transferring the real estate lien to the escrow account Is reasonable
under the circumstances and protects the City's Interests.
3. The Mayor Is hereby authorized to execute and the City Clerk to attest the Partial Release
Agreement, a copy of which is atteched hefeto, Developer shall record this agreement
In the Johnson County Recorder's Office.

PARTIAL RELEASE AGREEMENT

This Partial Release Agreement Is made between the City of Iowa City, Iowa, a municipal
corporation (hereinafter '1he City") and Idyllwlld, Inc, (hereinafter "Developer").
IN CONSIDERATION OF THE MUTUAL PROMISES CONTAINED HEREIN, THE PARTIES AGREE
AS FOLLOWS:
1. The parties acknowledge that by reason of a Large Scale Residential Development Plan
and Stormwater Management Easement Agreement for Idyllwlld Condominiums
(hereinafter "Development") dated February 12, 1992, and recorded In the Johnson
County Recorder's Office In Book 1337, Pages 163,167, Developer Is obligated to
construct Stormwater Management Facilities (hereinafter "Facilities") as required by the
City and as a benefit to the Development. The parties further acknowledge that this
obligation Is deemed a covenant running with the land,
2, The parties acknowledge that $7,500,00 has been placed In escrow with the City for
Idyllwlld Condominiums, The parties further acknowledge that this escrow Is being
retained by the City pending completion of the Facilities, as certified by the City Engineer.
3. The City acknowledges that construction of the Facilities herein has been substantially
completed, but that final release of the Facilities by the City Is not yet appropriate, For
this reason, the Agreement constitutes a lien and cloud on the property in the
Development.
4. In consideration of the City's release of Its lien on the property, Developer agrees that the
lien on the property In the Development shall be transferred to and shall Immediately
attach to the escrow for this property, and that this lien shall remain attached to the
escrow until such time as the Facilities has been completed; permanent groundcover Is
established and mowable; erosion and sedimentation are controlled; and, In the opinion
of the City Engineer, substantially all land within the tributary area In the Development has
been developed. At such time, the City will Issue a final release to the Developer for
recordation,

Developer agrees that said escrow wlli be retained unlll all work on the Facilities has been
completed and the Facilities are IInally released by the City as provided above.
In consideration thereof, the City does hereby release Idyllwild Condominiums from any
lien or cloud now placed on the title to the above property for the purposes stated In
paragraphs 1 through 4 above,

This Partial Release Agreement shall not be construed as a release of Developer's
obligations to complete the stormwater management facilities and the site work Incident
thereto, which obligations shall remain the Developer's responsibility unlll the Facllllles
have been completed and finally released by the City, Nor shall this Partial Release
Agreement In any way alter, amend or modify the Stormwater Management Easement
Agreement recorded In the Johnson County Recorder's Office In Book 1337, Pages 163.
167, or the LSRD and OPDH plans except as provided In this agreement.

WHEREAS, the owner, Braverman Development, Inc,. requested the City to release the portion

Release and incorporated by this reference; and

WHEREAS, 'Braverman Development, Inc. has agreed to provide a new water main,
sanitary sewer and storm sewer easement to the City; and
WHEREAS, it is necessary to relocate the easement in order to connect new utility lines to
existing City facilities; and
WHEREAS, the City Engineer requires an updated plat for their files; and
WHEREAS, the Owner agreed that its Engineer will revise the mylar of the original plat of
Walden Wood, Parts 3,7 to remove the existing easement and incorporate the new easement,
NOW, THEREFORE. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF IOWA CITY,
IOWA, THAT:
1 The Mayor is hereby authorized to sign and the City Clerk to attest the attached
Release of Storm Sewer Easement.
2. The Mayor is hereby authorized to sign and the City Clerk to attest the Water Main,
Sanitary Sewer and Storm Sewer Easement Agreement, a copy of which is attached
hereto.
3. The City Clerk is hereby authorized and directed to certify a copy of this Resolution for
recordation in the Johnson County Recorder's Office together with the attached
Release and the Water Main, Sanitary Sewer and Storm Sewer Agreement. The Clerk
is directed to release the documents for recording only after the City Engineer notifies
her that Owner's engineer has revised the mylar of the Final Plat for Walden Wood,
Parts 3.7, romoving the released easement and incorporating the new easement.

The City of Iowa City, Iowa, does hereby release the property designated "15' Wide Storm Sewer
Easement Vacated" on the Plat and legally described on Exhibit A, attached hereto and
Incorporated by reference, from a lien or cloud upon the title placed thereon by a storm sewer
easement granted to the City. This easement Is originally shown on the Final Plat of Walden
Wood, Part 6, an Addition to the City of Iowa City, which Is recorded In Plat Book 32, Page 39
of the records of the Johnson County Recorder's OHice. Said easement Is hereby released.
The City retains the remainder of the storm and other easements not released by this document.

WATER MAIN, STORM SEWER, AND SANITARY SEWER EASEMENT AGREEMENT
This Agreement Is made by and between Braverman Development, Inc" a corporation,
(hereinafter "Owner"), and the City of Iowa City, Iowa, a municipal corporation (hereinafter '~he
City").
NOW THEREFORE, THE PARTIES AGREE AS FOllOWS:
For the sum of One Dollar and other valuable consideration, receipt of which Is hereby
acknowledged, Owner hereby grants and conveys to the City, an easement for purposes of
excavating for and the Installation, replacement, maintenance and use of such water main, storm
sewer and sanitary sewer lines, pipes, mains and conduits as the City shall from time to time
elect for conveying water, storm water, and/or sewage together with all necessary appliances and
fittings for use In connection with said lines and adequate protection thereof and also a right-of.
way with right of Ingress and egress thereto, over and across the premises designated on the
Plat A attached hereto and Incorporated by reference (hereinafter "easement area") legally
described as follows:

Owner further grants to the City the following rights In connection with the easement:
1. The right to grade said easement area for the full width thereof, and the right to extend
the cuts' and fills for such grading into and on said land along and outside of said easement
area, to such extent as the City may find reasonably necessary,
2. The right from time to time to trim, cut down and clear away all trees and brush on
said easement area and on either side of said easement area which now or hereafter In the
opinion of the City may be a hazard, to the water main, storm sewer and/or sanitary sewer lines,
or may Interfere with the exercise of the City's rights hereunder In any manner,
The City shall Indemnify the Owner against any loss and damage which shall be caused '
by the negligent exercise or eny said ingress or egress, construction, use or maintenance rights
by the City or its agents or employees In the course of their employment.
The Owner reserves a right to use said easement area for purposes which will not
Interfere with the City's full enjoyment of Its rights hereby granted; provided that the Owner and
Contract Purchaser shall not erect or construct any building, fence or other structures; plant any
trees, drill or operate any well; construct any obstructions on said easement area; or
substantially add to the ground cover of said easement area.
The Owner hereby covenants with the City that it Is lawfully seized and possessed of the
real estate described above, arid that It has good and lawful right to convey It or any part thereof,
Nothing In this Agreement shall be construed to Impose a requirement on the City to
Install the original public Improvements at Issue In this easement. Nor shall the Owner be

Improvements. The parties agree that the obligation to Install the public improvements herein
shall be in accordance with City specifications, and the obligation shall remain on the Owner until
completion, and until acceptance by the City, as provided by law,
Owner further agrees that its engineer shall promptly, upon approval of this Agreement, revise
the mylar drawing of Walden Wood Parts 3 through 7 which Is on file In the City Engineer's Office
to show the new easement and remove the original easement released by the City In conjunction
with the execution of this Agreement.
This easement shall Inure to the benefit of and bind the successors and assigns of the
respective parties hereto. All covenants shall be deemed to apply to and run with the tllle to the
land.

RESOLUTION APPROVING THE PRELIMINARY PLAT OF WINDSOR RIDGE
SUBDIVISION, PART ONE, JOHNSON COUNTY, IOWA.
WHEREAS, the applicant, Windsor Ridge Development, Co., filed with the City Clerk of Iowa City,
Iowa, an application for approval of the preliminary plat of Windsor Ridge Subdivision, Part One,
Johnson County, Iowa; and
WHEREAS, the Department of Planning and Community Development and the Public Works
Department examined the proposed preliminary plat and recommended approval of same; end
WHEREAS, the Planning and Zoning Commission examined the preliminary plat, and after due
deliberation recommended that the plat be accepted and approved; and

BACKGROUND INFORMATION:
The request for the four lot, 5.57 acre subdivision resulted from the annexation of the
surrounding 240 acre Windsor Ridge tract into Iowa City. The Code of Iowa prohibits the
creation of an island of County land within an area annexed into the City. The Weinsteins,
who own and reside on property centered within the Windsor Ridge tract, did not oppose the
Windsor Ridge annexation, but wanted their land to remain in the County. The Windsor Ridge
developers proposed to create a peninsula, not an island, of County land by connecting the
Weinstein proparty with e 50.foot wide strip of land to American Legion Road, a County road.
The City Development Board, a State agency, approved the annexation of the 240 acre tract
on May 26, 1993, subject to tha County area connecting the Weinstein property to American
Legion Road being widened from 50 feet to 200 feet in width. At the north end, the width
of the connecting strip of land narrows to 132 feet.
The County portion of the Windsor Ridge tract, Windsor Ridge, Part One, has been submitted
for preliminary and final plat approval. The lots of this subdivision have been lettered instead
of numbered. and are referred to as tracts instead of lots or outlots to avoid confusion with
the lot notation for the City portion of the Windsor Ridge Subdivision. Tracts A, Band Care
to remain undeveloped until the Windsor Ridge, Part One Subdivision and the Weinstein
property are annexed Into Iowa City.
Upon annexation, it Is likely that Tracts A and C will be daveloped as residential lots within
the Windsor Ridge Subdivision In tha City. Tract B will function, whether in the County or In
the City, as a part of Outlot C, and should be maintained by the Windsor Ridge Homeowners
Association both prior to and following any annexation. The remaining land in the subdivision

City. This tract also contains a portion of the American Legion Road right-of-way.

The proposed Windsor Ridge, Part One Subdivision is located in Fringe Area 5. According to
the Comprehensive Plan, Fringe Area 5 is expected to develop for residential uses at low to
medium densities. However, while this subdivision remains within the County. no develop-
ment of the tracts other than street construction and installation of utilities and storm water
detention facilities should ba permitted. The City desires that development in this area occur
at urban densities with urban services. Large rural residential lots with private wells and
septic systems would be spatially inefficient in the urban context of the proposed Windsor
Ridge development in the City. Further, in accordance with City policy, residential
development in the County will not be provided City services until the land is annexed into the
City and City taxes are baing paid on that land.
Zonino Ordinance
The County zoning for the subject tract is RS, Suburban Residential. No portion of Windsor
Ridge, Part One will be developed for residential uses, however, until annexed into the City.
Subdivision Reoulations
Although tha proposed Windsor Ridge, Part One Subdivision is located in Johnson County, the
subdivision has been designed in compliance with the Iowa City subdivision regulations. As
with the City portion of the Windsor Ridge development, the developer has agreed to pay for
all of tha costs associated with providing infrastructure, including the construction of sewer
lines, water mains and streets for the Windsor Ridge, Part Ona Subdivision. Because the
subdivision is considered to ba out-of,sequence development, the developer is expected to pay
full costs for all oversized infrastructure as well as the local facilities.
The plat appears to be in general compliance with the City's subdivision regulations.
Howaver, legal papers must be approved by the City Attorney's Office, and a Grading and
Erosion Control Plan, construction plans and stormwater calculations must be approved by the
Public Works Department. These requirements and other technical deficiencies are listed at
the end of the report.

The streets within the proposed County subdivision include portions of Coventry Court and
Inverness Drive as well as Arlington Drive, which will ba constructed generally In alignment
with the existing Owl Song Lane. These streets will be constructed at urban standards and
dedicated to the City. The streets are designed to integrate with the surrounding Windsor
Ridge development located in the City. The median that is part of the Arlington Drive
entranceway has been approved by the City Public Works Department. The cut through is
located in the median to allow sufficient accass for the residential lots located next to the
median east of Arlington Drive, and eventually when this tract is annexed into the City, for
the residential lots to be located west of the Arlington Drive median.

RESOLUTION AUTHORIZING THEAcaUISITION OF TEMPORARY CONSTRUC-
TION EASEMENTS FOR THE CONSTRUCTION OF THE 1993 PAVING
ASSESSMENT PROJECT.
WHEREAS, the City of Iowa City has undertaken a project to pave 198 feet of 16.foot wide
concrete alley south of Bowery Street between Johnson and Dodge Streets, which project is
known as the 1993 Paving Assessment Project ("Project"); and
WHEREAS, the Project includes new Portland Concrete Cement pavement, curb and gutter;
and
WHEREAS, the City Council has been advised and has determined that the acquisition of
temporary construction easements is necessary for construction of tha Project; and
WHEREAS, the City Engineer has determined the location of the necessary temporary
construction easements; and
WHEREAS, the City staff should be authorized to acquire said temporary construction
easements at the best overall price and cost to the City.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF IOWA CITY,
IOWA, THAT:
1. It is in the public interest to acquire temporary construction easements for the
construction of the improvements included in the 1993 Paving Assessment Project,
and acquisition of said temporary construction easements constitutes a valid public
purpose.
2. The City Engineer or his designee is hereby authorized and directed to negotiate the
purchase of temporary construction easements for the construction of the improve-
ments included in the 1993 Paving Assessment Project.
3.
In the event negotiation is successful, the Mayor and City Clerk are hereby authorized
to execute Temporary Construction Easement Agreements, an example of which is
attached hereto, for recordation in the Johnson County Recorder's Office at the City's
expense. The City Attorney is hereby directed to take all necessary action to complete
said transactions, as required by law.
4. In the event temporary construction easements cannot be acquired by negotiation, the
City Attorney is hereby authorized and directed to initiate condemnation proceedings
for the acquisition of such temporary construction easements.

TEMPORARY CONSTRUCTION EASEMENT AGREEMENT
FOR
THIS AGREEMENT, made and entered into by and between
,hereinafter "OWNER", and the City of Iowa City, Iowa, a municipal
corporation, hereinafter "CITY."
In consideration of their mutual promises herein, OWNER and CITY agree as follows:
'1.
The undersigned OWNER states and covenants that it Is the owner of certain real
estate described in Exhibit A allached hereto, by virtue of legal and/or equitable title,
that it is lawfully seized and possessed of said real estate, and that it has good and
lawful right to convey this easement. ' ,
2.
OWNER does hereby grant and convey to the CITY a temporary construction easement
In, over and across that portion of OWNER'S property described and shown in Exhibit
A attached hereto (hereafter "Temporary Easement Area") for the purpose of
facilitating the City's construction of the
("public improvement"), which grant to CITY shall include necessary grading,
excavation, piling of dirt, regrading, restoration, storage of materials and equipment,
and ingress and egress of persons and equipment to the Temporary Easement Area,
as needed to complete said public improvement.
3.
The term of this Temporary Construction Easement will be for the period of time
required by the CITY to complete the construction of the public Improvement, but In
no event shall the duration of the Temporary Construction Easement extend beyond

With respect to the Temporary Construction Easement, OWNER grants the following
rights:
a. The CITY shall have the right to make excavations within the Temporary
Easement area, and to grade as CITY may find reasonably necessary for the
construction. The CITY covenants and agrees to protect such excavations
during construction; to promptly fill said excavations following construction;
and to be liable for and hold OWNER harmless frorT) third party liability during
said construction.
b, The CITY shall promptly backfill any trench made by it, and repair any dameges
caused by the CITY within the Temporary Easement Area. The CITY shall
Indemnify OWNER against loss or damage which occurs as a result of the
CITY'S,negligent acts or omissions in the exercise of its easement rights herein.
Once the Temporary Easement Area has been restored to substantially its prior
condition and except as expressly provided in this Temporary Eesement
Agreement, the CITY shall have no further responsibility for maintaining the
Temporary Easement Area.

Tho CITY shall have the right of ingress and ogress to and from the Temporary
Easement Area by such route within the Temporary Easement Area as shall
occasion the least practical damoge and inconvenience to the OWNER. '

d. The CITY shall have the right to trim or remove all trees and brush which may
interfere with ihe exercise of the CITY'S rights pursuant to this Temporary
Easement Agreement.
5.
The CITY covenants and agrees that existing driveways, fences, underground drainage
tile or other site features which are removed or disturbed shall, to the extent
reasonably possible, be replaced by CITY to conform with feetures or Items removed
during construction. CITY further agrees that ell grassed areas disturbed by the
construction shall be sodded within a reasonable time after construction is complete,
6. The CITY covenants and agrees to remove and stockpile existing topsoil from ereas to
be excavated,to be used in the event of any repair. Following installation of the public
improvement, all areas within the Temporary Easement Area which are disturbed wij,
be graded to form a uniform slope, and topsoil shall be replaced and respread over
disturbed areas, thereby restoring said area substantially to its prior condition.
7. ,The CITY shall indemnify OWNER against any loss or damage which may occur in the
negligent exercise of the CITY'S easement rights herein, except for loss which may be
occasioned by a diminution in business during this Temporary Easement as set out in
the attached Schedule of Crop Loss marked Exhibit B and incorporated herein by
reference.

8. The provisions hereof shall inure to the benefit of and bind the successors and assigns
of the respective parties hereto, shall be deemed a covenant which runs with the land
and with the title to the land, and shall be recorded in the Johnson County Recorder's
Officer, at CITY expense.

RESOLUTION AUTHORIZING THE MAYOR TO SIGN AND THE CITY CLERK TO
ATTEST A WATER MAIN EASEMENT AGREEMENT, A SANITARY SEWER EASEMENT
AGREEMENT AND A STORM WATER DETENTION FACILITY EASEMENT
AGREEMENT FOR THE MENARDS FACILITY LOCATED ON THE DANE TRACT.
WHEREAS, under the terms of the Conditional Zoning Agreement for the Dane Tract, Menards
must submit a concept plan for development of the Menards facility; and
WHEREAS, as part of the concept plan for the Menards Facility, the City requires the owners of
property In the Dane Tract to enter Into Water Main, Sanitary Sewer and Storm Water Detention
Facility Easement Agreements with the City; and
WHEREAS, the easement agreements require City Council approval; and
WHEREAS, the execution of said easement agreements Is In the public Interest and advances
the pubilc health, safety and welfare of the citizens of Iowa City, Iowa,
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF IOWA CITY,
IOWA, THAT:
The Mayor Is hereby authorized to sign and the City Clerk to attest the Permanent Water
Main Easement Agreement, Permanent Sanitary Sewer Easement Agreement and Storm
Water Detention Facility Easement Agreement.

WHEREAS, the City desires to remove and recycle certain solid waste in a manner consistent
with regulations developed by the U.S. Environmental Protection Agency, the Iowa
Department of Natural Resources and consistent with good environmental practices; and
WHEREAS, an agreement has been negotiated with City Carton Company, Inc. to provide
recycling services to the City of Iowa City, which agreement is attached hereto; and
WHEREAS, the City Council finds it to be in the public interest to enter into said Agreement.
NOW THEREFORE BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF IOWA CITY,
IOWA THAT:
1. It is in the public interest to continue recycling efforts in Iowa City, and the attached
Agreement for Recycling Services is a reasonable method of reducing the volume of
solid wastes disposed at the Lendfill.
2. The Agreement attached hereto and made a part hereof is approved as to form and
content.

AGREEMENT FOR RECYCLING SERVICES
This Agreement Is being made and entered into between the City of Iowa city ("City") end
City Carton Company, Inc. ("Contractor") for services in connaction with solid waste
recycling.
WHEREAS, the City desires to remove and recycle certain solid waste in e manner consistent
with regulations daveloped by the U.S. Environmental Protection Agency, the Iowa
Department of Natural Resources and consistent with good environmental practices.
WHEREAS, an agreament has been negotiated with City Carton Company, Inc. to provide
recycling services to the City of Iowa City, which agreement is attachad hereto; and
WHEREAS, the City Council finds it to be in the public interest to enter into said Agreement.
NOW THEREFORE, in consideration of their mutual promises, City and Contractor agree as
follows:
I. STORAGE AND REMOVAL
1. Contractor agrees to provide recycling services to the City of Iowa City for the
following solid waste material, hereinafter called "recycling material:" magazines,
newsprint, mixed paper, old corrugated containers, plastic, tin and glass. Contractor
agrees to provide said recycling services in a reasonably safe and good faith mannor.
2. Contractor shall provide all necessary labor, equipment and materials for performing
services describad herein. These shall be considered an integral part of the service,
and no additional compensation will ba paid therefor.
3. Contractor shall provide a drop.off site suitable for the unloading of recyclable
materials from refuse packer trucks, side loader trucks and dump trucks, as delivered
by City or its agents, in order to ensure total storage of all recyclable materials
delivered to the Contractor's place of business at Clinton Street and Benton Street.
Contractor agrees to also receive recyclable materials delivered to Contractor's drop-off
site. Once City drops the recyclable materials off at Contractor's plant, Contractor
assumes all responsibility for said recyclable materials.
4. Contrector agrees to have no markings on vehicles or containers that indicate or tend
to indicate any official relationship between the Contractor and the City.
5. The City's hauling vehicles shall be weighed on the Contractor's scale upon entry to
the Contractor's place of business, and shall be weighed again when unloaded and
prior to leaving the site. A copy of the scale ticket will be given to City's driver at that
time. Records of net weight of recyclable materials delivered shall be forwarded to the
City on a monthly basis, and shall be deemed accurate and accepted unless objected
to by City within ten (10) calendar days of receiving the monthly records. The
Contractor shall maintain accurate cumulative records for the duration of this
Agreement, and shall provide such records to the City within a reasonable time after
City's request.
6.
Controctor will provide City with access to Contractor's place of business during City's
normal working hours of 6:00 AM to 5:00 PM, Monday through Friday. This provision

commercial properties as defined in the Iowa City Code of Ordinances, as amended.
The City will deliver the recyclable materials collected to the Contractor's place of
business. as previously described above.
17. The City will not sort the deposited recyclable materials, either for the City's
convenience or the convenience of the Contractor.
18. City agrees that it will not knowingly or intentionally deliver to Contractor any
materials contaminated by hazardous waste.
IV. GENERAL PROVISIONS
19. The City reserves the right to terminate this Agreement upon 10 calendar days' written
notice for Contractor's substantial violations of state or federal law or City ordinance,
which violations are directly related to the subject matter of this Agreement. If the
violation is not cured within the cure period given, this Agreement shall terminate
unless 1) Contractor hes made substantial steps to cure the violation prior to expiration
of the 1 Q-day period; and 2) City, in its discretion, agrees not to terminate.
20. This Agreement shall remein in effect for a period of three (3) years from and after the
date of the City's execution thereof,
21. This Agreement shall be governed by the laws of the State of Iowa.
22. Neither the City nor the Contractor shall assign or transfer its interest in this
Agreement without the written consent of the other. Nor shall Contractor or City
compete against the interests of the other. To this end, Contractor specifically agrees
not to compete with City in the installation of drop-off bins for collection of recyclable
materials within the confines of the city limits of Iowa City. However, this non-
competition agreement shall in no way prohibit either Contractor or City from setting
up bins or collections intended to benefit non-profit and/or charitable organizations.
23. This Agreement represents the entire agreement between the City and the Contractor
and supersedes all prior negotiations. representations or agreements, whether written
or oral. This Agreement may be amended only by written instrument signed by both
the City end the Contractor, and attached as an Addendum.
24. Nothing contained in this Agreement. nor the performance of the Parties hereunder,
is intended to benefit any third party.
25. If anyone or more of the provisions conteined in this Agreement are held to be invalid,
illegal, or unenforceable, this Agreement shall be deemed severable and the remainder
of the Agreement shall remain in full force and effect.

26. The Contractor shall not commit any of the following employment practices, and
agrees to include the following clauses in any of its subcontracts:
Contractor agrees not to:
(a) Discharge from employment or refuse to hire any individual because of sex,
race, color, religion, national origin, sexual orientation, marital status, age, or
disability unless such disability is related to job performance of such person or
employee.
(b) Discriminate against any individual in terms, conditions, or privileges of
employment because of sex, race, color, religion, national origin, sexual
orientation, marital status, ege or disability unless such disability is related to
job performance of such person or employee.
V. COMPENSATION
27. a.
Magazine. No compensation shall be paid for magazines delivered to Contractor
by City.
b. Newsprint. A unit price par ton shall be paid for each ton of newsprint
delivered to Contractor by City. The unit price per ton of newsprint to be paid
each month to the City, or by the City, shall be the difference between the unit
deduct price of $30.00 for newsprint from drop boxes and $20.00 for
newsprint from curbside and the per ton base price ("base price") as determined
from the second monthly issue of the Official Board Market [No. 6 News
Chicago], and as set on the first effective day of each month. If more than one
base price is listed, the highest price shall govern. Parties agree the unit price
deduct herein is $30.00 and $20.00 respectively per gross ton of newsprint.
Parties further agree that if the base price is less than the unit deduct price, the
City will pay the difference to the Contractor. Conversely, the Parties agree
that if the base price is higher than the unit deduct price, the Contractor will
pay the difference to the City.
c. Mixed Paper. The City shall pay to the Contractor $35.00 per ton for mixed
paper delivered to Contractor by City.
d. Old Corrugated Containers. At a minimum, the Contractor will pay the City the
same price per ton from old corrugated containers delivered to Contractor by
City as the Contractor pays the public for old corrugated containers.
e. Plastic, Tin and Glass. No compensation shall be paid for plastic, tin end glass
delivered to Contractor by City.
28. If payment to the City is appropriate after calculating the difference between the base
price and the unit deduct price, payment to the Iowa City Accounting Division, 410
East Washington St., Iowa City, Iowa 52240 will be due and payable within 30 days
of the last day of each calendar month. Delinquent payments shall draw interest at
1.5% per month from the due date, until paid. Contractor also agrees that if this
account Is turned over to an agency for collection, Contractor agrees to pay court
costs and reasoneble etlorney fees.

29. If payment to Contractor is appropriate after application of the unit deduct method set
forth above, payment to City Carton Company, Inc., 3 East Benton Street, Iowa City,
Iowa 52240 will be due and payable within 30 calendar days of the last day of each
calendar month. Delinquent payments shall draw interest at 1.5% per month from the
due date, until paid. City also agrees that in the event this account is turned over to
an agency for collection, City agrees to pay court costs plus reasonable attorney fees.
VI. LIABILITY
30. The Contractor is solely responsible for the means, methods, sequencing end
procedures used in fUlfilling its obligations under this Agreement, and Is solely
responsible for the safety of Contractor's personnel and its own operations.
VII. INSURANCE
31. Certificate of Insurance; Cancellation or Modification
(a) Before commencing work, the Contractor shall submit to the City, for approval,
Certificates of Insurance, which shall meet the requirements specified herein
and shall remain in effect for the full agreement period.
(b) , The Contractor shall notify the City in writing at least thirty (30) calendar days
prior to any substantial changes or in the event of any cancellation or notice of
non.renewal of said policy, policies or coverage.
(c) Cancellation or non.renewal of said policy or policies shall be considered just
cause for the City of Iowa City to immediately cancel this Agreement and/or to
halt work under this Agreement.
32. Minimum Coverage

(b) In addition, the Contractor shall be required to comply with the following
provisions with respect to insurance coverage:
1) The entire amount of Contractor's liability insurance policy coverage
limits, identified in the policy and on the Certificate of Insurance, must,
under the policy, be available to pay damages for which the insured
Contractor becomes liable, or for which the insured assumes liability
under the indemnity agreement herein contained, and such coverage
amount shall not be subject to reduction or set off by virtue of investiga-
tion or defense costs incurred by Contractor's insurer.
2) The entire amount of the Contractor's liability insurance policy coverage
limits shall be payable by the Contractor's insurer, with no deductible to
be paid by, or self-insured retention to be attributed to, the Contractor
unless this requirement is waived by the City. Contractor's Certificate
of Insurance must set forth the nature and amount of any such
deductible or self-insured retention.
3) If Contractor's liability insurance coverage is subject to any special
exclusions or limitations not common to the type of coverage being
provided, such exclusions or limitations shall be noted on the Certificate
of Insurance.
4) Contractor agrees to provide City with "occurrence form "liability
insurance coverages.
VIII. MISCELLANEOUS
33. Hold Harmless; Endorsement Required
a.
The Contractor shall indemnify, defend and hold harmless the City of Iowa City
and its officers, employees, and agents from any and all liability, loss, cost,
damage, and expense of whatever nature, which may result from the negligent
acts or omissions of Contractor, including Contractor's agents, assigns, officials
and employees. This provision shall apply to and include costs of defense,
reasoneble attorney fees and court costs, and shall apply to all such claims
regardless of whether the claims are meritorious.
b. It is further agreed that the Contractor's Insurance coverage shall Include an
endorsement that, with regard to Contractor's insurance coverage, the
Contractor shall not assert any claim against the City, its officers or employees
arising in any way from this Agreement. This in no way precludes Contractor
from esserting claims for damages arising from the City's own negligence,

Independent Contractor
Contractor, including any of its subcontractors, are not and shall not be deemed to be
an agent or employee of the City of Iowa City, Iowa, but at alltime~ are deemed to be
independent contractors.
