RESOLUTION NO. 93-317
RESOLUTION AUTHORIZING THE MAYOR TO SIGN AND THE CITY CLERK TO
ATTEST THE RELEASE OF A LIEN REGARDING A PROMISSORY NOTE
EXECUTED FOR PROPERTY LOCATED AT 412 DOUGLAS COURT, IOWA CITY,
IOWA.
WHEREAS, on September 28, 1989, the property owners of 412 Dougles Court, Iowa City,
Iowa, executed a Promissory Note to the City of Iowa City in the amount of $3,000.00 in
exchange for assistance throu9h the Housing Rehabilitation Program; and
WHEREAS, said Promissory Note created a lien against the subject property; and
WHEREAS, on October 10, 1990, the owners amended the original Promissory Note by
executing a second Promissory Note in the amount of $2,873.00. This Note superseded the
originel recorded lien; and
WHEREAS, on December 1, 1993, the owners paid the balance due under the emended
Promissory Note.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF IOWA CITY,
IOWA that the Mayor is authorized to sign and the City Clerk to attest the attached Releese
of Lien for recordation, whereby the City does release the affected property from an obligation
of the property owners at 412 Douglas Court to pay to the City the principal amount of
$2,873.00, which obligation was recorded in Book 1087, Page 70 and from any remaining
obligation which may arise by virtue of the Promissory Note originally recorded in Book 1181,
Page 148 of the Johnson County Recorder's Office.

RESOLUTION AUTHORIZING THE MAYOR TO EXECUTE AND THE CITY CLERK TO
ATTEST A SUBORDINATION AGREEMENT BETWEEN THE CITY OF IDWA CITY,
IOWA AND HAWKEYE STATE BANK FOR PROPERTY LOCATED AT 229 S.
SUMMIT STREET, IOWA CITY, IDWA.
WHEREAS, the City of Iowa City Is the owner and holder of a certain declining balance loan
executed by the owners of the property located at 229 S. Summit Street on May 27,1991, and
recorded January 9, 1992, in Book 13B3, pages 300.305 in the Johnson County Recorder's Office
covering the following.described real estate:
Beginning at the southeast corner of Outlot 2 in Iowa City, Iowa, according to the
recorded plat thereof, thence North 90 feet, thence West 91 feet, thence South 90
feet, thence East 91 feet to the place of beginning;
and
WHEREAS, the current balance of said loan is $5.B40; and
WHEREAS, Hawkeye State Bank, Johnson County. Iowa, proposes to loan the sum of $126,500
on a promissory note to be executed by the owners of 229 S. Summit Street, securing a mortgage
covering the real property described above; and
WHEREAS, it Is necessary that the rehabilitation loan held by the City be subordinated to the lien
of the proposed mortgage in order to induce Hawkeye State Bank to make such a loan; and
WHEREAS, Hawkeye State Bank has requested that the City execute the attached subordination
agreement thereby making said rehabilitation lien held by the City subordinate to the lien of said
mortgage to Hawkeye State Bank; and
WHEREAS, there Is sufficient value In the above.descrlbed real estate to secure said rehabilitation
loan as a second lien.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF IOWA CITY,
IOWA, that the Mayor Is authorized to execute and the City Clerk to attest a Subordination
Agreement between the City of Iowa City and Hawkeye State Bank of Iowa City, Johnson County,
Iowa, which Is attached hereto.

WHEREAS, the Financial Institution proposes to loan the sum of $ 126,500.00 on a
pfomlssory note to be executed by the Financial Institution and the Owner, securing a mortgage
covering the real property described above; and
WHEREAS, to Induce the Financial Institution to make such loan, It Is necessary that the
rehabilitation loan held by the City be subordinated to the lien of the mortgage pfoposed to be
made by the Financial Institution.
NOW, THEREFORE,ln consideration of the mutual covenants and pfomlses of the parties hereto,
the parties agfee as follows:
1. Subordlnallon. The City hefeby covenants and agrees with the Financial Institution that
the above noted rehabilitation loan held by the City Is and shall continue to be subject and
subordinate to the lien of the mortgage about to be made by the Financial Institution.
2. Consideration. The City acknowledges fecelpt from the Financial Institution of One
Hundred and Fifty Dollars ($150.00) and othef good and valuable consideration for Its act
of subordination herein.

WHEREAS, the City of lowe City, lowe (the "Local Authority") proposes to enter into en
Amendatory Agreement which revises the contract (the" Annual Contributions Contract") with
the United States of America (the "Government") with respect to any "Project" as defined in
the Annual Contributions Contract and which at eny time now or hereafter is incorporated
under the terms of such Contract.

Section 1. The Amendatory Agreement in substantially the form hereto attached and marked
"Exhibit A" is hereby approved and accepted both as to form and substance and the Mayor
or Mayor Pro tern is hereby authorized and directed to execute said Contract in five copies on
behalf of the Local Authority, and the City Clerk is hereby authorized and directed to impress
and attest the official seal of the Local Authority on each such counterpart and to forward
said executed counterparts, or any of them. to the Government, together with such other
documents evidencing the approval and authorizing the execution thereof as may be required
by the Government.

Section 2. Whenever the following terms, or any of them. are used in this Resolution, the
same, unless the context shall indicate another or different meaning or intent, shall be
construed, and are intended to have meanings as follows:
(1) The term "Resolution" shall mean this Resolution.
I'
(2) All other terms used in this Resolution and which are defined in the Annual Contribu-
tions Contract shall have the respective meanings ascribed thereto in the Annual
Contributions Contract.
Section 3. All resolutions or parts of resolutions heretofore adopted by the Local Authority
which authorize the issuance and/or delivery of Advance Notes (sometimes called" Advance
Loan Notes") pursuant to the Annual Contributions Contract remain in full force and effect.
Section 4. This Resolution shall take effect immediately.

RESOLUTION AUTHORIZING EXECUTION OF AMENDATORY AGREEMENT #9
TO ANNUAL CONTRIBUTIONS CONTRACT BETWEEN THE CITY AND THE
FEDERAL GOVERNMENT RELATING TO TOTAL DEVELOPMENT COST FOR
PUBLIC HOUSING PROJECT NO. IA05P022008.
WHEREAS, the City of Iowa City, Iowa (the "Local Authority") proposes to enter into an
Amendatory Agreement which revises the contract (the" Annual Contributions Contract") with
the United States of America (the "Government") with respect to any "Project" as defined in
the Annual Contributions Contract and which at any time now or hereafter is incorporated
under the terms of such Contract.
BE IT RESOLVED BY THE LOCAL AUTHORITY as follows:
Section 1. The Amendatory Agreement in substantially the form hereto attached and marked
"Exhibit A" is hereby approved and accepted both as to form and substance and the Mayor
or Mayor Pro tern is hereby authorized and directed to execute said Contract in five copies on
behalf of the Local Authority, and the City Clerk is hereby authorized and directed to impress
and attest the official seal of the Local Authority on each such counterpart and to forward
said executed counterparts. or any of them, to the Government, together with such other
documents evidencing the approval and authorizing the execution thereof as may be required
by the Government.
Section 2. Whenever the following terms, or any of them. are used in this Resolution, the
same, unless the context shall indicate another or different meaning or intent. shall be
construed, and are intended to have meanings as follows:
(1) The term "Resolution" shall mean this Resolution.
(2) All other terms used in this Resolution and which are defined in the Annual Contribu-
tions Contract shull have the respective meanings ascribed thereto in the Annual
Contributions Contract.
Section 3. All resolutions or parts of resolutions heretofore adopted by the Local Authority
which authorize the issuance and/or delivery of Advance Notes (sometimes called "Advance
Loan Notes") pursuant to the Annual Contributions Contract remain in full force and effect.
Section 4. This Resolution shall take effect immediately.

RESOLUTION AUTHORIZING EXECUTION OF AMENDATORY AGREEMENT #11
TO ANNUAL CONTRIBUTIONS CONTRACT BETWEEN THE CITY AND THE
FEDERAL GOVERNMENT RELATING TO TOTAL DEVELOPMENT COST FOR
PUBLIC HOUSING PROJECT NO. IA05P022009,
WHEREAS, the City of Iowa City, Iowa (the "Local Authority") proposes to enter into an
Amendatory Agreement which revises the contract (the "Annual Contributions Contract") with
the United States of America (the "Govarnment") with respect to any "Project" as defined in
the Annual Contributions Contract and which at any time now or hereafter is incorporated
under the terms of such Contract.
BE IT RESOLVED BY THE LOCAL AUTHORITY as follows:
Section'. The Amendatory Agreement in substantially the form hereto attached and marked
"Exhibit A" is hereby approved and accepted both as to form and substance and the Mayor
or Mayor Pro tern is hereby authorized and directed to execute said Contract in five copies on
behalf of the Local Authority, and the City Clerk is hereby authorized and directed to impress
and attest the official seal of the Local Authority on each such counterpart and to forward
said executed counterparts, or any of them, to the Government, together with such other
documents evidencing the approval and authorizing the execution thereof as may be required
by the Govarnment.
Section 2. Whenever the following terms, or any of them. are used in this Resolution, the
same, unless the context shall indicate another or different meaning or intent, shall be
construed, and are intended to have meanings as follows:
(1) The term "Resolution" shall mean this Resolution.
(2) All other terms used in this Resolution and which are defined in the Annual Contribu-
tions Contract shall have the respective meanings ascribed thereto in the Annual
Contributions Contract.
Section 3. All resolutions or parts of resolutions heretofore adopted by the Local Authority
which authorize the issuance and/or delivery of Advance Notes (sometimes called" Advance
Loen Notes") pursuant to the Annual Contributions Contract remain in full force and effect.
Section 4. This Resolution shall take effect immediately.

HOUSING CERTIFICATE PROGRAM
1.1 DEFINITIONS
A. ACC
As used in Part I of this CACC, "ACC" means the Annual
contributions Contract for each project.
As used in Part II of this CACC, "ACC" means the CACC.
B. Budqet Authoritv - The maximum aggregate amount which may be paid
by HUD for each project'in the Program over the duration of the
CACC. Budget Authority is reserved by HUD from amount authorized
and appropriated by the Congress. (Exhibit II lists budget
authority for projects funded with amounts appropriated in
Federal Fiscal Year 1988 and later years.)
C. ~ - Consolidated Annual Contributions Contract.
D. Contract Authoritv - The amount of contract authority for each
project is listed in Exhibit I or Exhibit II of this CACC Part I
(subject to reduction in accordance with Section 1.4.D and
section 2.3 of this CACC).
E. Cost Amendment - An amendment to the CACC which provides
additional contract or budget authority to cover increased
Program Expenditures to maintain the Program at the number of
units originally approved by HUD.
F. Fiscal Year - The PHA Fiscal Year.

1.2 HOUSING CERTIFICATE PROGRAM

1. List of Pro;ects - The Projects in the Program are listed in
Exhibit I and Exhibit II of this CACC Part I.
2. Exhibit I - Exhibit I lists projects funded with amounts
appropriated before Federal Fiscal Year 1988.
3. Exhibit II - Exhibit, II lists projects funded with amounts
appropriated in Federal Fiscal Year 1988 and later years.
B. Number of Units (by number of bedrooms\ - To the maximum extent
feasible, the PHA shall enter into contracts for housing
assistance payments for units under the Program in accordance
with the unit distribution stated in this section. No
substantial deviation, as determined by HUD, from this unit
distribution is allowed without prior HUD approval.

1. The first fiscal year for the Program shall begin on JULY 1.
(Enter the effective date for the first project listed in
Exhibit I of the Part I of the CACC. If this date is not
entered before the CACC is signed by the PHA.) The first
fiscal year for the Program shall end on the last day of the
~HA Fiscal Year which ends not less than 12 months, or more
than 23 months, after this date.
2. Thereafter, the fiscal year for the Program shall be the 12
month period ending JUNE 30 of each calendar year. (Enter
the day and month used as the fiscal year ending date for
other section 8 assistance administered by the PHA under an
Annual Contributions Contract with HUD.)
1. 3 TERM
A. Exhibit I Proiects - For all Projects listed in Exhibit I, the
term of the CACC shall end on JUNE 25, 1996. (Insert last date
of CACC term for all Exhibit I projects. If this date is not
entered before the CACC is signed by the PHA, the date may be
entered subsequently by HUD, upon written notice by HUD to the
PHA. )
B. Exhibit II proiects - For each project listed in Exhibit II.
1. Exhibit II states the first date and last date of the ACC
term for the project.
2. The first date of the ACC term for the project shall be the
first day of the month I./hen HUD signs the CACC which adds
the project to the Program, or another date as determined by

1.4 ANNUAL CONTRIBUTION
A. Pavment - HUD shall pay the PHA annual contributions for the
Program in accordance with HUD regulations and requirements.
B. Amount and Purpose of HUD Pavments
1. The annual contribution for the Program shall be the amount
approved by HUD for each fiscal year to cover:
a. The amount of housing assistance payments by the PHA.
b. The amount of PHA fees for Program administration.
2. The amount of the HUD annual contribution may be reduced, as
determined by HUD, by the amount of Program Receipts (such
as interest income) other than the HUD annual contribution.
C. Maximum Pavments for Proqram
1. Annual Limit on Pavments for Proqram
a. Except for payments from the CACC reserve account as
provided in section 1.4.E of this CACC, the HUD annual
contribution for the program under section 1.4.B during
the fiscal year shall not be more than the Maximum
Annual contribution Commitment for the Program.
b. The Maximum Annual contribution Commitment for the
Program for each PHA fiscal year shall be equal to the
sum of the contract authority amounts reserved by HUD
for the projects in the Program. The amount of
contract authority reserved for each project in the
Program is stated in Exhibit I and II of this CACC Part
I (subject to reduction in accordance with section
1.4.0 and section 2.3 of this CACC). If the first
fiscal year for the program is more than 12 months, the
Maximum Annual Contribution Commitment for the Program
for the first fiscal year may be adjusted in an amount
as determined by HUD the addition of the pro rata
amount applicable to the period in excess of 12 months.

2. Limit on Total Pavments for Proqram - The su~ of HUD
payments under section 1.4.B for the Program over the
duration of the CACC (including any payments from the CACC
reserve account as provided in section l.4.El shall not be
more than the sum of the budget authority amounts reserved
by HUD the projects in the Program from amounts authorized
and appropriated by Congress.
Reduction of Amount Pavable - HUD may reduce the amount payable
by IIUD for any project or for the Program, and may reduce the
amount of the contract authority or budget authority for any
project, by giving the PHA written notice of reduction in
accordance with section 2.3 of this CACC. The notice by HUD may
include a revision of Exhibit I or II or state the reduction in
the amount of contract authority or budget authority for a
project.
CACC Reserve Account - A CACC reserve account shall be
established and maintained by HUD, in an amount as determinsd by
HUD consistent with its responsibilities under section 8(cl(6) of
the U.S. Housing Act of 1937. The CACC reserve account may be
used by HUD for payment of any portion of the payment approved by
HUD under section 1.4.B for the fiscal year.
F. Separate ACC - HUD's commitment to make payments for each project
listed in Exhibit II shall constitute a separate ACC.
1. 5 CACC
A. The CACC consists of this CACC Part I (including Exhibits I and
III and the form ACC Part II prescribed by HUD for the lIousing
Certificate Program and Housing Voucher Program, designated as
form HUD 52520E, and dated June 1985. These documents constitute
l the whole CACC for the Program.

WHEREAS,the City Council of the City of lowe City functions as the Iowa City Housing
Authority and the Department of Housing and Urban Development has requested the
appointment of a Project Officer for Project IA05P022008, the development of twenty units
of Public Housing as replacement units for homeownership; and
WHEREAS, Mr. Douglas Boothroy is the Director of the Housing and Inspection Services of
the City of Iowa City and is the direct supervisor of the day to day operetions of the Iowa City
Housing Authority.

recommendad that said final plat and subdivisions be accepted and approved, subjact to tha
developer constructing the proposed walkways (trail) to conform with the Americans with
Disabilities Act (ADA) requirements prior to the City accepting maintenance responsibilities
for Outlot B. At a minimum, the trail must be constructad at least eight feet in width. The
trail must consist of a minimum base of four inches of 3/4-inch road stone and a minimum
topping of three inches of 3/B-inch base material lsaid materials to be compactad). Tha
. devaloper must also provide appropriate ground cover and landscape the parkway according
to plans approved by the City. These plans must be submitted to and approved by the City
prior to Council consideration of the final plat. If the City deems it is in the public interest to
accept dedication 'of the 22.25 acre parkway, this dedication must not be accepted until lal
the parkway improvements, including the storm water detention facilities, are complete, and
(b) construction has been completed on 90% of the lots abutting the parkway; and
WHEREAS, a dedication has been made to the public, and the subdivisions have been made
with the free consent and in accordance with tha desires of the owners and proprietors; and
WHEREAS, said final plat and subdivisions are found to conform with Chapter 354, Code of
Iowa (19931 and all other stete and local requirements.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF IOWA CITY,

BACKGROUND INFORMATION:
The applicant, Windsor Ridge Development Co., is requesting final plat approval for three
plats: Windsor Ridge - Parts One & Two, Part Three and Part Four. Part One, the County
portion of the subdivision, contains 5.57 acres and is comprised primarily of City street rights-
of-way. The proposed City subdivisions, including Parts Two, Three and Four, involve a total
of 45.25 acres being platted for single-family development of 78 lots, and 19.33 acres of
open space; 14.06 acres of the 19.33 acres of open space ara intended to be public open
space.
Windsor Ridge. Part One was originally submitted as a preliminary and final plat, and received
a recommendation for approval from the City Planning and Zoning Commission on July 29,
1993. On Saptember 30, 1993, prior to Councli consideration, the applicant submitted a
aeparate final plat of Windsor Ridge, Part One, to be considered slmultanaously by the
Planning and Zoning Commission with the final plats for Parts Two, Three and Four of
Windsor Ridge. On October 1, 1993, a aeparate preliminary plat of Part One was submitted
for Council consideration, and wan approved by Council on Octo bar 12, 1993. Tha
preliminary plat for Part One is scheduled for consideration by the Johnson County Board of
Supervisors on November 4, 1993.

The lots in Part One have been lettered instead of numbered, and are referred to as tracts
instead of lots or outlots to avoid confusion with the lot notation for the City portion of the
Windsor Ridge Subdivision. Tracts A, Band C are to remain undevelopad until Windsor Ridge
- Part One and the Weinstein property to the north are annexed Into the City. Upon
annexation, it is likely that Tracts A and C will be daveloped as residential lots within the
Windsor Ridge Subdivision in the City. Tract B will function, whether in the County or in the
City, as a part of Outlot C, and should be maintained by the Windsor Ridge Homeowners
Association both prior to and fOllowing any annexation. The remaining land in Part One will
contain City street rights-of-way for portions of Arlington Drive and Inverness Court while the
tract remains in the County and after it is annexed into the City. This tract also contains a
portion of the American Legion Road right-of-way.

Windsor Ridge - Part Two is part of the same plat as Part One. The Part Two portion of the
plat proposes 34 single-family residential lots on approximately 17.23 acres located along
Arlington Drive, Chandler Court, Chandlar Place, Inverness Court and Inverness Place. Part
Two also includes 12.95 acres of open space [Outlot BI containing a storm water detention
basin. This outlot was labeled a "PARKWAY" on the preliminary plat and contained a
pathway system around the storm water datention basin. Outlot B is intended to be dedicated
to the City for use as public open space.

Windsor Ridge - Part Three contains 22 single-family residential lots [Lots 35-561 and Outlot
C on a total of 14.31 acres. The residential lots are located along Arlington Drive, Coventry
Court, Kensington Court and Canterbury Court. Part Three also includes 5.27 acres of open
space [Outlot AI containing a stormwater basin. Outlot A will be maintained by the Windsor
Ridge Homeowners Association as private open space. Outlot C is a portion of an area within
a looped street, Coventry Court, that will be maintained by the Windsor Ridge Homeowners
Association.
Windsor Ridge - Part Four has 22 single-family residential lots [Lots 57-781, a 1.11 acre
portion of Outlot B, and Outlots D, E, F and P on a total of 13.71 acres. Part Four is located
east of Parts One & Two and has access off American Legion Road on Barrington Road, a
collector street. The plat also contains two looped streets; Hamilton Court and Bryan Court.
Outlot B will bacome part of open space dedicated to the City for public use, and Outlots D,
F and P will be maintained by the Windsor Ridge Homaowners Association. Outlot E may
either be sold to an adjacent property ownar or maintained by the homeowners association.
ANAL YSIS:
~morehenslve Plan
Prior to its annexation Into the City, the proposed Windsor Ridge Subdivision was located
within an area designated in the Comprehensive Plan as Fringe Area 5. According to the
Comprehensive Plan, Fringe Area 5 is expected to devalop for residential uses at low to
medium densities. The proposed final plat is conslstant with the land use policies set forth
In the Comprehensive Plan for this area on the east edge of Iowa City.
Zonino Ordinance
The three residential plats of Windsor Ridge have been reviewed, and appear to conform with
the general requirements of the RS-5, Low Density Single-Family Residential Zone.

School Site
The condition of the RS-5 zoning approval for Windsor Ridge to designate a 13-acre school
site does not apply to the three plats under consideration at this time. As e point of
information, however, an amendment to the Conditional Zoning Agreement clarifying the
conditions of transfer of property from the developer to the Iowa City Community School
District was approved by the City Council on Octobar 26, 1993.
Public Ooen Soace
The final plat of Part Two has 12.95 acres of open space designated as Outlot B. Windsor
Ridge - Part Four contains a 1.11 acre portion of Outlot B. This outlot contains a large
wetbottom storm water detention basin and eight-foot wide, crushed rock recreational
pathways. The preliminary plat showed these facilities and was approved subject to:
Prior to the City's acceptance of the maintenance responsibilities for Outlot B, the
developer must construct the proposed walkways (trail) to conform with the Americans
with Disabilities Act (ADA) requiraments. At a minimum, the trail must ba constructed
at least eight feet in width. The trail must consist of a minimum base of four inches of
3/4-inch roadstone and ~ minimum topping of three inches of 3/S.inch base material
(said materials tc be compacted). The devaloper must also provide appropriate ground
cover and landscape the parkway according to plans approved by the City. These plans
must be submitted to and approved by the City prior to Council consideration of the
final plat. If the City deems it in the public interest to accept dedication of the 22.25
acre parkway, this dedication must not be acceptad until (a) the parkway improvements,
including the stormwater detention facilitias, are complete, and (b) construction has
been completed on 90% of the lots abutting the parkway.

These requirements should ba incorporated into the Subdivider's Agreement for the final plats
of Windsor Ridge - Parts One & Two, and Windsor Ridge - Part Four. Further, a ground cover
and landscaping plan showing the location of the walkways and storm water managament
facility within Outlot B in Parts One & Two and Part Four must receive administrative approval
prior to Council consideration of these final plats.
Comoliance with the Subdivision ReDulations
In accordance with the City's annexation policy, the developer has agreed to pay for all of the
costs associated with providing infrastructure, including the construction of sewar lines, water
mains and streets, for the Windsor Ridge Subdivision. Because this is considered out-of-
sequence development, the developar is expected to pay full costs for all ovarsized
infrastructure as well as the local facilities.
The proposed final plats for Parts One & Two, Three and Four of the Windsor Ridge
Subdivision appeer to be in general compliance with the City's subdivision regulations.
However, the legal papers must be approved by the City Attorney's Office, and construction
plans and design calculations must be approved by the Public Works Depertment prior to
Council consideration of the final plat. These requirements and other technical deficiencies
are listed at the end of the report.

STAFF RECOMMENDATION:
Staff recommends deferral of SUB93.Q021 ,the final plats of Windsor Ridge. Parts One &
Two, Windsor Ridge. Part Thrae, and Windsor Ridge. Part Four, pending resolution of the
deficlancies below. Upon resolution of the deficiencies, staff recommends approval of the
three Windsor Ridge final plats cited above.
DEFICIENCIES:
1. Legal papers must be approved by the City Attorney's Office.
2. Construction plans and design calculations must be approved by the Public Works
Dapartment.
3. A ground cover and landscaping plan showing the location of the walkways and
stormwater facility within Outlot B in Parts One & Two and Part Four must receive

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF IOWA CITY,
IOWA, THAT:
1. The final plat and subdivision located on tha above-described real estate be and the
same are hereby approved.
The City accepts dedication of the streets and easements as provided by law and
specifically sets aside portions of the dedicated land, namely streets, as not being open
for public access at the tima of reCOrding~O[ public safety reasons.
The Mayotand City Clerk of the City of I wa City, Iowa, are hereby authorized and
directed, uh~n approval by the City A~t ney, to execute all legal documents relating

RESOLUTION NO. 93-326
RESOLUTION AUTHORIZING EXECUTION OF A QUIT CLAIM DEED CONVEYING A
VACATED ALLEY TO GREGORY MCDONALD, AND ALSO AUTHORIZING THE
EXECUTION OF A CONSERVATION EASEMENT.
WHEREAS, on September 14, 1993, the City Council adopted Ordinance No. 93-35B9
vacating the alley located west of Gilbert Street and north of Kirkwood Avenue between 210
and 230 Kirkwood Avanue; and
WHEREAS, Gregory McDonald owns the property located on either side of the vacated alley;
and
WHEREAS, Gregory McDonald has offared to purchase the vacated alley for $1,800.00; and
WHEREAS, the City does not need the vacatad allay for the provision of City services or
utilities and the sale of the alley will make the site more conduciva to redevelopment, add
property to the City tax rolls, and provide the City the opportunity to obtain a conservation
easement along Ralston Creek; and
WHEREAS, on November 23, 1993, the City Council adopted Resolution 93.310 declaring its
intent to convey its interest in the vacated right-of-way, authorizing public notice of the
proposed conveyance, and setting the date and time for public hearing; and
WHEREAS, following public hearing on the proposed conveyance, the City Council finds that
the conveyance is in the public interest.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF IOWA CITY,
IOWA, THAT:
1. The Mayorand the City Clerk are authorized to execute the attached Quit Claim Deed
conveying the City's interest in the property legally described in that deed to Gregory
McDonald, for and in consideration of $1,800.00, subject to the City retaining a
conservation easement parallal to and to the top of the bank of Ralston Creek on the
property owned by Gregory McDonald. '
2. The Mayor and City clerk are further authorized to execute a conservation easement,
a draft of which is attached hereto, for recordation in the Johnson County Recorder's
Office, at Gregory McDonald's expense.
3. The City Attorney is authorized to deliver said Quit Claim Deed to Gragory McDonald
upon execution of the conservation easement and to take all other steps necessary to
secure final execution of the conservation eesement, including putting the document
in proper form.

QUIT CLAIM DEED
The City of Iowa City, Iowa, a municipal corporation ("City"), for $1,BOO.00 and other
valuable consideration, does hereby quitclaim to Gregory McDonald all its right, title and
interest in the following property located in Johnson County, Iowa:
Exhibit A attached hereto and incorporated by reference herein.
The City reserves and retains a Conservation Easement parallel to and to the top of the bank
of Ralston Creek on the quitclaimed property as wall as the neighboring property owned by
Gregory McDonald.
This conveyance is subject to all restrictions and additional easements of record, and is
exempt from transfer tax, Section 42BA.2(6), Iowa Code (1993).
This deed is executed and delivered by the authority vested in the Mayor and City Clerk of the
City of Iowa City, lowe, in Resolution No. 93-326 , passed and approved
December 7, 1993 .

perpetuity the conservation values of the Property for the benefit of this generation and future
generations.
NOW, THEREFORE, pursuant to Iowa Code !457A and in consideration of the above and tha
mutual covenants, tarms, conditions and restrictions contained herein, GRANTOR doas grant
and convey to the CITY, its successors and assigns, a conservation easement In perpetuity
over the Property as set forth below.
1. Puroose. The purpose of this Easement is to assure that the Property will be retained
forever in Its natural, scenic and open condition and to prevent any use of the Property
that will sig,nlficantly impair or interfere with the its conservation vaiues.
2. Rights of the Citv.
To accomplish the purpose of this Easement, GRANTOR grants the following rights to
the City:
a. The right to preserve and protect the conservation values of the Property.
b. The right to entar on the Property at raasonable times in order to monitor
Grantor's compliance with and otherwise enforce the terms of this Easement,
c. The right to prevent any activity on or use of the Property which is inconstant
with the purpose of this Easement and to require the restoration of such araas

or features of the Property that may be damaged by any inconsistent activity
or use pursuant to the provisions of paragraph 5.
d. The right to restore, to its natural state, any portion of the Property that may
have been altered by erosion or other activity which damages the creek bank.
3. Prohibited Uses Any activity on or use of the Property inconsistent with the purpose of
this Easement is prohibited. Without limiting this general prohibition, the following activities
and uses are expressly prohibited except activities approved by the City that may be required
to stabilize the creek bank, to restora the Property to its natural state, or in the course of any
permitted activity:
a. Placement or construction of any buildings. structures or other improvaments
including but not limited to. residential structures, mobile homes, camping
accommodations, fences, signs, billboards, or other advertising material.
b. FIlling, excavating. dredging, mining or drilling; removal of top soli, sand, gravel,
rock. minerals or other materials; building of roads, parking lots or trails; or II:

4. Reserved Riahts GRANTOR reserves to itself, and to its heirs, successors and
assigns, all rights as owner of the Property including the right to use the Property for all
purposes not inconsistent with the purpose and terms of this Easement.
5. Citv's Remedies If the CITY determine thet GRANTOR Is in violation of the terms
of this Easement or Is threatening a violation, City shell give written notice to GRANTOR of
such violation and demand corrective action sufficient to cura tha violation and, where the
violation Involves Injury to the Property resulting from any use or activity inconsistent with
the purpose of this Easement, to restore the portion of the Property so injurod. If GRANTOR
fails to cure the violation within thirty(30) days after raceipt of notice or under circumstances
where the violation cannot raasonably be cured within a thlrty(301 day period, fails to begin
curing such violation within thirty(30) days or fails to continue diligently to cure such violation
until finally cured, the CITY may bring an action at law or in equity to enforce the terms of
this Easement, to enjoin the violation, ex Derte as necessary, by temporary or permanent
injunction, to recover any damages to which it may be entitlad for violation of the terms of
this Easetllent or Injury to any conservation values protected by this Easement, i~cluding
damages for loss of scenic, aesthetic, or environmental values, and to require the restoration
of the Property to the condition that existed prior to any such injury. Without limiting
GRANTOR'S liability, the CITY, in Its sole discretion, may apply any damages recovered to
the cost of undertaking any corrective ectlon on the Property.
If CITY, In Its sola discretion, determines that circumstances require immediate action
to prevent or mitigate significant damage to the conservation values of the Property, the CITY
may pursue its remedies under this paragraph without prior notice to GRANTOR or without
waiting for the expiration of period provided to cure. Tha CITY'S rights under this paragraph
apply equally In the event of either actual or threatened violations of the terms of this,

Easement. GRANTOR agrees that the CITY'S remedies at law for any violation of the terms
of this Easement are inadequate and that the CITY shall be entitled to the injunctive relief
described above, both prohibitive and mandatory, in addition to such other relief to which the
CITY may be entitled, Including specific performance of the terms of this Easement, without
the necessity of proving ~ither actual damages or the inadequacy of otherwise available legal
remedies.
6. Costs of Enforcement GRANTOR shall bear any costs incurred by the CITY in
enforcing the terms of this Easement against GRANTOR, including but not limited to costs of
suit, attorneys' feas and any costs of restoration necessitated by GRANTOR!S violation of the
terms of this Easement. If GRANTOR prevails In any action to enforce the terms of the
Easement, the CITY shall bear GRANTOR'S costs of suit Including attorneys' feas.
7. The CITY'S DISCRETION Enforcement of the terms of this Easement shall be at
the CITY'S discretion. Any forbearance by the CITY in exercising its rights under this
Easement In the event of a breach of any term shall not be deemed or construed to be a
waiver of such term or of any subsequent breach of the terms or of any of the CITY'S rights
under this Eesement. No delay or omission by the CITY in the exercise of any right or remedy
upon any breach shall impair such right or remedy or be construed as a waiver.
8. Acts bevond GRANTOR'S Control. Nothing contained in this Easement shall be
construed to entitle the CITY to bring eny action against GRANTOR for any Injury to or change
In the Property resulting from causes beyond GRANTOR'S control, Including but not limited
to, fire, flood, storm, and earth movement or from any prudant action takan by GRANTOR

10. Access No right of access by the general public to any portion of the Property
Is conveyed by this Easement.
11. Costs and Liabilities GRANTOR retains all responsibilities and shall bear all costs
and liabilities of any kind related to the ownership, operation, upkeep, and malntenence of the
Property,
12. IBm GRANTOR shall pay all taxes, essessments, fees end charges levied on or
assessed against the Property Including all real estate taxes.
13. Subseouant Transfers GRANTOR agrees to Incorporate the terms of this
Easement in any deed or other legal Instrument trensferring any Interest In all or part of the
property, Including leasehold Interests. GRANTOR further egraes to provide the CITY written
notice of the transfer of any Interastat least thirty (30) days prior to the effective date of the
transfer.

CATED PARKWAYS" IN HUNTERS RUN SUBDIVISION, PARTS 3 AND 6, AND
, DECLARING THE "PARKWAYS" OPEN FOR PUBLIC ACCESS AND USE.
WHEREAS, several years ago an informal agreement was reached between the City Council
and the developers of the Hunters Run Subdivision, Parts 3 and 6, whereby the City would
own and control the open spaces labeled as "parkways" on the plats, with the parties also
agreeing that the City would accept the areas when they were mowable and maintainable as
parkland; and
WHEREAS, the City Engineering Division and the Parks and Recreation Department, together
with the City Forester, have inspected the two open spaces, and find the areas are ready for
formal acceptance by the City and dadication to the public as parklands; and
WHEREAS, it is in the public intarest to accept these "parkways" as an integral part of our
City's open space plan.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF IOWA CITY,
IOWA THAT:
1. The City of Iowa City, Iowa hereby accepts two open spacas of approximately 10.4B
acres as "dedicated parkways," Hunters Run Subdivision, Parts 3 and 6, all as shown
on Exhibit A attached hereto and incorporated by reference herein.
2. Said open spaces are hereby accepted as "dedicated parkways," and are hereby
declarad open for public access end use.
3. The City Clark is heraby authorized and directed to file a certified copy of this
resolution find Exhibit A in the Johnson County Recorder's Office, at the City's
expense.

Re: Acceptance of Two Open Spaces as "Dedicated Parkways," Hunters Run Subdivision,
Parts 3 and 6; Declaration of Areas as Open for Public Access and Use
Included In your December 7, 1993, agenda Is action on formally accepting two open spaces In
the Hunters Run Subdivision, Parts 3 and 6, as dedicated parkland or "dedicated parkways."
Since OUt "institutional memory" is somewhat shortened, I thought an explanatory memo might
be in order.
Some years ago, the State of Iowa gave notice to the City of an uneconomic remnant of property
along Hunters Run Subdivision in the western portion of Iowa City. Chuck Schmadeke, Public
Works Director, brought it to the attention of then-City Manager Neal Berlin, who recommended
acquiring the remnant for park purposes, The Parks & Recreation Commission concurred, and
the property was purchased from the State.
When the Schintier Bros. began developing the Hunters Run Subdivision near the Hunters Run
parkland area in the early 19aDs, there was a "gentleman's agreement" that the open spaces
would, upon completion of the entire housing development and upon establishment of
groundcover, be dedicated to the City of Iowa City as parkland or "parkways" as shown on some
of the plats, and that the City would then maintain the area as parklands. There are, however,
no explicit references to this "agreement' In the legal documents, as such, but I did confirm the
Informal agreement existed by speaking with then-Planning Director Don Schmeiser, Steve Atkins,
City Council Member John McDonald, and reviewing the minutes of the City Councli and Parks
and Recreation Commission, a~d also a memo from a prior Planner. I did this initial "investiga-
tion" back in 19a9 while I was still First AsslstanllLandUse Attorney, in dealing with another
portion of this subdivision. Thus, I have confirmed that an "informal agreement" did exist between
the City Council and the developers for the Hunters Run Subdivision to accept the open spaces
as "parkways," but that the City had the right to decide when and under what conditions to
accept the parkways.
The City Attorney's Office, together with the Engineering and Parks and Recreation Department,
and also the City Forester, have been working closely with the developers to bring these lwo
open spaces into an appropriate condition for acceptance as parkland. As you can see from the
attached correspondence, I have received the "go ahead" from Rick Fosse and Terry Trueblood,
Indicating the City is ready to accept the parkways, see attached.

ADDITION, PARTS V.VIII.
WHEREAS, the City of Iowa City, Iowa, a municipal corporation (hereinafter "the City") and
Frantz Construction Company, an Iowa Corporation (hereinafter "Subdivide(') entered into a
City-Subdivide(s Agreement for Mt. Prospect, Part VI, dated July 6, 1993, and recorded in
Book 1561, Pages 90-97 of the Johnson County Recorde(s Office, an Ancillary Agreement
Conceming Stormwater Management Obligations for Mt. Prospect, Parts V-VIII dated July 7,
1992, and recorded In Book 1117, Pages 232-235 in the Johnson County Recorde(s Office,
and a Second Amended Ancillary Agreement dated July 6, 1993, and recorded In Book 157B,
Pages 107-109 of the Johnson County Recorde(s Office; and
WHEREAS, said Agreements obligate Subdivider to construct a storm water control facility if
the City does not elect to construct a regional stormwater management facility; and
WHEREAS, the potential future installation of a stormwater detention facility constitutes a lien
on Mt. Prospect, Part VI, with a cloud on the titles of all lots in said Subdivision; and
WHEREAS, local builders and financial institutions are unable to market local mortgages on
the secondary mortgage market by reason of these liens and clouds on the title; and
WHEREAS, the Release would remove the cloud on the titles to the lots in Mt. Prospect, Part
VI; and
WHEREAS, the City's interest is protected by amending the Ancillary Agreement to transfer
Subdivide(s stormwater obligations and the City's lien to Mt. Prospect, Parts VII-VIII,
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF IOWA
CITY, IOWA, THAT:
1. It is In the public Interest to release Subdivide(s stormwater management obligations
for Mt. Prospect, Part VI, in order to protect local property values.
2, The Council finds that transferring its lien to Mt. Prospect, Parts VII-VIII Is reasonable
under the circumstances and protects the City's interests.

THIRD AMENDED ANCILLARY AGREEMENT BETWEEN FRANTZ CONSTRUCTION,
INC. AND THE CITY OF IOWA CITY, IOWA CONCERNING STORMWATER
MANAGEMENT OBLIGATIONS FOR MT. PROSPECT ADDITION, PARTS V-VIII
This Agreement is made by and between the City of Iowa City, Iowa, a Municipal Corporation
(hereinafter "the City") and Frantz Construction Company, Inc" an Iowa Corporation (hereinafter
"Frantz").
WHEREAS, on July 7,1992, the City Council approved an Ancillary Agreement Between Frantz
Construction, Inc, and the City of Iowa City, Iowa Concerning Stormwater Management
Obligations for Mt. Prospect Addition, Parts V-VIII (hereinafter "Ancillary Agreement") wherein
the Parties agreed to transfer Frantz's stormwater management obligation from Mt. Prospect
Addition, Part V to Mt. Prospect Addition, Parts VI.VIII in order to allow the City to investigate
the possibility of constructing a regional stormwater management facility in the Mt. Prospect
development area; and
WHEREAS, on July 6, 1993, the City Council approved a Second Amended Ancillary
Agreement which extended the time permitted for the City to conclude its investigation of a
regional stormwater management facility and make a decision on the possible regional
stormwater management facility; and
WHEREAS, the Second Amended Ancillary Agreement transferred Subdivider's stormwater
management obligations from Mt. Prospect, Part V to Parts VI-V'" so that the obligation would
not constitute a cloud on the titles to the lots in Mt. Prospect, Part V; and
WHEREAS, Subdivider desires to sell lots in Mt. Prospect, Part VI; and
WHEREAS, the City has not concluded its investigation of a regional stormwater management
facility; and
WHEREAS, the potential future installation of a stormwater detention facility constitutes a lien
on Mt. Prospect, Part VI, with a cloud on the titles of all lots in said Subdivision; and
WHEREAS, local builders and financial institutions are unable to market local mortgages on
the secondary mortgage market by reason of these liens and clouds on the title; and
WHEREAS, it Is in the public interest to release Subdivider's stormwater management
obligations for Mt. Prospect, Part VI in order to protect local property values; and
WHEREAS, the Parties now wish to amend the Ancillary Agreement as amended to transfer
Subdivider's stormwater management obligations and the City's lien to Mt. Prospect, Parts VII
and VIII,
NOW THEREFORE, THE PARTIES AGREE AS FOllOWS:
1, The Parties acknowledge that the Ancillary Agreement as amended transfers
Subdivider's stormwater management obligations and the City's lien from Mt. Prospect
Part V to Parts VI-VIII.

2, The Parties acknowledge that the Ancillary Agreement as amended and the potential
installation of a stormwater control facility constitutes a lien on Mt. Prospect, Part VI,
with a cloud on the titles of all lots in said Subdivision,
3. The original Ancillary Agreement dated July 7,1992, and recorded in Book 1117, Pages
232.235 of the Johnson County Recorder's Office and the Second Amended Ancillary
Agreement dated July 6, 1993, and recorded In Book 157B Pages 107-109 of the
Johnson County Recorder's Office shall be and are hereby amended by deleting the
first paragraph of Section 2 and Section 3 in their entirety and inserting in lieu thereof
the following:
2, In consideration for Frantz's agreement to transfer this obligation from Mt.
Prospect Addition, Parts V and VI to Parts VII and VIII, City agrees to conclude
its investigation of a regional stormwater management facility, and agrees to
make a decision on the possible regional stormwater management facility within
a reasonable time and no later than July 1, 1994.
3. In the event City decides not to construct a regional stormwater management
facility within the timeframe set forth in the above Paragraph 2, then Frantz
agrees that the stormwater management obligation for Mt. Prospect Parts V and
VI will remain on Parts VII and VIII and Frantz agrees to then construct a
stormwater management facility, as required by the City.
4.
The Parties acknowledge that this Third Amended Ancillary Agreement shall be deemed
to be a covenant running with the land and with the title to the land, The Parties further
acknowledge that this Agreement shall inure to the benefit of and bind all successors,
representatives and assigns of the Parties.
5.
The Parties agree that nothing in this Third Amended Ancillary Agreement in any way
alters, amends or modifies the original Ancillary Agreement except as set forth above.
The Parties agree that the Developer shall record this Third Amended Ancillary
Agreement in the Johnson County Recorder's Office.

RELEASE
WHEREAS, the City of Iowa City, Iowa (hereinafter "the City") and Frantz Construction
Company (hereinafter "Frantz") entered into a City-Subdivider's Agreement for Mt. Prospect,
Part VI, dated July 6, 1993, and recorded in Book 1581, Pages 90-97 of the Johnson County
Recorder's Office, an Anciliary Agreement Conceming Stormwater Management Obligations
for Mt. Prospect, Parts V-VIII dated July 7,1992, and recorded In Book 1117, Pages 232-235
in the Johnson County Recorder's Office, and a Second Amended Anciliary Agreement dated
July 6,1993, and recorded In Book 1578, Pages 107-109 of the Johnson County Recorder's
Office; and
WHEREAS, said Agreements obligate Subdivider to construct a storm water control faCility if
the City does not elect to construct a regional stormwater management faCility; and
WHEREAS, the potential future installation of a stormwater detention facility orthe participation,
wit,h other subdividers, in a regional stormwater detention facility constitute a lien on Mt.
Prospect, Part VI, with a cloud on the titles of all lots In said Subdivision; and
WHEREAS, the City intends to totally and completely release any lien for the installation of a
stormwater detention faCility against any and all lots located in Mt. Prospect Addition, Part VI.
NOW THEREFORE, the City of Iowa City Iowa does hereby release all lots located in Mt.
Prospect Addition, Part VI, from any liens or encumbrances for the potential installation of or
contribution toward the installation of a stormwater detention facility arising from any of the
above-referenced Agreements.
This release relates solely to Frantz's stormwater management obligations and does not
in any manner effect the validity of other liens that may be imposed by the above-referenced
documents.
