WHEREAS, the City of Iowa City did on September 7, 1976, enter into A Contract for Technical Services for the City -University Urban Renewal Project I (Iowa R-14); and WHEREAS, it is now necessary to amend said contract for the redevelopment of Parcels 64-1 and 82-1b. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF IOWA CITY that the amendment ("third amendment to the contract for technical services between the City of Iowa City and Zuchelli, Hunter & Associates, Inc." and "City-ZHA work program and schedule") is attached hereto and by this reference made a part hereof, is hereby approved. WITNESSTH THAT: WHEREAS, the City of Iowa City, Iowa (hereinafter referred to as the City), and Zuchelli, Hunter & Associates, Inc. of Annapolis, Maryland, (hereinafter referred to as the Consultant) did enter into a contract for technical service for the City - University Urban Renewal Project I (Iowa R-14); and WHEREAS, it is now necessary to amend this contract; NOW, THEREFORE, the City and Consultant do hereby agree as follows: . 1. Section 2 is hereby amended and shall now read as follows: Section 2. Scope of Services: The Consultant shall do, perform and carry out the services as referenced below in a satisfactory and proper manner with the understanding that the City shall assist the Consultant in and perform particular work items within tasks as referenced below. A. OBJECTIVES The Consultant shall assist the City in causing the develop- ment of a department store and hotel project(s) on redevelopment parcel 64-1. Preparation of preliminary plans for hotel and depart- ment store sites in an attempt to assist packaging the sites for disposition as individual sites with legal feasibility established; 2. Solicitation/identification of prospective developers for the hotel and department store sites; 3. Preparation of the prospectus documents for the hotel and department store sites; 4. Preparation of land disposition agreements for the hotel and department store sites; 5. Evaluation of developer proposals on the hotel and department store sites and selection of preferred development entities; - 6. Negotiation of property disposition agreements with the selected hotel and department store development entities leading to execution; 7. Preparation of schematic architectural design for the hotel and.department store projects; and S. Project monitoring on behalf of the City following execution of disposition agreements'. B. INTRODUCTION This work, program describes the sequential actions and activities necessary to bring about the development of hotel/ department store project(s) on redevelopment parcel 64-1. It is designed to respond to the recent decision to divide the pro- perty, rebid the project and develop the components indepen- dently and is consistent with the city's desire to finalize construction in a timely manner. The program, therefore, entails a very intensive initial effort by. the city and ZHA prior to the commencement of con- struction: where preliminary planning, engineering and schematic design work Occurs simultaneously with developer solicitation and selection, project financing and property disposition. There- after, city/ZHA responsibilities would decline to more or less a monitoring role to insure compliance with design control statements. Phis.program is intended only as a general outline and is divided into two basic sections. WORK PROGRAM ACTIVITIES 1. Establish Project Management/ 'Control Responsibility Participant(s): City The city would immediately take steps to designate appropriate city staff and/or others to manage, control and oversee project related assignments. The designated individ- ual(s) or group(s) would organize and coordinate project -related activities with ZHA, review and evaluate ZHA's work and provide guidance and direction regarding key issues throughout the work program. 2. Prepare Preliminary Plans for the Hotel and Department Store Sites Participant(s): City; ZHA ZHA will prepare conceptual preliminary design plans for the .overall project, including department store, hotel and any proposed additional uses such as specialty shops, meeting facilities and public plazas or open spaces. The purpose of this work. will be to represent the overall project in terns of: o Generalized building masses, heights, setbacks and plan configurations; • The approximate line of demarcation between the depart- ment store site and the hotel site; • The approximate location of all principal functions and uses --shown in single -line block diagram form; and o The approximate location of required curb cuts and roadway or other public infrastructure improvements. The work in this task will be prepared in graphic form at a minimum scale of 1"=301. In addition to the preliminary design plans to be prepared, ZHA will provide the following services during the execution of this task: i • Review existing relevant data and codes and coordinate with designated city officials and agencies; • Preparation of a written building space program for the overall project; • Prepare an outline budget estimate of the anticipated construction contract cost based on industry averages for comparable quality construction; • Review preliminary .concepts with up to three (3) poten- tial users as -directed by the city; and • Se available in Iowa City for presentation of the pre- liminary plans to city officials and designated inter- ested groups --up to three (3) separate occasions. 3. Establish Developer Selection Process and Criteria Participant(s): City; ZHA Concurrently with the activities discussed above, the city and ZHA would jointly establish the developer selection process and determine the criteria used in selection. ZHA would prepare recommendations regarding both the process and criteria and submit these recommendations to the city for refine- ment or approval. Once approved, the process and criteria for evaluation would be described in the prospectus documents issued to prospective interested developers in Activity Six. 4. Solicit/Identify Other Prospective Developers for the Hotel and Department Store Sites Participants: City; ZHA Concurrently with the preparation of preliminary plans, developer interest in both the hotel and department store sites would be solicited. ZHA would draw upon previous experience and contacts in suggesting likely prospects and would be responsible for establishing the list of non -local developer contacts. The city would revise the list, if appropriate, with suitable local developers, investors and occupants for the project and would I .approve a final list of firms for consideration. Once accomplished, ZHA would initiate written correspondence I with these firms to describe the project(s) as currently under- i stood and to identify, to the extent possible, the terms and conditions under which the parcels would be offered in disposi- tion. Following this, ZHA would initiate telephone discussions with each contacted developer entity in order to answer any questions or respond to any of the issues raised and to access the interest of each individual developer entity contacted with regard to their participation and the general terms of that participation. All developer contacts, both initial and follow- up in nature, would be carefully documented for representation to the city. On the basis of this procedure and the information achieved, ZHA and the -city would jointly establish the master list of pro- spective interested developers for each of the proposed projects. This list would form the basis for distribution of the prospectus ; in Activity 6. 5. Prepare Prospectus Documents for Hotel and Department Store Sites Participant(s): Citv; ZHA ' I At the same time that efforts* are underway to identify .qualified prospective developers, the prospectus documents for the marketing of both sites would be prepared. The prospectus documents would establish the general terms and conditions under which the project parcels would be offered and would specify the requirements for developer proposals along with the pro- cedures and timing for review and evaluation of proposals. The prospectus document's would be prepared in a manner suitable for reproduction and will include all graphics necessary to enable.an understanding of reuse Dotential. ZHA would draft the two prospectus documents and the city would assume respon- sibility for providing ZHA with pertinent information to be included in the prospectuses and for reproducing appropriate numbers of the documents for distribution. Issue Prospectus Documents to Identified Prospective Developers Participant(s): City; ZHA Upon determination of appropriate developers to re- ceive the hotel and department store prospectuses (Activity 6) and preparation of the documents for distribution (Activity 5), the prospectus documents would be issued. The city would assume responsibility for satisfying any legal requirements associated with the issuance such as advertisements and the like. 7. Neqotiate with Interested Prospective Developers Participant(s): City; ZHA The prospectus documents would specify the final date for receiving developer proposals (assumed to be 50 days from the date of -issuance). During that 50 -day period or before if appropriate,: ZHA would be available to negotiate with interested prospective developers on behalf of the city. The intent of this process is to provide interested developers with a clear understanding of business arrangements that would be acceptable to the city while at the same time providing the city and ZHA with insight as to specific development proposals likely to be submitted. 8. Prepare Land Disposition Agreements for the Hotel and Department Store Sites Participant(s): City; ZHA' Land Disposition Agreements for the hotel and depart- ment store sites specifying the terms and conditions under which the properties are offered would be prepared by ZHA and approved by the city prior to the selection of preferred devel- opers. 9. Review Developer Proposals for Hotel and Department Store Sites Participant(s): City; ZHA. Fifty days after issuance of the prospectus documents interested developers would be required to submit their proposals. In addition, ZHA would advise the city on the financial feas- ibility of each submission to ensure that the city's financial interests are protected. 10. Select Preferred Developers for Hotel and Department Store Sites Participant(s): City; ZHA Upon completion of the review of developer proposals, ZHA in conjunction with the city, would interview eligible project bidders in accordance with terms and conditions adopted through the prospectus. It would be ZHA's intent to act in an advisory capacity only during the formal selection process presenting briefings and plan concepts to the designated selection panel as an aide to proposal evaluation. ZHA would participate, as requested by the selection panel, in any discussions or developer interviews, but would not vote on the selection of preferred developers. 11. Execute Disposition Agreements with Preferred Hotel and Department Store Developers Participant(s): City; ZHA Upon selection of preferred developers (Activity 10) for the two sites, the previously drafted Disposition Agreements (Activity B) would be presented to developers for consideration. It is expected that the format of the work program, which entails negotiating with prospective developers during the prospectus review and proposal stages, would enable an understanding of the disposition objectives of the city at an early stage in the pro- cess. Assist Hotel Developer with Permanent Financing Particpant(s): City; ZHA It is anticipated that industrial revenue bond financ- ing will be requested for the permanent financing of portions of the hotel component. In this event, and if determined to be appropriate by the city, ZHA and the city would cause the issuance of the bonds. ZHA's.responsibilities associated with this activ- ity would be primarily coordinative and advisory in nature, however, these responsibilities may extend to providing some additional amount of analysis or technical support. Significant amounts of analysis or technical support associated with securing permanent financing for the hotel developer may require additional budgetary considerations. It is expected that, in that event, necessary technical assignments would be accomplished by ZRA in its project monitoring capacity covered by a separate budget account. 13. Prepare Schematic Design for the Department Store Participant(s): City; ZHA In this task the city and ZHA shall provide those ser- vices necessary to prepare schematic design documents consisting of drawings and other documents illustrating the general scope, scale and relationship of project components for approval by the city or it's designated representative. Designs will be concep- tual in character and based on the requirements developed during Activity 2 and approved by the city, or on program requirements provided by the city and reviewed and agreed upon by ZHA subse- quent to the completion of Activity 2. INC. -8- • Disciplines coordination/document checking services consisting of schematic design activities for: - Coordination between the architectural work and the work of engineering and other involved disciplines for the project. - Review and checking of documents prepared for the project. s Agency consulting/review services consisting of schematic design activities including: - Agency consultations - Research of critical applicable regulations - Preparation of written and graphic explanatory materials • Owner -supplied data .coordination services consisting of schematic design'activities including: Review and coordination of data furnished for the project as a responsibility of the city - Assistance in establishing criteria Assistance in obtaining data. • Architectural design/documentation services responding to program requirements and consisting of preparation of: - Conceptual site and building plans - Preliminary sections and elevations - Preliminary selection of building systems and mater- ials - Development of approximate dimensions, areas and volumes o Structural design/documentation services consisting of recommendations regarding basic structural materials and systems and development of conceptual design solu- tions for: A predetermined structural system, or Alternate structural systems. WORK PROGRAM SCHEDULE The work program schedule on the following page graphically illustrates both the duration and the sequencing of the 15 'specific activities and actions identified as being city/ ZRA responsibilities as well as the four major activities to be accomplished by others but included in the schedule for explan- atory reasons. Generally speaking, scheduling for the two development projects coincide to the point where property disposition agree- ments are executed. However, at subsequent points in the schedule the department store project and the hotel project are on different tracks with department store construction scheduled to commence in early August, 1982 and hotel construction scheduled to commence somewhat later --mid-November, 1982. Major bench -marks in the work program schedule include issuing the prospectus documents, executing property disposition agreements, commencement of construction and end of construction. For both projects, the prospectus documents would be issued after an initial four-week period (March 22) and disposition agreements with selected developers would be executed nine weeks later or approximately 12 weeks into the program. Construction of the department store, therefore, could feasibly occur, if deemed appropriate, on August 1, 1982 and be completed and ready for opening 12 months later or August 1, 1983.
