Dear Rosemary:
Enclosed please find five copies of proposed proceedings
for consideration by the City Council of Iowa City at its regu-
larly scheduled meeting on August 26, 1980. These proceedings
pertain to the proposed Industrial neveln- n Revenue Bond
issue for Thomas & Betts Corporation in an amount not to exceed
$5,500,000.
These proceedings provide for the schedulingof a public
hearing on September 23, 1980. If that date is not acceptable,
please feel free to reschedule the public hearing to another
date and make the appropriate corrections in both the pro-
ceedings and the notice to be delivered to the Press -Citizen.
As you know, Iowa Code Section 419.9 requires a single publica-
tion of the notice of the public hearing at least fifteen (15)
days prior to the date of the public hearing. For your
convenience, we are enclosing two extra copies of the notice to
be delivered to the Press -Citizen. This notice can be
published anytime after adoption of the enclosed proceedings,
_but must be published no later than Monday, September 8, 1980.
Attached to the enclosed proceedings as Exhibit "A" is a
Memorandum of Agreement to be signed by the City and the
Company. The Memorandum of Agreement should be completely
signed by both parties before the Company makes or incurs any

As you know,even though these Bonds are to be issued by
Iowa City, the City is really a nominal party or conduit in the
financing, and it is the general credit of the Company that
supports the Bond issue. The principal of and interest on the
Bonds are payable solely out of the revenues derived from the
Project, and the Bonds and interest thereon shall never consti-
tute an indebtedness of the municipality within the meaning of
any state constitutional provision or statutory limitation, and
shall not constitute nor give rise to a pecuniary liability of
the City or a charge against its general credit or taxing
powers. You will find language to this effect in the pro-
ceedings and again in paragraph 4(c) of the Memorandum of
Agreement.
If the enclosed proceedings are satisfactory, we would
appreciate vour returning to us three completed copies with the
signed -memorandum of Agreement attached If you wish you can
send us all five copies of the signed Memorandum of Agreement,
and we will forward them to Mr. Hibbard and return your copy to
you once it has been signed. Add itionall , we will need a co

Tom Stanberry suggested that I write you to request
that Thomas & Bette Corporation be placed on the City Council's
August 26th agenda to submit an inducement resolution for
consideration and discussion concerning our request for a $5.5
million industrial revenue bond issue. I have attached a general
description of the project, plus seven copies of our 1979 annual
report and our 1980 second quarter report.
At the meeting, we will plan to have our General Manager
(Martin J. Kelly) and our Underwriter (Eugene Kirby, Vice
President of Essex Company) to discuss the project in detail.
Thomas & Bette will be using Ahlers, Cooney, Dorweiler,
Haynie & Smith as our bond counsel.

GENERAL BACKGROUND INFORMATION FOR
IOWA CITY INDUSTRIAL REVENUE BOND
Thomas & Betts Corporation is proposing that its Iowa City
operation, presently a facility of its Electrical Group, be converted into a
connector facility for its Electronic Group (T&B/Ansley), which is a rapidly
growing entity of the Corporation.

TUB/Ansley is a leading producer of flat cable and connectors for
the electronics market and presently plans to increase its manufacturing
capacity. Plans call for the stamping of metal contacts, gold plating them
and the molding of plastic connectors, presently done primarily by sub-
contractors.
T&B/Ansley's original plans were to build a plant in El Paso,
Texas. A shift in the Corporate product mix, plus the present economic
slowdown, however, has effected production levels of electrical products
to such an extent that the close -down of the Iowa City facility was imminent.
Rather than lose the present well-trained and capable work force in Iowa
City, it has been proposed to put the new electronics facility in Iowa City
rather than in E1 Paso.
This revised plan will require adding an additional 10, 000 to 20, 000
square feet to the present facility at a cost up to $500, 000 and the purchase
of up to $3, 000, 000 of machinery and equipment. This will consist primarily
of stamping, molding and -plating equipment. The capital investment in 1980
and 1981 will, therefore, be up to $3, 500, 000. Further expansion of the Iowa
City facility will depend onfuture sales growth, technological developments,
etc., but could conceivably result in additional capital expenditures approxi-
mating $2, 000, 000 during 1982 and the first half of 1983. This would moan a
total three year capital investment of up to $5, 500, 000.

Dear Ms. Vitosh:
This letter will supplement my letter of August 7, 1980, (copy
attached) concerning Thomas & Betts' desire to submit an inducement
resolution at the City Council's August 26th Meeting. I believe my
August 7th letter covers Items 1, 2, 4 and 8 requested in your letter
of August let to Martin Kelly, our General Manager. In answer to
your other items:
Item 3: Our underwirter, the Essex Company, has committed
to purchase the industrial revenue bonds when issued. The
bonds will then be marketed as an institutional placement
to one or two buyers.
Item 5: Thomas & Betts stock is publically traded on the New York
and Pacific Stock Exchanges. As of February 15, 1980, only
the Prudential Insurance Company owned more than 5% of the
outstanding common stock. They owned 388, 600 shares (5. 040/0
of the total outstanding). Please refer to our Annual Report
for a listing of the Corporation's Officers and Directors.
Item 6: Our present Iowa City facility uses 1, 300, 000 gallons of
water annually. The Ansley facility will initially use water
at an annual rate of 1, 000, 000 gallons. By the end of 1981
this rate should increase to 1, 600, 000 gallons per year. By
the end of 1982 when the facility reaches capacity, present
plane indicate the usage rate will be approximately 6, 000, 000
gallons annually, an increase of 4, 700, 000 gallons per year
from present usage.

Item 7: The anticipated increase in annual discharge into the
sewage system is identical to the water usage discussed above.
Our present plane include an industrial waste water process
system so that the water discharge will meet local, city, state
and E.P.A. requirements.

At its regular meeting of August 26, 1980, the City Council received
and placed on file your letter regarding the sewer encasement across
Ralston Creek just east of Evans Street Bridge. This concrete
encasement is the sanitary sewer service for your residence. All
installation, replacement, and repair costs for sanitary sewer
services are the responsibility of the property owner. With this in
mind, information was gathered as to the feasibility of lowering the
service below the creek bed or moving the service to another
location.
It was found that the creek bed is two feet below the sewer line into
which your service ties. Therefore, it is impossible to lower the
service below the creek bed. The only other alternative would be to
install a small residence pump station and pump the sewage into the
sanitary sewer on Woodlawn. This cost would be in the neighborhood
of $3,000 to $5,000 and could be looked into further if you want to
proceed on this course of action.

RESOURCES CONSERVATION COMMISSION
One vacancy - Unexpired term
August 26, 1980 - January 1, 1982
The duties of members of the Resources Conservation
Commission will include serving as an advisory body
to the City Council of Iowa City. They shall re-
search, review, and recommend policies, rules, reg-
ulations, ordinances, and budgets relating to
mat-
ters of energy and resource conservation and pro-
vide recommendations and reports to the City Coun-
cil on the activities of the Commission. The Com-
mission shall exercise broad responsibility for
development of resource conservation policies and
shall pay special attention to long-range planning
and programming. The Commission shall, for the
public welfare, make recommendations on energy
matters. These
recommendations may relate to local
governmental and quasi -public agencies, private
residences and investment properties, and office,
commercial and industrial properties.
Iowa City appointed members of boards and commis-
sions must be qualified voters of the City of Iowa
City. The persons appointed to this Conmission
shall be, by training, education, experience, or
demonstrated interest, knowledgeable in matters
pertaining to energy use and conservation.

ADVISORY BOARD/COMMISSION APPLICATION FORM
Individuals serving on Boards/Commissions play an important role in advising the Council
matters of interest to our community and its future. Applicants must reside in Iowa City.
' The City Council announces advisory board vacancies 60 days prior to the date the
appointment will be made. This 60 -day period provides for a 30 -day advertising period and a 30 -
day training period for new members. The training period allows new members to become familiar
with the responsibilities and duties of the advisory board before becoming a full voting
member.
After a vacancy has been announced and the 30 -day advertising period has expired, the
Council reviews all applications during the informal work session. The appointment is
announced at the next formal Council meeting. Appointees serve as unpaid volunteers.
All applications must be submitted to the City Clerk no later than one week prior to the
announced appointment date.

ADVISORY BOARD/COMMISSION APPLICATION FORM
Individuals serving on Boards/Commissions play an important role in advising the Council
matters of interest to our community and its future. Applicants must reside in Iowa City.
' The City Council announces advisory board vacancies 60 days prior to the date the
appointment will be made. This 60 -day period provides for a 30 -day advertising period and a 30 -
day training period for new members. The training period allows new members to become familiar
with the responsibilities and duties of the advisory board before becoming a full voting
member.
After a vacancy has been announced and the 30 -day advertising period has expired, the
Council reviews all applications during the informal work session. The appointment is
announced at the next formal Council meeting. Appointees serve as unpaid volunteers.
All applications must be submitted to the City Clerk no later than one week prior to the
announced appointment date.

grees to reimburse the Iowa State Highway Commission for (1) IIIc cost of work perviously constructed by the Highway Com-
mission that the applicant will destroy or remove; (2) the cost of materials that the applirant will remove from the right of way;
or (3) )he applicant will do certain work at his expense. Reimbursement to The. Iowa State Highway Commission or work to he
