As you will note.frorn the above quoted language of the Inn Operations case, the courts will compare the "terms of- the invitation to bid with the events that transpired subsequent to that invitation in an effort to determine whether a "substantial variance'.' exists between the conditions under which - the bids `were invited and the proposals submitted. An exhaustive analysis of potential difficult areas in our bidding procedures would not seem to be necessary or,appropriate at this point. Examples, however, of potential problem areas are as follows: 1. The requirement that the redeveloper" submit a'financing commitment and actual construction plans as a condition -precedent -to delivery of -title to'urban renewal parcels has been eliminated as to properties scheduled to be delivered after - March of 1976. 2. The requirement that the redeveloper take all of the 11.`7 acres of urban renewal property and develop the same is at least modified by the option given the redeveloper to reconvey certain urban renewal property in the event that certain parking facilities are not provided by the City. The March -19, 1974, contractcontains this type of a - provision with respect to Block 64 (see Section 5) and it is my, understanding that a similar or similar type of provision may be contemplated in connection with the proposed contract ainendments. 3. The proposed changes in_the timing and the nature of public improvements to be provided by the City, specifically parking facilities, ;may arguably affect the appraisal' valuations pf urban renewal land and other --valuations involved in property -:exchanges -- contemplated, by the proposal. - - Perhaps none of the three examples given above are changes which have been added or are proposed to be added to the contract subsequent to March 28. However, it does seem to me that the, situation is considerably -diff erent now than it was at the time the contract with Old Capitol .Associates Was signed on March 19, 1974. The failure of the Delarch 28th referendum has necessitated a re-examination of financing methods to provide the public improvements called for in the contract and it may well require '+ v �- - The Honorable Mayor -and City Council of Iowa City 3. April 15 1974 alterations in the timing and scheduling of the public improvements. Further, the fact that the City -maybe forced to rely -upon revenue bonds to finance the public improvements called for in the- proposal means that in all probability a delay, will have to take place until the case_ of Douglas, et al;_. -City of Iowa City is decided by. _the Supreme Court"of-Iowa. —' Also the Council must take into consideration the fact that at the present time there appears to exist in the community persons with the resources and 'the apparent inclination to litigate this matter with the City. Further, you should consider that even if we were to ultimately prevail in the Supreme Court of Iowa on the issue of the correctness of our bidding procedures, an injunction issued by the Johnson`County District Court could cause very substantial delays m'-: the execution of any contract or contracts negotiated by the City with Old Capitol Associates. The above items, it seems to me, necessitate a careful analysis by the City Council of the risks of proceeding without rebidding with the risks of proceeding with a rebidding. In my opinion there is a considerable risk that proceeding at this time without permitting any other interested' developers to submit proposals would be held to be non-competitive under the standards .outlined above in this letter. This risk of course is in part dependent upon the magnitude of the proposed contract amendments, but as above indicated, the Court's analysis of our. bidding procedures would not be limited to the proposed -amendments. The risks of :litigation over our disposition procedures could be minimized considerably, although certainly not eliminated, by a short rebidding. That is to say, the City Council could continue to _negotiate with Old Capitol Associates over the form of its final proposal and the final con- tract while at the same time giving any other interested' developers an opportunity over a thirty, to sixty day, period to submit proposals. Such a procedure it seems to me is authorized by the provisions of Section 403. 8(2) which states in part, ; ", , ,the municipality may negotiate' with any persons for proposals concerning the purchase, lease or other transfer of any real property. acquired by the municipality, in the urban renewal area.
