Comment: This resolution replaces Resolution No. 1110 by establishing
a three hundred dollar ($300) fee for filing an application

1974. As you will note.frorn the above quoted language of the Inn Operations
case, the courts will compare the "terms of- the invitation to bid with the
events that transpired subsequent to that invitation in an effort to determine
whether a "substantial variance'.' exists between the conditions under which
- the bids `were invited and the proposals submitted.
An exhaustive analysis of potential difficult areas in our bidding
procedures would not seem to be necessary or,appropriate at this point.
Examples, however, of potential problem areas are as follows:
1. The requirement that the redeveloper" submit
a'financing commitment and actual construction
plans as a condition -precedent -to delivery of
-title to'urban renewal parcels has been eliminated
as to properties scheduled to be delivered after
- March of 1976.
2. The requirement that the redeveloper take all of
the 11.`7 acres of urban renewal property and
develop the same is at least modified by the option
given the redeveloper to reconvey certain urban
renewal property in the event that certain parking
facilities are not provided by the City. The
March -19, 1974, contractcontains this type of a
- provision with respect to Block 64 (see Section 5)
and it is my, understanding that a similar or
similar type of provision may be contemplated in
connection with the proposed contract ainendments.
3. The proposed changes in_the timing and the nature
of public improvements to be provided by the City,
specifically parking facilities, ;may arguably affect
the appraisal' valuations pf urban renewal land and
other --valuations involved in property -:exchanges
-- contemplated, by the proposal. - -
Perhaps none of the three examples given above are changes which
have been added or are proposed to be added to the contract subsequent to
March 28. However, it does seem to me that the, situation is considerably
-diff
erent now than it was at the time the contract with Old Capitol .Associates
Was signed on March 19, 1974. The failure of the Delarch 28th referendum
has necessitated a re-examination of financing methods to provide the
public improvements called for in the contract and it may well require

alterations in the timing and scheduling of the public improvements. Further,
the fact
that the City -maybe forced to rely -upon revenue bonds to finance the
public improvements
called for in the- proposal means that in all probability
a delay, will have to take place until the case_ of Douglas, et al;_. -City of
Iowa City is decided by. _the Supreme Court"of-Iowa. —'
Also the Council must take into consideration the fact that at the
present time there appears to exist in the community persons with the
resources and 'the apparent inclination to litigate this matter with the City.
Further, you should consider that even if we were to ultimately prevail in
the Supreme Court of Iowa on the issue of the correctness of our bidding
procedures, an injunction issued by the Johnson`County District Court
could cause very substantial delays m'-: the execution of any contract or
contracts negotiated by the City with Old Capitol Associates. The above
items, it seems to me, necessitate a careful analysis by the City Council
of the risks of proceeding without rebidding with the risks of proceeding
with a rebidding.
In my opinion there is a considerable risk that proceeding at this
time without permitting any other interested' developers to submit proposals
would be held to be non-competitive under the standards .outlined above in
this letter. This risk of course is in part dependent upon the magnitude of
the proposed contract amendments, but as above indicated, the Court's
analysis of our. bidding procedures would not be limited to the proposed
-amendments.
The risks of :litigation over our disposition procedures could be
minimized considerably, although certainly not eliminated, by a short
rebidding. That is to say, the City Council could continue to _negotiate with
Old Capitol Associates over the form of its final proposal and the final
con-
tract while at the same time giving any other interested' developers an
opportunity over a thirty, to sixty day, period to submit proposals. Such a
procedure it seems to me is authorized by the provisions of Section 403. 8(2)
which states in part, ; ", , ,the municipality may negotiate' with any persons
for
proposals concerning the purchase, lease or other transfer of any real
property. acquired by the municipality, in the urban renewal area. " Such
a
procedure would not have to result in any delay to the City or to Old Capitol
Associates above and beyond the delay that has already been necessitated
by re -negotiation of the public improvements to be provided by the City and
awaiting resoltition of the parking ramp lawsuit.
You must weigh the risks of proceeding without rebidding against the
risks inherent in the rebidding process. Certainly the risks inherent in the

1. Commission Established. Before any franchise is Ranted, there

stated that the Citizens' Committee does not feel
that this is the proper time to make
a major_change without long range planning, since
there will probably -be more changes needed in the future. Hestatedthat a decision
on`this project should be postponed until the Area Transportation Study is nearer
completion; the University should not -go _off on their own as far as 'traffic patterns
are concerned. Mr.-Widiss-stated that the University of Iow-a {Fest Campus Study should
also be completed before decisions are made. He stated that the 'following questions
could not be answered under the A-95"Guideli_nes, due to inadequate material: 1) Affect
on existing neighborhoods; 2) affect on future and long-range traffic patterns; 3) if
traffic patterns dealing with the field house and -stadium in a major emergency or
disaster situation have been. considered. -
Dr. Bonfiglio stated that the University has an emergency traffic plan and that they
have been trying to deal with the employee traffic. He stated that peripheral parking
could work for employees but not patients. -Dr. Bonfiglio_also'noted that since there
will not be anincrease in -beds, the traffic flow will not increase. -
David Baldus, Chairperson`of.the"Melrose Avenue Neighborhood Group, stated that the
group which he'represents does not oppOSe•the:improvement-of '_the ,health care facilities.
However, he stated that the A=95 Review should be 'approved on the condition that
- traffic _on Nfelrose /Avenue be•cut back -to the 1970 level. ---lie stated that the major
flow of traffic is on Melrose and Wulff Avenues, and the University should seriously
.-consider-reopening access roads 'which=have been closed since -1970. bh. Baldus nude the
following recommendations: 1) stagger hours.of employment; 2) reduce the number of cars
by 'providing cheaper peripheral parking and/or encourage carpools which will be re-
warded by providing cheaper parking for those participatingin carpools.
John Dooley, Director of. Parking and Safety,' University of Iowa, stated that there
already are staggered working hours for -the employees; parking ramps are only con-
ceptual; raising parking -rates is a possibility and the University of Iowa is already
dealing with carpooling. Dr. Harding stated there -is a time constraint since the
application has to be submitted by April 1,1974. 'Dr. Bonfiglio stated that traffic
flows at the University will be considered as a package upon completion of the Area
Transportation -Study.
Mr. -Vestal asked .if an Environmental Impact Statement will be required for this project.
Mr. Hokanson stated that if the Commission. were to make -an uncontested negative declar-
ation, a statement would not be ;required. However, he noted that the Con nission could
request a statement in order that the proposal be discussed in - the future. bis. Douglass
asked what -would -happen ifhereview
-was negative. Mr. White stated that this would
not stop the application, but. other reviewing agencies may be •affected by such a review.
Ms. Knowler moved that the. Regional Planning Commission find the University South -
addition proposal consistent -with good regional -health planning, and further that the
Commission request that in accordance with the National Environmental Policy Act that
•an -Environmental -Impact Statement be prepared further analyzing project consequences.
Mr. Vestal seconded the -motion. Mr. Kattchee stated that since there will be no effect

there should be no possibility `_that the application be'deuied. ,
Dr. Harding stated that the University is just as 7arLicious to straighten out traffic
problems,and that there is a compelling need for a comprehensive plan to be completed. -
Mfr. White called for a vote on Ms. Knowler's motion. The motion carried with three
votes against the motion.'
Proposed Veteran's Administration Parking facility A-95 Review
Mr. Hilgenberg introduced the matter as a letter of notification of a federally initiated
parking -facility proposal -by the VA Hospital. He stated that the proposed facility would belocated_on existing;VA land adjacent to the VA Hospital onaKe on
Road and lWilff Avenue. Mr. Hokanson stated that thus far the Commission has received
limited information. He reported that-the-Policy'=Corrmiittee has reviewed the proposal.
Ur. Bonfiglio--reported that the Policy Committee found the proposed p ty
consistent with good regional planning. P p Paring facility
Dir. iVidiss stated that the CACI did not find the proposal consistent with goo; regional
planning for the following reasons: 1) there -should be no parking facility in this
area until the Commission has completed the Area Transportation Study; 2) peripheral
parking should he considered, avoiding a ramp; 3)_ thc;traffic would be considerably
increased on the north side; 4) ,, this should not be completed until the University of
16wa has completed their plans -,'since. --they will compliment each other;` S) a luniLed
recreational area_will be replaced by `the Parking ramp. Mr. Widi.ss-stated that at this

n approvalofthe proposal.
Mr. White explained that since this is a federal agency, it falls under the federally
initiated procedure which has somewhat different -guidelines.
Representatives of the Veteran's Administration stated that itis recognized that there
is an existing traffic problem; the VA has been working with the University of lo�,a to
coordinate plans; and Psychiatric Hospital recreational facilities will be made avail-
able to the VA He also noted that. -there -are no immediate time constraints, since
they will not begin construction until -mid -1975. -Dir. Widiss noted that the University
has stated that they do not have --_a plan, therefore, it cannot be coordinated.

We would like to request permission to install a bike rack in front of
the State Historical SocietyofIowa building. The space I a►n referring
to is now a space for one car to park.
Many of our staff ride bicycles to work and many students use bicycles
as their mode of transportation. We encourage students- to USC our
facilities but do not have ample bicycle space for them to Dark. Last

project known as City -University Project I, Iowa R-14; and
WHEREAS, it is now necessary, for various reasons, to amend
said contract; -

1. The propos11 ed first Amendatory Contract attached hereto
and made apart`hereof, amending 'Loan and Capital Grant Contract,

(herein called the "Existing Contract"), and the Parties now

mises, and representations contained herein and in the Existing
Contract, the Parties hereto agree as follows:
The Existing Contract is hereby amended as follows:
Section 7 and-Section 8_are deleted in their entirety and the
attached` Section-7-and Section 8.are substituted therefor in

This-amendment supersedes all prior provisions of the Existing

8 Relocation and Property Acquisition Costs
(a)
Assurances

The .grant recipient has filed with the Secretaryassurances
with respect to the Uniform Relocation Assistance and Real

Acquisit-ion Policies Act. of 1970 (hereinafter re-

ferred to as.the "Uniform Relocation Act") ;which the Secre-
tary has found to be satisfactory regarding the displacement
of= persons _and/or-:acquisition,of--real'-property in relation to
this project or program occurring on -or after _January 21 1971.
(b)
Payments and Assistance
Subject to the budgetary limitations of this Contract the
,grant recipient agrees to make relocation payments and
payments -for -eligible expenses incidental to transfer of
title and condemnation;' litigation, and to -provide reloca-
tion-assistance,to or on behalf of eligible recipients in

connection-withthe projector,program. Suchpaymentsshall
be made --and such assistance shall be providedinaccordance

with and to -the full extent permitted -by applicable regula-
tions or other requirements=of the Secretary -including, -with
respect to displacement or'properIty'acquisition occurring on

Federal Funding
Notwithstanding any other provision of this Contract and
