MEETINGS -- Section 1. Regular Meetings. Regular meetings of this Commission shall be held monthly. Section 2. Special Meetings. Special meetings of the members may be called by the Chairperson or shall be called by the Chairperson at the request of 3 members of the Commission. Section 3. Place of Meetings. Regular meetings shall be held in the Terminal Building at the Iowa City Municipal Airport or other appropriate meeting place should the Terminal Building not be available. Section 4. Notice of Meeting. Notice of the Airport Commission meetings shall be given in accordance with the Open Meetings Statute of the State of Iowa. Section 5. Quorum. A majority of the members of the Commission shall constitute a quorum at any meeting, and the majority of votes cast at any meeting at which a quorum is present shall be decisive of any motion or election. A change in the by-laws shall require a majority vote of the full Commission. (See Article V., Section 1.) Section 6. Action. Once a matter is discussed and voted on by a quorum, the majority vote shall prevail. Section 7. Proxies. There shall be no vote by proxy. Section 8. Public Discussion. Time shall be made available during all regular meetings for public discussion. ARTICLE II. MEMBERSHIP -- Section 1. Qualifications. The Airport Commission shall consist of five (5) voting members. Members shall be appointed by the Mayor and approved by the City Council. All members of the Commission shall be entitled to the necessary expenses, including travel expenses, incurred in the discharge of their duties. At the request of the Airport Commission, the Mayor, with approval of the City Council, may appoint a non -voting, advisory Commission member who resides outside the City boundaries. Section 2. Term. Members shall be appointed to four-year terms, commencing on July 1st of the year of appointment. Members appointed to terms scheduled to end before June 301h shall have their terms extended until June 30 of the year their original appointments would have expired. Section 3. Incomplete Term. In the event any member is unable to complete his/her appointed term, the vacancy shall be filled for the duration of the unexpired term by the process described in Section 1. Section 4. Absences. Three (3) unexplained absences of a Commission member within a 12 month period may result in a recommendation to the Mayor from the Commission to discharge said member and appoint a new Commission member. Section 5. Orientation of New Members. Prior to the first regular meeting following their appointment, new members shall be provided with copies of the pertinent portions of the Code of Iowa, Airport Commission By -Laws, and other documents that could be useful to Commission members in carrying out their duties. They may also be given an orientation briefing by members of the City Council, the City Staff, the Airport Commission, and others as may be deemed appropriate. ARTICLE III. OFFICERS -- Section 1. Number. The officers of this Commission shall be a Chairperson and Secretary, each of whom shall be elected members of the Commission. Section 2. Election and Term of Office. Starting in 2017, the officers of this Commission shall be elected annually at the July meeting. If for whatever reason the election of officers is not held at such meeting, such election shall be held as soon thereafter as is convenient.. Section 3. Vacancies. A vacancy in any office because of death, resignation, removal, disqualification or otherwise shall be filled by the members for the unexpired portion of the term. Section 4. Chairperson. The Chairperson, when present, shall preside at all meetings of the Commission, appoint committees, call special meetings and in general, perform all duties incident to the office of the Chairperson and such other duties as may be prescribed by the members from time to time. Section 5. Secretary. In the absence of the Chairperson or in the event of his/her death or inability or refusal to act, the Secretary shall perform the duties of the Chairperson and when so acting shall have all the powers of and be subject to all the restrictions upon the Chairperson. The Secretary or his/her designated representative shall be responsible for keeping the official minutes of the Commission and filing the minutes and official documents. ARTICLE IV. CONDUCT OF COMMISSION AFFAIRS -- Section 1. Agenda. The Chairperson, or his/her designated representative shall prepare an agenda for all regular and special Commission meetings. Agendas are to be sent to Commission members, at least three days prior to the regular meetings. In the event of a special meeting, a minimum of 24 hours notice shall be given. Section 2. Recording Secretary. A recording secretary, not to be a Commission member, shall be provided for at all regular and special meetings. Section 3. Minutes. Minutes of all regular and special meetings are to be prepared and distributed to Commission members and the City Council within 2-4 weeks of the meeting. Section 4. Policies and Programs. Periodically the Commission shall review the policies and programs of the City, County, and Regional Planning Commissions relating to the Municipal Airport and make such recommendations to these bodies as are deemed appropriate. Section 5. Referrals From Council. Periodically, letters, requests for information, requests for recommendations, and other matters are referred to the Commission by the City Council. The Commission shall initiate consideration of such items at the next regular meeting following receipt and shall notify the Council of the disposition. Section 6. Attendance at Council Meetings. The Commission Chairperson or designated representatives are to be in attendance at all City Council meetings, including informal sessions, at which matters pertaining to the Municipal Airport are to be discussed or action taken. The Commission Chairperson is to receive Council agendas prior to each Council meeting and is to be otherwise notified of meetings involving Airport business. Section 7. Annual Report. An annual report, detailing the activities of the Commission, shall be prepared by the Chairperson or his/her designated representative, approved by the Commission, and submitted to the City Council. ARTICLE V. AMENDMENTS -- Section 1. These by-laws may be altered, amended or repealed and new by-laws may be adopted by the members at any regular or special meeting called for that purpose. All amendments must be approved by a majority vote of the full Commission. Section 2. These by-laws shall prevail as written unless any part thereof stands in conflict with the Code of Iowa, in which event the Iowa Code shall prevail. Section 3. In all procedural matters not specifically provided for in the by-laws, the latest edition of Roberts Rules of Order shall prevail. Dilkes, City Attorney �Pw Re: State Requirements for City Boards and Commissions In her memo of July 22, 2005, a copy of which is attached, Planning Director Karin Franklin set forth the State Code requirements for city boards and commissions staffed by the Planning Department. The following are state requirements for boards staffed by other city departments: 1) Library Board. Pursuant to Section 392.5 of the Iowa Code, any proposal to alter the composition, manner of selection, or charge of a library board is subject to voter approval. Pursuant to Title 11 of the City Code, the Library Board of Trustees consists of nine members appointed by the Mayor with approval of the City Council, and a county representative. All members of the board must be residents of the city, except for the non-resident member, and all must be over the age of 18 years. 2) Airport Commission. Pursuant to Section 330.20 of the Iowa Code, the Airport Commission may consist of three or five resident voters. The terms of office can be established by city ordinance but shall be no more than six and no less than three years. 3) Airport Zoning Commission. Pursuant to Section 329.9 of the Iowa Code, the Commission consists of two members from the City, two from the County and a Chair selected by majority vote of the other members. The terms must be six years. 4) Airport Zoning Board of Adjustment. Pursuant to Section 329.12, the Board of Adjustment consists of two members appointed by the City Council, two appointed by the Board of Supervisors and one additional member as chair, selected by a majority vote of the other members. Those include Housing and Community Development Commission (HCDC), Planning & Zoning Commission (P&Z), Board of Adjustment (BOA), Historic Preservation Commission (HPC), and Public Art Advisory Committee (PAAC). Only P&Z, BOA and HPC are addressed in the Code of Iowa. 303.$4 A city must provide by ordinance for an historic preservation commission when an ordinance is enacted designating an historic district. There must be at least three members; otherwise the terms and numbers of members of the commission are left to local discretion. Guidance is given as to the expertise of members and that not more than one-third of the commission can also be zoning commissioners. A representative from each designated historic district is required.- 414.6 Requirements for a zoning commission are more vague. A commission is required if a city wants to have zoning. There are no stipulations for number, terms or qualifications. Reference is made to a city plan commission being able to act as the zoning commission, but there is no other reference in the Code to a plan commission. 414.7 By Code, the board of adjustment shall consist of 5 or 7 members who will serve for 5 years. WHEREAS, on April 14, 2005i the Commission passed a motion requesting that the Mayor, with the approval of the City Council, appoint Dan Clay as a non -voting, advisory member to the Commission; and WHEREAS, effective May 1, 2005, Dan Clay resigned from the Iowa City Airport Commission ("Commission") because he moved outside the City limits; WHEREAS, Article II, Section 1 of the By -Laws of the Iowa City Airport Commission provides that "[a]t the request of the Airport Commission, the Mayor, with the approval of the City Council, may appoint a non -voting, advisory Commission member who resides outside the City boundaries." Malfeasance or impropriety in the performance of Iowa City Airport Commission duties. 5. No Confidence, in your ability or approach towards leadership of the Iowa City Airport Commission. Any member of the Iowa City Airport Commission may bring against an officer a formal charge by filing it in writing with the secretary of the Iowa City Airport Commission, requesting the removal of the officer in question. The removal shall be voted upon at the next regular meeting of the Iowa City Airport Commission and, by a vote of a majority of the members, the Iowa City Airport Commission may remove the officer. The officer against whom such charges have been brought shall be informed in writing of the charges previous to the meeting and shall have an opportunity at the meeting to be heard in person and to present witnesses; and the person or persons bringing charges against such officer shall have the same opportunity. Such officer may waive the right to challenge the charge, at which time could resign from office, move forward with the challenge or witness the vote for removal. Having heard both the charge as well as any subsequent testimony, by a vote of the majority of the members of Iowa City Airport Commission, the officer in question shall be removed from office. It is my opinion that the Rules Committee does not need to take any action to approve or ratify amendments to the Airport Commission By -Laws. The Airport Commission, once established, is granted all of the powers in relation to airports granted to cities under state law (Section 330.21, Code of Iowa, 1987). An Airport Commission is an independent and autonomous body with full power and control over the operation of the airport. (Op. Atty. Gen., may 1, 1978). The authority and autonomy that has been conferred upon the Airport Commission creates an independant commission similar to the Library Board. It is my understanding that the City Council Rules Committee does not approve or ratify amendments to the Library Board By -Laws. Likewise, I do not believe it is necessary for the Rules Committee to ratify amendments to the Airport Commission By -Laws. The Airport COMminsion By -Laws, like the Library Board By -Laws, fall Within the control of the Commission and need not be over seen by the Rules committee. That being said, I have also attached a copy of the Airport Commission Sy -Laws, approved by the Commission, February 21, 1989. It is my opinion that the Rules Committee does not need to take any action to approve or ratify amendments to the Airport Commission By -Laws. The Airport Commission, once established, is granted all of the powers in relation to airports granted to cities under state law (Section 330.21, Code of Iowa, 1987). An Airport Commission is an independant and autonomous body with full power and control over the operation of the airport. (Op. Atty. Gen., May 1, 1978). The authority and autonomy that has been conferred upon the Airport Commission creates an independant commission similar to the Library Board. It is my understanding that the City Council Rules Committee does not approve or ratify amendments to the Library Board By -Laws. Likewise, I do not believe it is necessary for the Rules Committee to ratify amendments to the Airport Commission By -Laws. The Airport Commission By -Laws, like the Library Board By -Laws, fall Within the control of the Commission and need not be over seen by the Rules Committee. That being said, I have also attached a copy of the Airport Commission By -Laws, approved by the Commission, February 21, 1989. D. 1944, IN TFTE CITY OF I0�1A CITY, I017A. Be it Ordained by the Mayor and City. Council of Iowa City, Iowa: Section 1. That there be, and hereby is created and established a Commission, to be known as the "Airport Commission", t o. manage and c :nt rol the Municipal Airport of Iowa City, Iowa, as now located and established, together with any and all additions and improvements thereto hereafter made. The said Commission shall consist of five (5) members who shall be appointed by the Mayor of Iowa City, Iowa, with the consent and approval of the City Council of Iowa City, Iowa. The first aopointees shall hold office, tine for two (2) years, one for three (3) years, one -for four (4) years, one for five (5) years, and one for six (S) years, from the first day of March, A.D. 1944. All subsequent appointments shall be made for a term of six (6) years. Vacancies shall be -filled in the same manner as original appointments are made. Members of the Airport Commission shall serve without compensation. Each Commissioner shall execute and furnish a bend in the amount of One Thousand Dollars, to be approved by the Mayor and filed with the City Clerk. The cost of such a bond shall be paid from the general fund of Iowa City, Iowa. The Commission shall elect from their own members a Chairman and a Secretary, and shall serve for such term as the Commission shall determine. No- Com--missioner shall be app -)inted to' succeed himself. Section 2. Said Airport Commission shall have and exercise all of the powers granted to cities and towns under Chapter 210 of the Laws of the Forty—ninth General Assembly of the State of Iowa, except the power to sell said airport. Said Airport Commission shall annually certify the amount of taxes within the limitations of the, Statutes of %the State of Iowa, to be levied for airport proposes, and upon such certification the City Council shall include said amount in its budget. Such certification of taxes to be levied, shall be made to the City Council on or before the first day -of August of each year. All funds derived from taxation or otherwise for airport pu-rposes shall be under the full and absoltue oontrol of said Airport Commission, for the-�)ur)oses prescribed by law, and shall be deposited with the City Treasurer of Iowa City, Iowa, to the credit of the Airport '%ommission, and shall be disbursed only on the written warrants or orders of the Airport Commission, including the payment of all indebtedness -arising from the acquisition and construction of airports and the maintenance, operation, and extension thereof. Section 3. The Airport Commission shall immediately after the close of each municipal fiscal year, file with the City Clerk of Iowa City, Iowa, a detailed and audited wrttten report of all money received and disbursed by said $�rpgrt "om,nission during. said fiscal year, and shall publish a summary thereof `fin .an official newspaper in Iowa City, Iowa. Section 4. The power conferred on cities and towns to make and enforce 1 rules and regulations under Code. Section fifty—nine hundrea three and nine hundredths (5903.09), is hereby delegated to the Airport Commission hereby created. Section 5.
