Dilkes, City Attorney Re: Knutson Construction Services vs. City of Iowa City and Labors International Union of North America, Local 1238, et. al Knutson Construction, the successful contractor on the water plant project, filed this action seeking to enjoin the City from releasing as public records documents Knutson provided to the City's consultant, Howard R. Green, at Green's request and for purposes of evaluating whether the bidders were responsible. The request for the documents was made by Matt Glasson, a Cedar Rapids attorney representing several local unions, who intervened in the action and subsequently filed a motion for summary judgment Attached you will find the Court's ruling which determines that the subject documents are public records and must be released within 20 days of the filing of the order. Knutson has 30 days from the filing of the ruling to appeal to the Iowa Supreme Court. Please contact me if you have any questions. This Motion for Summary Judgment was heard on the 7th day of September, 2001. Knutson Construction Services Midwest, Inc., hereafter referred to as Knutson, appeared by counsel, Paul Bums. The City of Iowa City appeared by Eleanor Dilkes. Matthew Glasson appeared for and on behalf of the Intervenors. William Gerhard and Rick Hanna appeared personally. FACTS The City of Iowa City is in the process of constructing a project known as the Iowa City Water Facility Improvement Project. Pursuant to Iowa law, the City solicited bids for the project. Iowa City contracted with a private engineering consulting firm, the Howard R. Green Company, to assist the City in managing the project and evaluating bids submitted on the project. The City solicited and received bids pursuant to the provisions of Iowa Code Section 384.95-103. The Howard R. Green Company provided consulting engineering services to the project to help the City evaluate bids on the project. Howard R. Green Company requested that each bidder provide information about their firms for use in determining whether they were responsible bidders. Knutson, along with other construction contractors, submitted some of the requested information to Howard R. Green. Knutson submitted the following information: A. Information pertaining to Knutson's bonding company and bonding capacity. B. Insurance information. C. Banking information. D. EMR and workman's compensation history. E. A list of work projects in progress with projected completion Dates. F. A list of projects completed dating back to 1989. G. Biographical information about Knutson's employees. Howard R. Green advised the City of Iowa City on recommending the bid of Knutson and the Knutson bid was accepted by the City of Iowa City. The Intervenors, through their attorney, requested copies of bids and accompanying information for the three top bidders from the City. The information they requested was to include the background information that had been submitted to Howard R. Green Company. The City Attorney for Iowa City reviewed the requested materials and made a preliminary determination that the documents requested were public records under the open records law of the State of Iowa, Code Section 22.1(3). The City Attorney informed the three top bidders' of her intent to disclose the requested information to the Intervenors. Knutson objected to the disclosure and filed the instant lawsuit to prevent disclosure of the requested information to the Intervenors. The information on the two other bidders was released to the Intervenors. On or about December 14, 1999, Knutson received a letter from the City Attorney informing Knutson that Attorney Matthew Glasson had made a request under the open records act for all information submitted by the three bidders. That request included the six categories of information which had been previously requested by Howard R. Green Engineering Company from the three companies bidding on the project. Knutson requests that the Court enter an order declaring that the records described in paragraph 7 of the Plaintiff's Petition are confidential records for the purpose of Iowa Code Section 22.7. The Plaintiff further requests that the Defendant, Iowa City, and its agents be permanently enjoined from disclosing the records to third parties. The information requested by Howard R. Green was not included in the specifications of the bids at the time that the bidders entered their bid. The information was requested by Howard R. Green to provide consulting engineering services on the project including evaluating the bids on the project. The additional information requested from the prospective contractors was undertaken by Howard R. Green personnel. The Plaintiff, Knutson, believed that the documents supplied to Howard R. Green pursuant to the request made by Howard R. Green would remain in the custody of Howard R. Green Company and would not be given to the City of Iowa City. Knutson states that it gave the documents to Howard R. Green and not to the City of Iowa City. Knutson states that disclosing the matters requested by Howard R. Green in the supplemental request (the information Howard R. Green solicited from the three bidders, hereinafter referred to as supplemental information) was believed by Knutson that it would not be given to the City. There is no evidence to substantiate that belief. Knutson states that the information which they provided under an expectation that it would not be disclosed included the Knutson's worker comp history and experience, the experience modification ratio (EMR), information that affects the company's insurance rates, the information concerning Knutson's company and bonding capacity, list of work projects in progress with projected completion dates, lists of completed projects dating back to 1989, and biographical information about Knutson employees. Knutson believes that the information produced to Howard R. Green contains trade secrets that would be beneficial to Knutson's competitors and harmful to Knutson if revealed. Knutson further argues that the information included regarding bonding company and bonding capacity, insurance information, banking information, EMR and workman's compensation history and listing of projects could, in some cases, reveal trade secrets. Knutson relies upon Iowa Code Sections 22.73 regarding trade secrets and 22.7(6) and Iowa Code Section 22.7(18). To that argument, the Intervenors respond that a government body shall not prevent the examination or copying of a public record by contracting with a government body to perform any of its duties or functions. In this matter, the contract is for the construction of a public water system. The City of Iowa City contracted with Howard R. Green for engineering services. The engineering services included analysis of the three bid proposals submitted for the construction of the water service project. The Plaintiff contends that this matter is similar to the KMEG case, 440 N.W.2d at 385. In that ruling, the supreme Court determined that the network broadcasting of intercollegiate sporting events was not a governmental function. The University of Iowa in that case had sold its rights to broadcast sporting events. That is different than constructing a public water utility. The Supreme Court, in essence, stated that once those rights were sold, they were then the property of the purchasing entity. Because those rights had been sold by the University of Iowa, the University of Iowa or State of Iowa no longer had rights for the sold rights and the University could no longer exercise control over them. That is contrast to the bidding process that is required by law and is a part of the public improvement process. Because Iowa City hired contractors or engineers to assist in the construction of a public project, that did not make the communications the property of the contractors. The bidding information remained the property of the City of Iowa City. Chapter 22.2(2) provides that: A government body shall not prevent the examination or copying of a public record by contracting with a non-government body to perform any of its duties or functions. Public records in the hands of a private corporation remain public records. Section 22.1 (2) makes this clear: The custodian of a public record in the physical possession of persons outside a government body is the government body owning that record. These records are the property of the City of Iowa City and are, therefore, public records. Were this not true, then any governmental agency which wished to deny access to the public records could do so simply by delegating its record keeping responsibilities to private organizations. Regarding the matter of trade secrets, the affidavit supplied by Knutson can best be described as general. Nonetheless, the documents requested were for the purpose of determining whether or not the Knutson Company should be awarded the contract. That information is a direct public interest. That information subsequently was used in awarding the contract to the successful bidder. Knutson does not provide any specific information upon which an exception to the rule can be made. The purpose of Chapter 22 is to open government decision making to public scrutiny. The Intervenors' request for summary judgment is granted. The records requested shall be released twenty days after the filing of the entry of this order. Discussion has centered around communication between the City and the students and how students might become more knowledgeable and involved with City government. We are interested in discussing with Council the possibility of students becoming ex-officio members on selected Iowa City Boards and Conunissions. Possibilities: Animal Control, Library, Historic Preservation, Housing and Community Development, Human Rights, Parks and Recreation, Police Citizens Review Board, Public Art, Senior Center and Telecommunications. If Council approves of pursing the idea, our next steps would be: 1. send letters to the selected board and commission chairs for their input 2. bring it back to Council with a recommendation 3. Council action/no action 4. If so directed, extend the invitation to the University Student Senate We need to be clear, although the student may sit at the table of a Board or Commission, they will have voice but no vote. Further, they will not participate in closed sessions when confidentiality is required. Nick and Dan have been excited about the proposed and understand the need to be excluded from certain boards and/or closed sessions. I believe all the "improvements" to be superficial facelifts to a viable shopping area and think money could be spent well somewhere else. I am a strong believer in" If it isn't broken, don't fix it." Parking remains my #1 concern with the downtown area and I don't see the recent improvements on Iowa Ave. helping. We need to be looking at how people use downtown during the day, the majority of opinions I have heard talk of quick shopping and not wanting to use the ramps for a 1 0 minute stop. South Wastewater Plant Contract 3 City Council Report # 10 Page 1 March 7, 2002 Addition to Sludge Processing Facility: Work continues on the Rotary Drum Thickener equipment room. The new thickener equipment is scheduled for delivery and installation starting in mid-March. Work on the remodeling of the existing building will resume within the next two weeks. Final grading and landscaping will occur in the spring. Sludge Digestion Building: The stainless steel digester covers are in-place and complete. The four digester tanks have been filled and pressure tested. The process piping and equipment is installed. Testing of the various processes/equipment is underway. Installation of the HVAC systems and ductwork continues. Installation of electrical services and controls continues. Installation of the fire suppression system recently started. Chlorine Contact Tanks: This structure is complete, except for some punchlist items. Start- up is anticipated in the near future. The Airport Commission has discussed this economic development tool and would request that the City Council consider the Airport's Aviation Commerce Park for a TIF designation. In order to be competitive with other commercial/industrial property in the area, the Commission and Tracy Overton, from Iowa Realty, agreed that the ability to use TIF is another tool that could increase the marketability of the property in the Aviation Commerce Park. As this is a highly competitive market, the Commission believes it is important to be on an even par with other commercial/industrial property that is available. I also remember many times when I had to stand in the cold, waiting for a bus that might still have been a half-hour away and watching as all those single-occupant cars passed me by. I read recently about a registered hitch-hiking program in Marin County, California that I think could work to augment public transportation in Iowa City. There are some things that I like and dislike about the ordinance. I believe that something needed to be done about smoking in restaurants, but I don't know if the exact ordinance that you passed is fight for Iowa City or if it is fair to restaurant owners. We have already seen that restaurants are attempting to avoid the new ordinance by filing for exemption, but this is not the only thing that restaurant owners will do in order to keep smoking in their restaurants. Some owners have thought about selling more alcohol to keep their business above the fifty percent mark, so they would be ineligible for the ban. Alcohol sales and bars are already a problem in this city and this will just worsen that problem. This is why I believe that a ban using alcohol sales is not a good idea for this town. Also, I believe that this ban is taking away the rights of smokers and restaurant owners. By passing this ban, you are saying that one person's fights are more important than another person's is. I think that it will be confusing for citizens on determining which restaurants are under the ban and which ones are still allowed to have a smoking environment. I am against smoking in restaurants, but I question whether the ordinance that was passed is the right one for our city. Linn. No one has even taken my car before. Ever! I have driven cars for more than 40 years. I first came to Iowa City in 1974, attended school there in the 80's, I visit there for the culture (??) and friends. But now this. Now, I am wary of that town. Where the car was parked was signed in a totally misleading way, It said "No parking 2 am -6 am", with subheadings about tow away zone. The top heading relates and governs everything below, according to accepted written standards. I am assuming a hlgh school education here, It took 2 hours, $80 and a lot of attention to get the car back, which now has multiple scratches on d~e bumper. I find the whole thing, about towing and so on really reckless and unnecessary. Wasn't a ticketenough?? During the ens'uing conversations with police officers, taxi drivers, garage staff, I found not one person who was willing to admit any responsibility for having taken the car without my permission Certai¢ly someone is respm~ble EveO- action ha.5 someone who causes iL it then follows that Iowa City must be responsible- the consciousness of the city is responsible. An apology and a refund of the money wasted on towing a car unnecessarily would not be inappropriate I plan to appeal to the case, I am sure il' a spent enough money onlegal fees, I could get the whole thing nullified. As it is, money has been taken per force from me, a huge inconvemence created, all from a totally misleading sign. Do we have to strike so hard to make our point?
