Washington St., Iowa City, IA 319 - 356 -5030 RESOLUTION NO. 13 -312 RESOLUTION ACCEPTING THE DEDICATION OF ADDITIONAL UNDERGROUND UTILITY EASEMENT AREAS AND RIGHT OF WAY TO THE CITY OF IOWA CITY AS PLATTED IN COUNTRY CLUB ESTATES FOURTH ADDITION, IOWA CITY, IOWA WHEREAS, during construction, the developer reconfigured the terminus of Wildcat Lane in Country Club Estates Fourth Addition to be a cul -de -sac instead of a temporary turn - around; and WHEREAS, as a result, additional right -of -way must be dedicated and an amended utility easement agreement obtained to accept and legitimize the change in size of the improvement area; and WHEREAS, it is in the public interest to accept the dedication of the additional right -of -way as well as the amended easement agreement. . NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF IOWA CITY, IOWA, THAT: 1. Washington St., Iowa City, IA 52240 (319) 356 -5014 RESOLUTION NO. 13-313 RESOLUTION ESTABLISHING THE CITY OF IOWA CITY'S 2014 LEGISLATIVE PRIORITIES WHEREAS, the Iowa City City Council seeks to encourage legislation that enhances economic development and opportunity in Iowa City as well as the State of Iowa; and WHEREAS, the City of Iowa City and other cities play a critical role in the future of the State; and WHEREAS, it is in the interest of the citizens of Iowa City that the City Council establish legislative priorities and convey said priorities to: State legislators who directly represent Iowa City, other State legislators, and to the Governor and the Governor's administration. NOW, THEREFORE, BE IT RESOLVED that the Iowa City City Council hereby outlines its legislative proposals to the Iowa City area legislative delegation for the 2014 Iowa State legislative session as follows: Ensure the financial sustainability of the Municipal Fire and Police Retirement System of Iowa (MFPRSI) Cities that are required to participate in the State MFPRSI pension system for public safety personnel are experiencing rapidly growing costs. Since FY 2011 Iowa City's contribution into the pension system has nearly doubled. These rapidly increasing costs are necessarily inflating local property tax rates. The State needs to carefully examine the long -term financial feasibility of this system and consider reforms that protect taxpayers and ensure that our public safety employees have fair benefits that can be sustained and counted on in their retirement years. The City encourages Iowa to reinstate the State contribution and to consider a tiered reform that protects benefits for current members and offers a more sustainable benefit package for new enrollees. Increase infrastructure funding that supports a diverse transportation network Current revenue streams are not keeping up with the growing costs of maintenance on our transportation network. As a result, cities are increasingly utilizing property tax dollars for basic infrastructure needs. The City encourages the state to consider measures to (1) increase funding of revenue sources for transportation infrastructure, and (2) commit to further diversifying our transportation network in a manner that will make it more competitive and sustainable in years ahead. Examples of such diversification measures include regional passenger rail, as well as enhanced funding for transit and bicycle accommodations. Provide local governments more flexibility in determining local revenue sources and preserve the Local Option Sales Tax distribution formula 2013 property tax reform measures are placing significant financial pressures on cities across the state. Over the next several years, cities will be challenged to maintain basic service levels that meet community expectations. In order to achieve a healthier diversification of revenue sources and meet community demands for municipal services, cities need enhanced flexibility to raise local revenues. Iowa City advocates for increased local control of revenue decisions Resolution No. 13 -313 Page 2 that can strengthen our cities and facilitate future economic growth in the state. The City also encourages the State to preserve the existing Local Option Sales Tax distribution formula. Support the University of Iowa's efforts to be global leader in 21St century higher education The University of Iowa plays a critical role in the local, regional and statewide economies. It is important the State of Iowa provides the university the needed resources to become a global leader in higher education. Ensuring the university's continued competitiveness in the higher education field will provide stability in the economy and facilitate growth opportunities in varied sectors of business community. The City encourages the State to carefully consider and support the legislative and financial priorities of the university. Support the legislative efforts of the Iowa League of Cities and the Metro Coalition Iowa City, as a member city of both organizations, supports the legislative priorities set forth by the Iowa League of Cities and by the Metropolitan Coalition for the 2014 legislative session, unless otherwise altered by the City. Staff has recently reviewed the priorities adopted by the Iowa League of Cities and the Metro Coalition and have compiled a list of five priorities to present to the City Council for consideration. Those priorities include: 1. Ensure the financial sustainability of the Municipal Fire and Police Retirement System of Iowa (MFPRSI) 2. Increase infrastructure funding that supports a diverse transportation network 3. Provide local governments more flexibility in determining local revenue sources and preserve the Local Option Sales Tax distribution formula 4. Support the University of Iowa's efforts to be global leader in 21st century higher education 5. Support the legislative efforts of the Iowa League of Cities and the Metro Coalition A resolution containing supplemental information has been prepared for Council consideration. Assuming Council approval, staff will begin to work on more detailed issue statements that will be distributed to our elected delegation. It is anticipated that the 2014 session will be fairly abbreviated and focused on a relatively few number of issues. This is primarily due to the gubernatorial election in the fall and the fact that there were several significant policy reforms in 2013. Given the anticipated nature of the session, staff is recommending that the City Council forgo the traditional joint meeting with the delegation. In lieu of that meeting, staff will arrange individual meetings with members of our delegation and have more detailed discussions on each of our priorities. To the extent possible, staff will aim to include the Mayor in each of those meetings. Finally, staff recommends that the City Council consider submitting a nomination to have a representative on the Iowa League of Cities legislative committee. This is a good opportunity for an elected official to become more familiar with issues impacting cities. Additionally, the position on the committee may enhance the effectiveness of our future lobbying efforts. Generally speaking, the time commitment is relatively minimal with a couple of statewide meetings per year and periodic committee correspondence conducted electronically. Included with this memo is the proposed resolution as well as the legislative priorities that were adopted by the Iowa League of Cities and the Metro Coalition. 4d(2) Iowa League of Cities 2014 Legislative Priorities Infrastructure Funding Increase existing funding and de- velop new funding resources for city infrastructure needs, which include maintaining Iowa's roads and bridges and water and wastewater compliance. Public Pension System Ensure long -term sustainability and fairness of the Municipal Fire and Police Retirement System of Iowa (NIFPRSI). Enact changes to MFPRSI that result in a more balanced system and control costs to cities. City Finances and Economic Development Resources Support essential and diversified fund- ing options, including property tax backfill for local revenue losses and diversified revenue options; support progressive economic development policies and maintain funding for key economic development programs. Ensure legislation enhances a city's ability to make decisions at the local level to operate efficiently and to de- liver city services more effectively. Washington St., Iowa City, IA 52240 (319) 356 -5230 RESOLUTION NO. 13 -314 RESOLUTION APPROVING SUBMITTAL OF AN APPLICATION TO THE IOWA FLOOD MITIGATION BOARD FOR $8,497,240 TO DEMOLISH THE NORTH WASTEWATER TREATMENT PLANT, CREATE A WETLAND AT THE SITE, STABILIZE STREAMBANKS, AND AUTHORIZING THE CITY MANAGER TO SIGN THE APPLICATION, GRANT AGREEMENT, AND AMENDMENTS WHEREAS, the North Wastewater Treatment Plant was impacted by the floods of 2008; and WHEREAS, the City of Iowa City prioritized decommissioning the plant and moving operations to the South Wastewater Treatment Plant and demolishing the North Plant; and WHEREAS, Iowa Senate File 2217 in 2012, codified at Chapter 418, created the Flood Mitigation Program to fund projects that would permanently protect properties from future flooding; and WHEREAS, City staff has prepared an Application for Funding and a Project Plan in accordance with Chapter 418 to submit to the Iowa Flood Mitigation Board for review; and WHEREAS, the City is asking for $8,497,240 to demolish the plant, create a wetland, and stabilize stream banks along Ralston Creek next to the North Plant site; and WHEREAS, it is now necessary to approve the said application and direct the City Manager to file the application with the Iowa Flood Mitigation Board. The intent of the program is to provide funding to governmental entities to implement long -term flood mitigation projects. The Iowa Flood Mitigation Board will be meeting on November 21 to review applications to the program. History /Background After the 2008 flood rendered most of the North Wastewater Treatment Plant inoperable, causing minimally treated wastewater to flow into the Iowa River, the City of Iowa City deemed it vital to move operations from the North Wastewater Treatment Plant to the South Wastewater Treatment Plant and to demolish the North Plant. Iowa City has received funding from a variety of sources to complete the nearly $55 million project of moving operations. Demolishing the North Plant and creating a park at the site is the next step. Development in the Riverfront Crossings area will be jumpstarted once the North Plant is demolished and a park created. Discussion of Solutions The Iowa Flood Mitigation Program is designed to allow cities to capture 70% of future sales tax growth to fund flood mitigation projects. Iowa City would be requesting the Iowa Flood Mitigation Board to allow them to capture up to $8.5 million dollars in future sales tax growth to pay for the demolition of the North Wastewater Treatment Plant, creation of a 5 acre wetland at the North Plant site, and to stabilize stream banks where Ralston Creek meets the Iowa River. Financial Impact Iowa City will need to bond to pay for the projects. Finance charges for the bonding are included in the $8.5 million dollar future sales tax growth request. If Iowa City's application is approved, initial funding would become available in the summer of 2015. There is a requirement for local match. Local Option Sales Tax and wastewater operations funds used to pay for the moving of operations from the North Plant to the South Plant can be used as the local match. Recommendation Staff recommends the City Council pass resolutions authorizing the City Manager to submit an Iowa Flood Mitigation Program Application and allowing the Local Option Sales Tax and wastewater operations funds utilized for moving operations from the North Wastewater Treatment Plant to the South Wastewater Treatment Plant to be used as the local match. WHEREAS, the City proposes to perform the activities described in: October 16, 2013 City of Iowa City Landfill Engineering Services Request for Proposal WHEREAS, the City desires to employ the Consultant to perform General Consulting and Engineering Services for the above engineering and compliance project as described in the following general Scope of Services: 1. Annual Landfill Volumetrics 2. Annual Landfill Site Topographic Survey a. Site Map Datum Conversion 3. Annual Water Quality Report (AWQR) 4. Semi - Annual Water Quality Notification NOW THEREFORE, it is agreed by and between the parties hereto that the City does now contract with the Consultant to provide services as set forth herein. 1. SCOPE OF SERVICES Consultant agrees to perform the following services for the City, and to do so in a timely and satisfactory manner. Annual Landfill Volumetrics Consultant will utilize previous topographic data, site design, and current topographic data to creat annual volumetric information of refuse in place volume, remaining site capacity, and operational cover soil usage. -2- Annual Landfill Site Topography Survey Consultant will contract with an aerial photography company approved by the City to update the base topographic map for the Landfill and Recycling Center in the spring of 2014 by aerial photography. The flight will include all 378 aces of the site plus a 200 foot buffer. The flight will provide a coverage of 17800 (4800' AMT flight). The color digital orho tiles will be 100sc with %2 ft pixels. The Consultant will make all arrangements necessary with the aerial photography company and coordinate set up of all necessary survey ground control. The Consultant will provide to the City a digital terrain model in 2 foot intervals and planimetric mapping in AutoCAD format. The Consultant will create a topographic map that includes all photography, topographic features, utilities, roadways and buildings of the site. The topographic map shall be provided to the City by both electronic and hard copy. Subsequent topographic updates (2015 and 2016) will be completed by GPS survey and include areas disturbed by operations since the previous topographic update. Site Map Datum Conversion Consultant will utilize the site map developed in the previous task to convert the site map for the site'from the local coordinate system to the Iowa State Plane system. Annual Water Quality Report (AWQR�) Consultant will perform the following subtasks: • Provide support to the City in its sampling of the HMSP- approved uppermost aquifer monitoring points (A- and B- series wells only), underdrains, and surface points; • Technical support will also be provided for sampling of monitoring wells related to the assessment of corrective measures; • Complete the AWQRs for the landfill for data collected in calendar years 2013, 2014, and 2015; • The report will include a summary of groundwater monitoring results, groundwater levels, monitoring well depths, analysis of the data collected, statistical analysis, and associated sampling recommendations; • Any modifications required by the Department for the groundwater statistical analysis program during the current calendar year will be summarized in that calendar year's AWQR. However this does not include any associated analysis, including but not limited to SSTs, SSL, and assessment of corrective measures; and • The AWQR will be prepared under the direction of a qualified groundwater scientist. Leachate Control System Performance Evaluation (LCSPER� Consultant will prepare annual LCSPERs for data collected in calendar years 2013, 2014, and 2015 that summarize activities related to the leachate control system as required in 567 IAC 113.7(5)b.(14). The reports will be included as an Appendix to the AWQRs and will include the following as applicable: • An evaluation of the effectiveness of the system in controlling the leachate, • Leachate head levels and elevations, • The volume of leachate collected and treated at the City's treatment plant, • Leachate chemistry results, as applicable, • Proposed additional leachate control measures, if any, • An implementation schedule in the event that the constructed system is not performing effectively. • General description of maintenance activities, such as jetting or cleaning of the collection system that may have occurred during the reporting period. -3- In support of these efforts, City landfill staff will measure and record levels and elevations of leachate on a monthly basis in all Department- designated leachate piezometers and gas collection wells. Also, City landfill staff will record monthly the volume of leachate collected and treated at the City's treatment facility. Methane Monitoring Report MMRj Consultant will prepare MMRs for data collected in calendar years 2013, 2014, and 2015 that summarize activities related to the leachate control system as required in 567 IAC 113.9(2)a. The reports will be included as an Appendix to the AWQRs and will include the following as applicable: • The methane monitoring locations, • Results of the monitoring events, • Actions taken to address any exceedances, • Conclusion and Recommendations, Title V Air Emissions Report and Permitting Consultant will complete the Title V Air Emissions Report and Permitting as detailed below. Title V Annual Compliance Certification Report The Consultant will prepare compliance certifications for submittal of data collected for the calendar years 2013, 2014, and 2015. The certifications will include descriptions of means to monitor the compliance status of all emissions sources including emissions limitations, standards, and work practices in accordance with applicable requirements. The certification of sources will include the identification of each term or condition of the permit that is the basis of the certification; the compliance status; whether compliance was continuous or intermittent; and the method(s) used for determining the compliance status of the source, currently and over the reporting period, consistent with applicable Department rules. For sources determined not to be in compliance at the time of certification, a compliance schedule will be prepared which provides for periodic progress reports, dates for achieving activities, milestones, and an explanation of why any dates were missed and preventive or corrective measures. The compliance certification will be submitted to the administrator, director, and the appropriate Department Field office. This task is in accordance with the requirements of 567 IAC 22.108 (15) "e ". Title V Annual Emissions Inventory Report The Consultant will prepare the following Department Operating Permit Forms documenting actual emissions for each year. • Form 1.0 "Facility Identification'; • Form 4.0 "Emissions unit - actual operations and emissions" for each emission unit; • Form 5.0 "Title V annual emissions summary/fee "; and • Part 3 "Application certification." Title V Annual Fee Payment Report The City is required under subrule [567] IAC 22.106 to pay an annual fee based on the total tons of actual emissions of each regulated air pollutant. The fee must be submitted annually by July 1St. Upon receipt of the schedule of fees from the Department for the Annual Emission Fee payment, Consultant will prepare the necessary supporting forms for submittal with the annual fee. The associated fee payment shall be submitted by the City with the following forms prepared by the Consultant: • Form 1.0 "Facility Identification'; -4- • Form 5.0 "Title V annual emissions summary/fee "; • Part 3 "Application certification." Title V Semi Annual Monitoring Report By March 31 and September 30 each year during the term of the contract, reports will be prepared addressing the monitoring required for the six month periods of July 1 to December 31 and January 1 to June 30 each year, respectively. Instances of deviations from permit requirements will be identified in these reports. The reports must be signed by a responsible official, consistent with [567] IAC 22.107(4) and submitted to the director and the appropriate Department Field office, consistent with [567] IAC 22.108(5). - Semi Annual LFG System Operating Report Consultant will prepare and submit the semi - annual monitoring reports during the term of the contract addressing the following: • A summary of gas collection well head monitoring results and the value and length of time of all exceedences of the parameters applicable to gas collection well head monitoring. • A record of monthly operation verification confirmation of the primary flow meter, readings. The City will maintain records Consultant for reporting purposes. of the flare temperature sensing device and along with a summary of daily flow meter of daily flow meter readings for use by the • A description and duration of all periods when the gas stream is directed from the control device through a bypass line, if applicable. • A description and duration of all periods when the control device was not operating for a period exceeding one (1) hour, and the actual length of time the device was not operating. • A listing of all periods of time when the gas collection system was not operating in excess of 5 days. • A listing of all surface locations at which there were exceedences of the 500 ppm limit, where re- monitoring (second and /or third monitoring) was conducted, and the concentration value obtained from each monitoring and re- monitoring effort. • A description of the specific corrective action taken in an effort to eliminate any gas collection well head measurement exceedences. • A description of the corrective action taken in an effort to eliminate any surface monitoring point measurement exceedences. • The date and description of any damages sustained and repairs made to the gas collection and control system, or of any system components that are replaced. • The date of installation and the location of each gas collection well or collection system expansion added, including installation, relocation or addition of trench wells. If required, the City will prepare periodic and immediate startup, shutdown, and malfunction (SSM) reports as these events occur with the gas collection and air pollution control systems. Consultant will provide guidance and, if requested, review the City - prepared report to evaluate general compliance with 40 CFR 63.10.d.(5)i and other applicable regulations. Hourly General Engineering Consulting Consultant will be available to address general engineering questions and discussion or possible Department permit amendments or correspondences related to the landfill operations. These subtasks will be formed. as directed by the City at the standard fee schedule rates provided. -5- Greenhouse Gas Reporting Consultant will perform the following subtasks for data collected in calendar years 2013, 2014, and 2015: • Compile reporting requirement data and information (data not electronically accessible to be provided by City); • Perform emission calculation; and • Report using the EPA's a -GRRT reporting system. Semi Annual Water Quality Report Notification Consultant will perform the following subtasks for data collected in calendar years 2014, 2015, and 2016: • The semi - annual water quality notification will be completed for the landfill; and • The notification will include a summary of monitoring results, groundwater levels, statistics, and associated sampling recommendations. However this does not include any associated analysis, including but not limited to SSIs, statistically significant levels (SSLs), and assessment of corrective measures. II. TIME OF COMPLETION The Consultant shall complete the following phases of the Project in accordance with the schedule shown. The contract timeframe has been set as January 1, 2014 through December 31, 2016. Included is the option, upon agreement by both the City and Consultant, to renew said contract for an additional three years, from January 1, 2017 through December 31, 2019 at an annual rate of $35,635. GENERAL TERMS A. The Consultant shall not commit any of the following employment practices and agrees to prohibit the following practices in any subcontracts. 1. To discharge or refuse to hire any individual because of their race, color, religion, sex, national origin, disability, age, marital status, gender identity, or sexual orientation. 2. To discriminate against any individual in terms, conditions, or privileges of employment because of their race, color, religion, sex, national origin, disability, age, marital status, gender identity, or sexual orientation. B. Should the City terminate this Agreement, the Consultant shall be paid for all work and services performed up to the time of termination. However, such sums shall not be greater than the "lump sum" amount listed in Section IV. The City may terminate this Agreement upon seven (7) calendar days' written notice to the Consultant. C. This Agreement shall be binding upon the successors and assigns of the parties hereto, provided that no assignment shall be without the written consent of all Parties to said Agreement. D. It is understood and agreed that the retention of the Consultant by the City for the purpose of the Project shall be as an independent contractor and shall be exclusive, but the Consultant shall have the right to employ such assistance as may be required for the performance of the Project. E. It is agreed by the City that all records and files pertaining to information needed by the Consultant for the project shall be available by said City upon reasonable request to the Consultant. The City agrees to furnish all reasonable assistance in the use of these records and files. F. It is further agreed that no Party to this Agreement shall perform contrary to any state, federal, or local law or any of the ordinances of the City of Iowa City, Iowa. G. At the request of the City, the Consultant shall attend meetings of the City Council relative to the work set forth in this Agreement. Any requests made by the City shall be given with reasonable notice to the Consultant to assure attendance. H. The Consultant agrees to furnish, upon termination of this Agreement and upon demand by the City, copies of all basic notes and sketches, charts, computations, and any other data prepared or obtained by the Consultant pursuant to this Agreement without cost, and without restrictions or limitation as to the use relative to specific projects covered under this Agreement. In such event, the Consultant shall not be liable for the City's use of such documents on other projects. I. The Consultant agrees to furnish all reports, specifications, and drawings, with the seal of a professional engineer affixed thereto or such seal as required by Iowa law. J. The City agrees to tender the Consultant all fees in a timely manner, excepting, however, that failure of the Consultant to satisfactorily perform in accordance with this Agreement shall constitute grounds for the City to withhold payment of the -7- amount sufficient to properly complete the Project in accordance with this Agreement. K. Should any section of this Agreement be found invalid, it is agreed that the remaining portion shall be deemed severable from the invalid portion and continue in full force and effect. L. Original contract drawings shall become the property of the City. The Consultant shall be allowed to keep mylar reproducible copies for the Consultant's own filing use. M. Fees paid for securing approval of authorities having jurisdiction over the Project will be paid by the City. N. Upon signing this agreement, Consultant acknowledged that Section 362.5 of the Iowa Code prohibits a City officer or employee from having an interest in a contract with the City, and certifies that no employee or officer of the City, which includes members of the City Council and City boards and commissions, has an interest, either direct or indirect, in this agreement, that does not fall within the exceptions to said statutory provision enumerated in Section 362.5. O. The Consultant agrees at all times material to this Agreement to have and maintain professional liability insurance covering the Consultant's liability for the Consultant's negligent acts, errors and omissions to the City in the sum of $1,000,000. Two systems that are regulated are the gas collection system and groundwater monitoring wells. Each year data collected from these systems are monitored and analyzed and the results are submitted to the Iowa DNR. History /Background: Professional engineering services are required to monitor, analyze, prepare and submit the necessary regulatory reports for the landfill gas collection system and groundwater monitoring systems. These services have been outsourced since 1992 because of the specialized technical skills and software necessary to perform the work. Discussion of Solution: In October of 2013, a Request for Proposals was issued for these services. After careful evaluation of the four proposals received, Barker Lemar Engineering Consultants was determined to be the best choice for the landfill facility. Based on their proposal, an agreement has been negotiated to provide these services for 2014, 2015 and 2016. Financial Impact: The total cost of engineering services is $117,468 for all three years. Funding will be provided by landfill revenues. Clinton to new 'right- sized' facility. Both at the meeting and in a subsequent letter dated August 22, 2013 the USPS indicated the new location would primarily serve retail customer service functions and that the new location would be in the 'same general vicinity' as the existing location in downtown Iowa City. At that time, the City or any member of the community was given thirty days to formally appeal the decision in writing. Based on the financial circumstances facing the USPS and the belief that the new location would remain in close proximity to the existing facility, the City did not choose to formally protest the decision to relocate. To our knowledge, no community member exercised their option to formally appeal the decision. On October 17, 2013 the City received a second letter from the USPS indicating that its preferred site was in the Pepperwood Shopping Plaza on Highway 6. An alternative site of 1925 Boyrum Street was listed along with six other sites that are no longer under consideration. Staff followed up with USPS our representative to determine how the two candidate locations were selected, as many would not consider those sites as being in the 'same general vicinity' as the existing operation. We subsequently learned that the USPS was seeking 18,000 square feet of retail space, 150 parking spaces and a dock area capable of serving large trucks. Staff also learned of a letter from the USPS intended for the City dated September 13, 2013 that listed the locations under consideration. Apparently the letter was drafted by the USPS, but never sent due to an oversight in their regional office. That letter, which was described as a courtesy letter and not one required by USPS process, provided 30 days for the community to comment on seven proposed locations. It is important to note the distinction between a comment period and a formal appeal. According to the USPS, the City had an opportunity appeal the decision to relocate within thirty days from the time the relocation was first presented in August (without having knowledge of the proposed locations or site selection criteria). However, when it comes to site selection, there is no appeal but rather a comment period. Therefore, even if the City had received the September 13 letter, we could not have appealed based on the candidate locations. As of today, the City is still within the thirty day public comment period provided in the October 17 letter. Staff has solicited public comment on the two remaining sites under consideration and will forward that correspondence to the USPS. November 6, 2013 Page 2 Discussion of Solutions: Most of the public comment received on this issue, expresses disappointment in the decision to relocate outside of the core of the community. Many comments were focused on the difficult pedestrian access and limited public transit access. Other comments received mentioned the importance of the facility to downtown businesses and the university population. A copy of the formal correspondence received related to this issue is included as correspondence on this agenda. At this time, staff recommends that the City Council adopt a formal resolution encouraging the USPS to consider alternative site selection criteria that would expand location options closer to the downtown where public access would be enhanced. The resolution further encourages the USPS to consider satellite services in the downtown should a permanent location not be feasible. Staff has already engaged the USPS in these discussions; however, a formal comment from the City Council in the form of a resolution would help solidify our position. This program includes meeting all regulations set forth by the EPA stormwater regulations and Iowa City's NPDES Phase 2 permit. In addition, the fee assists with funding stormwater infrastructure improvements, various stormwater cost sharing programs for the general public, cleanup events, and personnel. History/Background: This utility fee was established in June of 2004, and is structured with different rates applying to residential and non - residential properties. Rates were determined and based on impervious area as a way to relate stormwater impacts with individual properties. All non - residential properties that obtain a National Pollutant Discharge Elimination System ( NPDES) industrial stormwater permit from the Iowa Department of Natural Resources (IDNR) receive a 50% reduction in their monthly stormwater utility bill. Currently, the stormwater fee collects approximately $975,000 annually. Discussion of Solutions: The stormwater management program has continued to grow, and demands for storm sewer infrastructure are constantly increasing. Iowa City's stormwater utility rate is comparable with many other utility rates in the state and finds itself near the middle tier of other Iowa municipalities. Financial Impact: The single family residential rate will increase fifty cents per month. The multi - family residential rate will increase twenty -five cents per month. The non - residential rate will increase fifty cents for the base rate and twenty -five cents on the multiplying ERU (Equivalent Residential Unit) rate per month. The total annual revenue is estimated to increase from $975,000 to $1,200,000. This rate increase is the final increase of a three year proposal. The applicant is now seeking to have the Walden Wood Part 10 final plat approved. ANALYSIS: The final plat of Walden Wood Part 10 is in general compliance with the preliminary plat, and subdivision regulations. Construction drawings are currently being reviewed by the City Engineer. Legal papers are being reviewed by staff and must be approved by the City Attorney. It is anticipated that these documents will be approved prior to the October 150' Council Meeting. Neighborhood open space or fees in lieu of: Parks and Recreation Department has decided to collect fees in lieu of dedication of neighborhood open space. As applied to this property, the developer will need to pay the value of the equivalent to 12,295 sq. ft. of land. The requirement for payment of this fee should be addressed in the Developer's Agreement. Infrastructure fees: The developer will be responsible for a $395 /acre water main extension fee upon approval of the final plat. REAL ESTATE DESCRIPTION. PRICE. The purchase price for the Real Estate shall be $670,000.00, payable as follows: $5,000.00 to be paid as earnest money upon acceptance of this offer, by Seller's City Manager, delivered to Seller at the time of the release or waiver of all contingencies herein, and the balance payable in full at the time of closing and transfer of possession. In the event the contingencies of this agreement, hereinafter the "Agreement," are not satisfied or released, the earnest money shall be returned to Buyer. 3. REAL ESTATE TAXES. Seller shall pay the 2012 -2013 real estate taxes and any unpaid real estate taxes payable in prior years. Seller shall also give Buyer a credit for a prorated portion of the 2013 -2014 real estate taxes, if any, assessed against the Real Estate. Buyer shall pay all subsequent real estate taxes. Any proration of real estate taxes on the Real Estate shall be based upon the most current assessed valuation, legislative rollback and applicable levy rate. 4. SPECIAL ASSESSMENTS. Seller shall pay all special assessments which are a lien on the Real Estate as of the date of closing. All other special assessments shall be paid by Buyer. 5. CONTINGENCIES. This Agreement is contingent upon the satisfaction of the following items: X A. The execution of a mutually agreeable Developer's Agreement for the redevelopment of the Real Estate, as well as the real estate adjacent to the Real Estate locally known as the "Mod Pod" at the corner of Burlington Street and Dubuque Street. In addition to other mutually agreeable terms; said Developer's Agreement shall include: (i) a mutually acceptable agreement for transfer of a twenty (20) foot air right easement over the adjacent Court Street Transportation Center, permitting Buyer to allow windows t `�)- and to allow Buyer to construct the improvements to the = boundary of the Real Estate in exchange for the sum of one hundred thousand dollars ($100,000.00); and (ii) a mutually acceptable agreement for transfer at fair market value of any such other easements as are necessary to provide utilities to the Real Estate to allow Buyer to construct the improvements in connection with the development of the Real Estate and the adjacent "Mod Pod" building; and (iii) a mutually acceptable minimum assessment agreement that assures that all property which is the subject of the Developer's Agreement will remain taxable for the length of the Agreement. X B. The approval by the Federal Transportation Authority (FTA) of the sale of the Real Estate and the conveyance of the easements contemplated above. X C. The feasibility of the Real Estate for development as shall be determined by Buyer, in its sole discretion, including, but not limited to, such considerations as zoning, other applicable ordinances, general plan description, environmentally protected areas, wetlands, flood zones, drainage, dedication of land for public use, environmental conditions, archeological conditions, topography, soil, requirements imposed by the City of Iowa City and other governmental agencies, assessments, tap -on fees, impact fees, available utilities, projected cost of development of on -site and off -site improvements, existing easements, existing covenants and restrictions, and access to public roads. Promptly upon execution of this Agreement the Buyer shall, at its sole cost and expense, proceed diligently and in good faith to satisfy the conditions set forth above and to release such conditions or to have them satisfied within 120 days after formal approval of this Agreement by the City Council for Seller pursuant to paragraph 25 of this Agreement (the "Contingency Date "). If Buyer does not provide a written release of the above contingencies to Seller on or before the Contingency Date, then either party may declare this Agreement null and void by giving written notice to the other, in which event the Earnest Money payment shall be promptly returned. 6. SELLER'S COOPERATION. Upon execution of this Offer to Buy, Seller agrees that it will reasonably and promptly cooperate with Buyer to rezone the Real Estate to CB -10. Such cooperation shall include, but is not limited to, signing such applications, consents or other documents and performing such other actions as may be required by the City of Iowa City or other governmental agencies. Buyer shall be solely responsible for all application fees and other costs for compliance with the requirements of governmental agencies. Upon Buyer's request for Seller's cooperation, Seller shall so cooperate within five (5) days. If the Seller's failure to respond within such period causes delay in the Buyer's obtaining necessary approvals or consents, the Contingency .Date and Closing Date may be extended by Buyer equal to the delay KF371R69a12156 3 in obtaining approval or consent caused by Seller's delay in responding within five (5) working days. Buyer acknowledges that Seller's cooperation does not in any manner require the City to approve Buyer's application for rezoning, application for TIF funds or site plan application. 7. SURVEY /SUBDIVISION PLAT. Buyer, at its sole expense, shall have the Real Estate surveyed. The legal description from the survey shall become the description of the Real Estate for purposes of conveyance hereunder. The survey description may be taken from a land survey, auditor's parcel plat or subdivision plat. The parties shall cooperate in obtaining and recording whatever survey or plat may be necessary to convey the Real Estate as provided herein, which survey or plat shall be at Buyer's expense. If the survey shows any encroachments on the Real Estate, such encroachments shall be treated as a title defect. 8. RIGHT OF ACCESS BEFORE CLOSING /INDEMNIFICATION. Prior to closing on the purchase of the Real Estate, Buyer and its agents may have reasonable access to the Real Estate for survey, soil tests, environmental investigation and other similar activities for the purpose of satisfying the contingencies at paragraph 5 of this Agreement and other obligations of Buyer under this Agreement. Buyer shall promptly repair and restore any damage caused by such access. Buyer hereby agrees to indemnify and hold harmless Seller from any and all expenses, claims, or losses arising from or in connection with any activities of Buyer, its officers, agents, employees, or contractors on the Real Estate prior to the Closing Date, including without limitation, any attorney's fees or court costs occasioned by such claims. 9. POSSESSION AND CLOSING. Subject to the Buyer's and Seller's timely performance of all obligations herein, closing shall be held at a time mutually agreed upon by Buyer and Seller but in any event within sixty (60) days of the satisfaction of all contingencies. On and after the Closing Date and upon payment of the Purchase Price, Buyer shall be entitled to immediate possession of the Real Estate. This transaction shall be considered closed upon the delivery of the title transfer documents to Buyer and Seller's receipt of all funds then due at closing from Buyer under this Agreement. 10. RISK OF LOSS AND INSURANCE. The Real estate shall be preserved in its present condition and delivered intact at the time possession is delivered to Buyer. Seller shall bear the risk of loss or damage to the Real Estate prior to closing. In the event of substantial damage prior to closing, the Agreement shall be null and void unless otherwise agreed in writing by the Buyer and Seller. The Real Estate shall be deemed substantially damaged or destroyed if it cannot be restored to its present condition on or before the Closing Date or within 30 days after the intended Closing Date, in which event the closing and transfer of possession shall be reasonably delayed, up to 30 days, in order to allow completion of the repairs and restoration. Until the Closing Date, Seller agrees to maintain existing insurance coverage on the Real Estate and Buyer may purchase additional insurance. 11. ENVIRONMENTAL MATTERS. A. Seller warrants to the best of its knowledge and belief that there are no abandoned wells, solid waste disposal sites, hazardous wastes or substances, or underground storage tanks located on the Real Estate, the Real Estate does not contain levels of radon gas that KF37 \R69a12156 4 requires remediation under current governmental standards, and Seller has done nothing to contaminate the Real Estate with hazardous wastes or substances. Seller warrants that the Real Estate is not subject to any local, state, or federal judicial or administrative action, investigation or order, as the case may be, regarding wells, solid waste disposal sites, hazardous wastes or substances, or underground storage tanks. Seller shall also provide Buyer with a properly executed Groundwater Hazard Statement showing no wells, solid waste disposal sites, hazardous wastes and underground storage tanks on the Real Estate. In March of 2001, in connection with the construction of the Court Street Transportation Center, Seller had a Phase I Environmental Assessment prepared for submission to the FTA. The property assessed included the Real Estate and the Assessment resulted in a FONSI (Finding of No Significant Impact). Seller will provide a copy of said Assessment to Buyer upon complete execution of this Offer to Buy Real Estate and Acceptance. B. Buyer may at its expense, within ninety (90) days after the date of acceptance, obtain a report from a qualified engineer or other person qualified to analyze the existence or nature of any hazardous materials, substances, conditions or wastes located on the Real Estate. In the event any hazardous materials, substances, conditions or wastes are discovered on the Real Estate, Buyer's obligation hereunder shall be contingent upon the removal of such materials, substances, conditions or wastes or other resolution of the matter reasonably satisfactory to Buyer. However, in the event Seller is required to expend any sum. to remove any hazardous materials, substances, conditions or wastes, Seller shall have the option to cancel this transaction and refund to Buyer all earnest money paid and declare the Agreement null and void. The expense of any inspection shall be paid by Buyer. The expense of any action necessary to remove or otherwise make safe any hazardous material, substance, conditions or waste shall be paid by Seller, subject to Seller's right to cancel this transaction as provided above. 12. USE OF PURCHASE PRICE. At time of settlement, funds of the purchase. price may be used to pay taxes and other liens and to acquire outstanding interests, if any, of others. 13. ABSTRACT AND TITLE. Sellers, at their expense, shall promptly obtain an abstract of title to the Real Estate continued through the date of acceptance of this offer, and deliver it to Buyers for examination. It shall show merchantable title in Sellers in conformity with this agreement, Iowa law and Title Standards of the Iowa State Bar Association. The abstract shall become the property of the Buyers when the purchase price is paid in full. Sellers shall pay the costs of any additional abstracting and title work due to any act or omission of Sellers, including transfers by or the death of Sellers or their assignees. 14. DEED. Upon payment of the purchase price, Sellers shall convey the Real Estate to Buyer or its assignees, by Warranty Deed, free and clear of all liens, restrictions, and encumbrances except as provided in 1 a. through 1 d. Any general warranties of title shall extend only to the time of acceptance of this offer, with special warranties as to acts of Sellers continuing up to time of delivery of the deed. 15. CARE AND MAINTENANCE. The Real Estate shall be preserved in its present condition and delivered intact at the time possession is delivered to Buyers, provided, however, if there is loss or destruction of all or any part of the Real Estate from causes covered by the KF37 \R69a12156 insurance maintained by Sellers, Buyers agree to accept such damaged or destroyed Real Estate together with such insurance proceeds in lieu of the Real Estate in its present condition and Sellers shall not be required to repair or replace same. 16. TIME IS OF THE ESSENCE. Time is of the essence in this contract. 17. REMEDIES OF THE PARTIES a. If Buyer fails to timely perform this contract, Sellers may forfeit it as provided in the Iowa Code, and the earnest money shall be forfeited b. If Sellers fail to timely perform this contract, Buyer has the right to have all payments made returned to them. c. Buyer and Sellers also are entitled to utilize any and all other remedies or actions at law or in equity available to them and shall be entitled to obtain judgment for costs and attorney fees as permitted by law. 18. CONTRACT BINDING ON SUCCESSORS IN INTEREST. This contract shall apply to and bind the successors in interest of the parties. 19. CONSTRUCTION. Buyers and Sellers each certify that they are not acting, directly or indirectly, for or on behalf of any person, group, entity or nation named by any Executive Order or the United States Treasury Department as a terrorist, "Specially Designated National and Blocked Person" or any other banned or blocked person, entity, nation or transaction pursuant to any law, order, rule or regulation that is enforced or administered by the Office of Foreign Assets Control; and are not engaged in this transaction, directly or indirectly on behalf of, any such person, group, entity or nation. Each party hereby agrees to defend, indemnify and hold harmless the other party from and against any and all claims, damages, losses, risks, liabilities and expenses (including attorney's fees and costs) arising from or related to my breach of the foregoing certification. 21. INSPECTION OF PRIVATE SEWAGE DISPOSAL SYSTEM. Seller represents and warrants to Buyer that the Property is not served by a private sewage disposal system, and there are no known private sewage disposal systems on the property. 22. DISCLOSURES. Seller acknowledges that one or more of the members of the Buyer is a licensed Real Estate Agent. 23. GENERAL PROVISIONS. In the performance of each part of this Agreement, time shall be of the essence. Failure to promptly assert rights herein shall not, however, be a waiver of such rights or a waiver of any existing or subsequent default. This Agreement shall apply to and bind the successors in interest of the parties. This Agreement shall survive the closing. Seller shall seek said approval promptly after acceptance of execution of this Agreement by the City Manager on behalf of the Seller. If this Agreement is not approved by the City Council for Iowa City within sixty (60) days after acceptance by the City Manager, this Agreement shall be null and void and all earnest money shall be returned to the Buyer. 26. TIME FOR ACCEPTANCE. If this Offer is not accepted by the City Manager on behalf of the City on or before 5:00 P.M. on Friday, August 2, 2013, it shall become null and void and all payments shall be repaid to the Buyers. On September 17, 2013 Council set a public hearing for November 12, 2013 on the proposed sale of the property to the West and South of the Mod Pod building to Hieronymus Square Associates L.L.C. in the total amount of $770,000 ($670,000 for land and $100,000 for air rights to allow a building with Southern facing windows to be built to the property line). In accordance with the State Code requirements for disposal of property within an urban renewal area, the Council also invited interested persons to submit competitive proposals by 9:00 a.m. on October 25, 2013. No competing proposals were received. After Council holds the public hearing Council may adopt a resolution approving the purchase agreement between the City and Hieronymus. It is important to note that while the resolution authorizes final conveyance in accordance with the purchase agreement, there are a number of contingencies in the agreement that must be satisfied before the sale would close, including the execution of a mutually agreeable Developer's Agreement for a redevelopment of not only the parcel being sold but also the Mod Pod property, the approval of the FTA (Federal Transportation Authority) and a determination by the Buyer that development of the property is feasible. WHEREAS, Governor Street neighborhood residents requested a modification to convert the portion of Governor Street (between Burlington Street and Bowery Street) from a one -way to two -way street; and WHEREAS, City staff has administered a traffic study to analyze the effects of said change and found there to be no significant drawbacks to the proposal; and WHEREAS, a neighborhood survey administered shows a 69% (20 out of 29) majority of respondents favor the proposal with an overall survey response rate of 32% (29 out of 92); and WHEREAS, any changes to signs /signals at the Burlington Street / Governor Street intersection requires permission from the Iowa DOT as the intersection is part of the Highway 1 right -of -way; and WHEREAS, Title 9, Chapter 1, Section 3B of the City Code requires notice of changes to any traffic control device and /or markings to the City Council. Transportation Planner Re: Governor Street Two -Way Conversion - Between Burlington and Bowery Streets Introduction: At your direction, staff recently completed a neighborhood survey where neighborhood residents and property owners were asked if they would like to see Governor Street (between Burlington Street and Bowery Street) converted to accommodate two -way traffic. The survey results show that a 69% majority of respondents (20 out of 29) favor the proposal while 31% (9 out of 29) do not agree with the proposal. The overall survey response rate was 32% (29 out of 92). History /Background: Neighborhood residents from the Governor Street neighborhood south of Burlington Street originally requested this change in 2012. Subsequent to the request, transportation planning division staff evaluated the request with the aid of the MPO Travel Demand Model and concluded that the requested change would moderately increase traffic volumes on Governor Street (between Burlington Street and Bowery Street) and shared that information with neighborhood residents at a neighborhood public meeting in Fall 2012. Staff also evaluated parking, collision data, speed data, access conditions, capacity, and bike /pedestrian accommodations with respect to the proposal and concluded that the change would pose no significant drawbacks. Retaining Sunday on- street parking for the Bethel AME Church was a topic of concern during the neighborhood public meeting. With the proposed changes, parking will remain on the west side of the street but face southbound rather than northbound - there will be no net gain /loss of Sunday on- street parking for the church. Discussion of Solutions: In addition to the proposed change to Governor Street, staff also broached the idea of converting Dodge Street (between Burlington Street and Bowery Street) to two -way traffic and analyzed the impacts of such a change. However, after completing our study it became apparent that the conversion may require some substantial capital costs — including the necessity of a northbound left -turn lane at the Burlington / Dodge intersection and potential signalization of the Dodge / Bowery intersection. Staff also feels that the conversion of Dodge Street is premature as there are several other City infrastructure projects that are disrupting traffic patterns on the east side making it difficult for staff to forecast traffic volumes on Dodge Street should it be converted to two -way travel (including the ongoing Lower Muscatine Road reconstruction project and the 1St Avenue grade separation project slated for 2015). We do not have these concerns for Governor Street as it carries a much lower volume of traffic than Dodge Street. Financial Impact: There will be minimal financial impact with the proposed change. Staff estimates that a ballpark cost of changing necessary signage and removing pavement markings will be less than $2,000 — primarily staff time to complete the changes. Recommendation: Given that the neighborhood survey results show a 69% majority of respondents in favor of the one -way to two -way conversion, staff requests authorization to proceed with the necessary traffic control changes to implement the conversion and to request DOT approval for necessary changes to signs / traffic signals in the Highway 1 right -of -way at the intersection of Burlington Street and Governor Street.
