Agenda summary- 8 January 2004
a. Runway 07 project—City staff has been in contact with Earth Tech to develop a
contract for Phase 1 for the Commission's review and approval. A final version should
be ready for the Commission by the time of your meeting. The agreement will be
contingent on receiving a grant for the project.
b. Environmental Assessment— H.R. Green prepared a response to the FAA comments and
forwarded a revised report to the FAA. Joe Trnka, from H.R.Green will be at the
Commission meeting to answer questions on the draft MOA agreement and how the
United hangar fits into the EA.
c. Obstruction mitigation project—Stanley Engineering has started the mitigation program.
They are meeting with obstruction owners and developing a list of contractors. Bids will
be solicited. Mike Donnlley, from Stanley will be at the meeting to review a mitigation
schedule with you.
d. Aviation Commerce Park—Tracy Overton will be at the meeting to discuss his January
report with the Commission.The sales/lease agreement between the Commission,the
Council and Iowa Realty expires in January 2004. Renewal of the agreement will be an
agenda item. The original agreement is in your information packet.
e. Strategy/business plan—The final report from Airport Business Solutions was received
on December 9. A review and comments were sent to the Commission on December 23.
Additional comments will be discussed by the Commission. All comments will be
forwarded to ABS for the final report. After the deliverables are received,the final ABS
invoice will be paid. There will be discussion on how this report would be incorporated
into the Strategic Plan and when the City Council will be sent a final report.

TUESDAY,DECEMBER 9,2003—5:45 P.M.

CALL TO ORDER:
Chairperson Thrower called the meeting to order at 5:45 p.m.
APPROVAL OF MINUTES:
The minutes of the November 13,2003,Commission meeting were approved as submitted.
REVIEW OF EXPENDITURES:
O'Neil reviewed the check requests for December with the Commission. O'Neil said the SPCC
Plan expenditure was the only bill not budgeted for in the FY 04 budget. O'Neil also said the
AAAE dues for the next year were budgeted at the corporate rate. He suggested continuing with
the individual rate. It would save the Commission about$400.00.
PUBLIC DISCUSSION—ITEMS NOT ON AGENDA:
No items were presented.
UNFINISHED ITEMS FOR DISCUSSION/ACTION:
O'Neil said that in response to the remarks by Staley,he contacted ABS to request they check the
employment numbers they had attributed to the University of Iowa in their Airport Business Plan.
ITEMS FOR DISCUSSION/ACTION:
a. Aviation Commerce Park(ACP)—Tracy Overton, from Iowa Realty,presented his
monthly report to the Commission. Overton said he has sent information to a potential buyer
that is looking for 2 to 3 acres for a medically related use. He will follow up on that lead.
Overton said he is running a new ad. It will run every two weeks. He presented a copy of
the ad to the Commission. Overton gave the Commission a copy of a letter from the
president of Iowa Realty,confirming that he thought the pricing for the lots was reasonable.
O'Neil said the agreement with Iowa Realty expires in January. He included a copy of the
proposed extension amendment and a copy of the original agreement in the Commission's
info packet. Thrower suggested this be on the agenda again for the January meeting.
b. Runway 07 project—O'Neil said he and Dulek have been working with Earth Tech on an
agreement for the project. O'Neil said he had just received the revised draft today and he
distributed a copy of the agreement to the Commission. O'Neil said that unless the

Commission wanted to discuss it sooner,this would be an agenda item for the January
meeting.
c. Environmental Assessment project—O'Neil said he received several copies of the Historic
Building Inventory and Evaluation report from H.R. Green. The report was also sent to the
FAA. Hartwig asked how this was related to the project that Earth Tech would be doing?
O'Neil said there is some crossover. Green was assigned to determine the historic and
environmental impact. Earth Tech would be doing the obstruction mitigation,in relation to
the Runway 07 project.
Thrower asked about the MOA that was referenced in the report. O'Neil said this involved
the technical agreement between the Commission and the other governmental bodies that
have jurisdiction and he thought that Joe Trnka, from H.R. Green,could better explain this to
the Commission at their next meeting.
Thrower asked O'Neil if it was being explained to whomever makes the final decision on the
United hangar that the Commission has concluded that unless additional funding is received,
the building will have to be demolished? O'Neil said he does not know how clear that is
spelled out in Green's report. He would defer to Trnka to explain that to the Commission at
the next meeting. The FAA is the federal agency that makes final decision. Their top
criterion is safety. The building is an obstruction. Thrower said it needs to be clarified what
the intentions are for mitigating the obstruction. Green and Stanley will have to work
together on this.
d. Obstruction mitigation project-O'Neil has asked Stanley Consultants to provide a
construction timeline for the obstruction mitigation. O'Neil said that Mike Donnelly,the
project principal,was out of the country on another project and could not attend the meeting.
Thrower said to remind Stanley that one of the reasons they were selected to do this project
was that they are local and said they could provide the service required to stay on schedule.
O'Neil said Stanley was going to send another engineer to the meeting but she would not
have been as familiar with the project as Donnelly. O'Neil said he wants to complete the
construction part of this project during the winter months when it should be less disruptive.
e. Strategic planning—Thrower said he wanted to get with everyone and see where they were
with their part of the document. He had drafted a template and O'Neil provided it in the info
packet. Thrower said he wanted to be able to provide something to the Council as soon as
possible. O'Neil said the next Council meeting is December 16 and the first meeting in
January is the 6'". Staley said he has discussed the FY 2005 budget with O'Neil and he did
not have any recommended changes at this time. Hartwig said he would like to work
together on the plan more as a group, either as the Commission as a whole or as a
subcommittee. Thrower said he would work with Hartwig as a subcommittee.
Thrower said that when the Commission first decided to put this plan together,they were
fully staffed at five members. This has changed in the last six months,yet the commitment
to the Council is still there to produce a planning document. He said the Commission should
decide as a group if they need more time or if the three remaining members can complete the
project.
O'Neil said he had discussed the Strategic Plan with the City Manager and explained that at
this time,the budget the Commission submitted in October for FY 2005 would not change.
Atkins concern was having a budget to work with to be able to present to the Council.

O'Neil said the expenditure side of the budget was set and the Commission was working on
a way to improve the revenue side of the budget.
O'Neil said a copy of the final ABS report could be sent to the Council. Thrower said he had
reservations about sending the ABS report as a stand-alone document. Thrower said there were
useful parts of the document,but there were some weaknesses that may not adequately relay to
Council the intentions of the Commission.
O'Neil said the final document was received today and he had only had about 20 minutes to
review it. There were very few changes from the draft document the Commission received in
September. Thrower said he would like to have more time to review it before it is sent to the
Council. O'Neil said he had explained to Atkins that there was little change from the document
the Council received in September. Staley and Hartwig said they would also like more time to
review the final ABS report.
Thrower said that in whatever document is given to the Council, it should lay out the appropriate
direction for the facility, its governance,the capital structure,and its expense model. Thrower
said he and O'Neil did a survey to identify capital improvements needed at the Airport. O'Neil
will work with Public Works to try to identify costs for these improvements. The challenge is to
produce ideas for revenue to make the improvements. The FRO should be included in finding
revenue sources. Their business should benefit in the long run if the infrastructure is maintained
at a high level.
Staley asked what kinds of user fees are charged at airports? Hartwig said commercial service
airports usually have service fees in addition to what is collected at general aviation airports.
O'Neil said the fees charged at general aviation airports are usually the fuel flowage fees.
O'Neil said some of the improvements on the list might be grant eligible. Although aviation fees
contribute about$8.3 million annually to the State general fund,the State has decided to use the
majority of that money for non-aviation uses. The State's grant program the last two years has
all but disappeared. O'Neil said the Johnson County state representatives have supported
legislation for aviation funding in the past.
Thrower recognized Mark Anderson. Anderson said that in the airports he has been in,there have
been fees charged for tie-downs and overnight parking. He did not think enough would be
collected to pay for any capital projects.
ELECTION OF VICE-CHAIRPERSON/SECRETARY
Thrower said that because of the Commission resignations and his election to chairperson,a new
vice-chairperson would need to be elected. Staley nominated Hartwig. Thrower seconded the
nomination. There were no other nominations. The vote for Hartwig was 2—0,with Hartwig
abstaining.
CHAIRPERSON'S REPORT:
Thrower said he will be discussing airport improvements with Jet Air and see what their
involvement could be. O'Neil said the president of Jet Air said he would attend a meeting to
discuss this with the Commission. Thrower said to invite Mr.Timmons to the January meeting.
Thrower said he would try to contact Mr.Timmons before the meeting. Thrower said his survey
of the airport was informative and he said there are definite capital improvement needs to be
addressed.

COMMISSION MEMBERS'REPORTS:
Hartwig said he thought it would be appropriate to mention that the 100th anniversary of the
Wright Brothers first successful flight will be celebrated on December 17th,2003.
ADMINISTRATIVE REPORT:
Dulek said there was a nice article in the Des Moines Register about the 100 years of flight. She
said the Wright Brothers lived in Cedar Rapids before moving to Ohio.
O'Neil said the FAA appropriations bill passed the Congress and has been sent to the President
for his signature. The first phase of the Runway 07 project,worth about$1.4 million,will be
funded through that federal legislation. It will probably be February before the grant is officially
offered.
The NDB was decommissioned on November 24, 2003 at 9:00 a.m. It was costing too much to
maintain.
The Commission budget meeting with the Council will most likely be January 22nd or 27th.
There was a memo in the packet that Dulek prepared concerning the rules involved with the Iowa
open meeting legislation.
O'Neil said he is working with someone that would like to teach ground school classes. She has
discussed what she would like to do and how this could be coordinated with the FBO. She would
like to teach a private pilot class and an instrument class.
The Fire Department annual inspection said that all of the outlets on the north t-hangars needed to
be relocated to inside the hangar. O'Neil said the buildings were built to code and he will have a
discussion with the Fire Marshall. There would be a significant cost to rewire the three buildings.
In the FY 2004 budget,the Commission allocated money to install a telephone for the conference
room. This would be useful to groups that rent the room. The Commission said to go forward
with having the phone installed. There will be a block on the line so only prepaid or 800 long
distance calls could be made from the phone.
O'Neil said an updated emergency phone numbers list was included in the packet.
There was a memo in the packet on the latest developments on the LAAS system.
Council will appoint the two new Airport Commission members at their meeting on January 6,
2004.
O'Neil said he is on a State DOT aviation committee that is reviewing the Aviation Systems Plan
for Iowa. This is the State's Airport Master Plan. Iowa City is in the Enhanced category,which
is the top level of general aviation airports.
O'Neil said he has submitted a proclamation for the Council agenda for December 16 to declare
December 17 as Aviation Day, in honor of the 100 years of powered flight. The Mayor will make
the proclamation. Thrower said he will not be in town, but he encouraged other Commission
members to attend the Council meeting.

the proposed contract format and scope of services for Phase I of the Extension of Facsimile
Runway 7-25 at the Iowa City Municipal Airport. We are currently in the process of
negotiating the engineering fees for this phase of the project with the Iowa City 515.244.4803
Municipal Airport.
The contract is in similar format to other engineering services projects that we have
contracted with the city of Iowa City. Please review the contract format and proposed
work-scope for the Phase I engineering services. We will incorporate your comments
into the final document that we anticipate being presented for approval by the Iowa City
Airport Commission at their meeting on January 8,2004.

the Commission up to date on the EA. Since Congress finally passed Vision 100, the AIP funding bill, we should expect a
grant sometime in the next couple of months to reimbuse the Commission for the EA. The sooner we can have the EA
finished, the better.

Attached is a draft memorandum of agreement(MOA)for the demolition of the old United Hangar at the Iowa City
Municipal Airport. Please look it over and let me know what you think. We need a draft MOA(a signed one would be
better) before we can circulate the draft Section 4(f)Statement component of the draft EA.The MOA is required for the
draft Section 4(f) Statement and in order to comply with the requirements of Section 106 due to the adverse effect finding,
which applies to both the demolition of the building and to the relocation of this historic building to a different location.
Keep in mind that this MOA has been developed in the anticipation that the hangar will be demolished, not moved and
rehabilitated or restored in another location.The coordination that Ron has done thus far with the city council and the
historic preservation entities in Iowa City clearly indicates a lack of either resources or interest in preserving this building.
Thus, the public history document as a mitigation becomes especially important. The Iowa SHPO, the FHWA, and the
Iowa DOT have all become strong supporters of the use of public history documents as mitigation for adverse effects to
historic property.The commitment to prepare a document like this would really help demonstrate that"all possible
measures have been taken to mitigate"for the loss of the old United Hangar,which is required under Section 4(f)when a
federal project"uses" historic property.
I have not run this past the SHPO yet, but I'd like to get their review soon, perhaps after the Thanksgiving holiday, unless
Mark would like to do that coordination instead. There is little merit in circulating a MOA in an EA/Section 4(f) statement if it
has not been reviewed at least once by the SHPO-better yet to have received at least a preliminary concurrence from the
SHPO. Of course, the Airport Commission should review it as well as the Mayor's office&city council, prior to publication
of the EA/4(f)to avoid having anyone inadvertently surprised by the MOA at a public meeting.

MEMORANDUM OF AGREEMENT
BETWEEN THE U.S. FEDERAL AVIATION ADMINISTRATION
AND THE IOWA STATE HISTORIC PRESERVATION OFFICER
REGARDING THE RUNWAY EXTENSION PROJECT
AT THE IOWA CITY MUNICIPAL AIRPORT,
IOWA CITY,JOHNSON COUNTY,IOWA
WHEREAS, the U.S. Federal Aviation Administration, Central Region (the FAA) has
determined that the runway extension project at the Iowa City Municipal Airport will
have an adverse effect on historic property due to the demolition of the Old United
Hangar (inventory#52-04404), which is eligible for inclusion in the National Register of
Historic Places(NRNP), and,
WHEREAS the FAA has consulted with the Iowa State Historic Preservation Officer
(hereinafter, SHPO) in accordance with Section 106 of the National Historic Preservation
Act, 16 U.S.C. § 470 (the Act),and its implementing regulations (36 CFR Part 800); and
WHEREAS, the FAA has consulted with the SHPO pursuant to 36 CFR 800.2(c)(1) and
have come to an agreement on the project Area of Potential Effects (hereinafter, APE)
pursuant to 36 CFR 800.4(a)(l); and,
WHEREAS, the Advisory Council on Historic Preservation (hereafter Council) has been
notified of the adverse effect finding and has been invited to enter into consultation
pursuant to 36 CFR 800.6 (a)(1) but has concluded that its participation in the
consultation process will not be necessary to resolve the adverse effects; and,
WHEREAS, the Iowa City Airport Commission and the City Council of Iowa City have
participated in the consultation and have been invited to concur in this Memorandum of
Agreement(MOA);
NOW, THEREFORE, the FAA and the SHPO agree that the undertaking shall be
implemented in accordance with the following stipulations in order to take into account
the effect of the undertaking on historic properties.
Stipulations
The following shall occur:
1. The FAA shall ensure that funding for the construction of the proposed runway
extension is withheld until this MOA has been signed by all parties.
2. The Iowa City Airport Commission shall ensure that the following stipulations are
carried out:

A. The Old United Hangar shall be recorded in accordance with the applicable standards
of the Historic American Building Survey/Historic American Engineering Record
(HABS/HAER) guidelines for the recovery and preservation of important elements of
this historic building, as found in Appendix A of this MOA.
B. The Airport Commission, in consultation with the FAA and the Iowa SHPO, will
prepare a public historic booklet that tells the story of the development of the Iowa
City Municipal Airport, as found in Appendix B of this MOA. This booklet will
document the origin of the airport, early aviation achievements that took place there
and the change in the airport over time. The booklet will be illustrated with historic
photographs, maps, and text that describes the history of the airport in a way that will
increase public awareness and appreciation of the history of the Iowa City Municipal
Airport, which is one of the oldest airports in continuous operation in the State of
Iowa.
C. Unanticipated Discoveries. No human remains or suspected mortuary features have
been identified within the airport and none are anticipated to be found during the
implementation of this undertaking. However, it is understood that any human
remains, mortuary features, and/or grave-associated funerary objects discovered
within the permit area are protected by provisions of the Iowa Codes 144.34 and
263B.7 through 263B.9, and the Iowa Administrative Code Section 685, Chapter 11.
The applicant shall ensure that, if human remains, mortuary features, and/or grave
associated objects are encountered, all construction and excavation activities will
cease immediately within the area. The area will be secured; the material will be left
in place with no further disturbance. A tarp, plastic sheeting, or other appropriate
covering will be placed over the exposed remains and weighted with loose soil along
the edges and the top. The SHPO and the Director of the Burials Program at the
Office of the State Archaeologist of Iowa (319) 384-0740 will be contacted
immediately. In the event that other discoveries of historical, architectural, or
archaeological significance are encountered, all construction and excavation activities
will cease immediately within the area. The area will be secured, the material will be
left in place with no further disturbance, and the SHPO will be contacted
immediately. The SHPO will respond within 48 hours of the discovery.
2. Administrative Conditions
A. The signature of the FAA and SHPO on this document signifies their concurrence
with the schedule and methodologies of the recordation plan as set out in Appendix A
of this MOA.
B. Modification, amendment, or termination of this agreement as necessary shall be
accomplished though consultation and written agreement of all the signatories.
C. Disputes regarding the completion of the terms of this agreement shall be resolved by
the signatories. If the signatories cannot agree, any one of the signatories may request

the participation of the Advisory Council on Historic Preservation (Council) to assist
in resolving the dispute in accordance with 36 CFR 800.7.
D. This agreement shall be null and void if its terms are not carried out within five (5)
years from the date of its execution, unless the signatories agree in writing to an
extension for carrying out its terms.
Execution of this MOA by the FAA and the SHPO, its subsequent filing with the
Advisory Council on Historic Preservation (Council), and implementation of its terms, is
evidence that the Corps has afforded the Council and the SHPO an opportunity to
comment on the Iowa City Municipal Airport Runway Extension Project and its effects
on historic properties, and that the FAA has taken into account the effects of the
undertaking on historic properties.

APPENDIX A
DOCUMENTATION PLAN
FOR THE OLD UNITED HANGAR
IOWA CITY MUNICIPAL AIRPORT
JOHNSON COUNTY,IOWA
The Old United Hangar(the building) shall be documented using the methodology
standardized by the Historic American Building Survey(HABS) Level II methodology.
This methodology is documented in HABS/HAER Guidelines: Recording Structures and
Sites with Measured Drawings (HABS 1993) and in Guidelines for Documenting
Historic Military Structures (USACERL 1994)prepared by the U.S. Army Corps of
Engineers Construction Engineering Laboratories(USACERL).
HABS Level II documentation includes:
• Written data: detailed history and description
• Photographs: photographs of exterior and interior views on large-format
negatives.
• Drawings: select existing drawings,where available,to be photographed on large-
format negatives or photographically reduced Mylar.
Significant aspects of the building will be photographed using a large-format camera
operated by a qualified photographer. The depth of written detail will be commensurate to
the information available.
The documentation is to meet the requirements for ready inclusion in the records of the
State Historical Society of Iowa, as follows:
• A Photographic Catalog Field Sheet will be completed for each sleeve of black
and white negatives.
• An original or copy negative of each large-format photograph.
• One set of photographic prints of each large-format photograph,printed on
archivally stable paper. The photographs will include exterior perspective views, a
general view from the distance showing the building's environment and
landscaping, and views of significant interior and exterior details. For the interior,
views should reveal the interior framing, any unusual methods of fastening or
joining frame members,and other details that help to relay the building's
construction history.

BOOKLET PUBLICATION
A HISTORY OF THE IOWA CITY MUNICIPAL AIRPORT
JOHNSON COUNTY,IOWA
General Features: The publication will tell the story of the history of the Iowa City
Municipal Airport, one of the oldest continuously operating airports within the State of
Iowa. The booklet will focus on the establishment of the airport in 1918, significant
accomplishments made there, and how the installation has grown and changed over the
years. The booklet will focus on the early history of the airport (1918 to 1940), its
involvement in the development of both the national airmail system and commercial
passenger service,and other early achievements. To a somewhat lesser degree,the
booklet will also describe the major expansion of the airport in 1940-1941, activities
conducted there during World War II (1941-1945), and the changes and growth that have
taken place there since 1945.
The publication is anticipated to be approximately 36 pages in length. It is to be authored
by a professional historian(s)with demonstrated writing ability and familiarity with
historic research in general and aviation history in particular. It is to be professionally
edited,produced by a professional graphic artist consultant, and printed by a printing firm
capable of producing high-quality materials. The booklet will be equivalent in readability,
graphic design, and quality of cover and paper to the recent Iowa Department of
Transportation public history booklet titled Clinton, Iowa:Railroad Town (2003),written
by Deborah Morse-Kahn and Joe Tmka.
At least 2,000 copies will be printed. Distribution will be made as indicated below. The
manuscript will also be submitted to Iowa Heritage Illustrated(formerly the Palimpsest)
for consideration as an article in this magazine of public history.
Contents: The body of the text will document the following:
First Flights in Iowa City—Several manned aircraft flights were conducted in
Iowa City prior to the establishment of the airfield that has become the Iowa City
Municipal Airport. The earliest known manned aircraft flight was conducted in
1910 at the old Johnson County Fairgrounds (which are no longer extant).
Early History of the Airport—This period includes the origin, early
development, and many of the significant accomplishments of the airport, which
took place between 1918 and 1940. This period is the most significant component
of the overall history of the airport. Some of the earliest airmail flights were
staged out of the airport and the airport was the scene for some of the earliest
commercial passenger flights in the Midwest. Between 1918 and 1930, the
original pasture quickly grew into an airport with gravel and sod runways,
hangars, offices, lights,and a control tower. The Old United Hangar,which was
built in 1929-1930, is the sole extant component of this early period.

World War II—The War Department funded the expansion and conversion of
the airport into a modem major installation, complete with three concrete, all-
weather runways. This expansion was originally intended to host interceptors for
the aerial defense of the Arsenal in Rock Island, Illinois and military production
plants in Eastern Iowa, such as the Iowa Army Ammunition Plant in Burlington.
However,that need did not arise and the airport instead served in a training role,
providing military pilot cadets with basic flight training that complimented the
academic-based ground school conducted at the nearby University of Iowa.
Postwar Development—The airport and its surroundings have undergone
substantial changes since the end of World War II.Urban development has nearly
engulfed the airport,which was originally surrounded by farm fields. The airport
itself has undergone major expansion, with the construction of a terminal
building,hangar buildings, and other facilities.
The publication will contain, as available, historic and current photographs, maps, and
drawings that will illustrate and compliment the historic text. These illustrations should
include historic and current photographs of aircraft and personnel engaged in typical
aviation activity;maps, drawings,or aerial photographs of the various layouts of the
airport over time; and historic documents such as rate sheets or advertisements for
commercial passenger service (if available). The booklet will contain a bibliographic
reference of major sources and will also provide a list of where a reader might find further
information of interest on the topic.
Production: A copy of the draft text and photographs/illustrations shall be submitted to
the SHPO for review and comment. The final booklet may be prepared once the SHPO
comments have been received and addressed. A final mockup of the booklet shall be
provided for SHPO review and comment. The final booklet may be published once the
SHPO review comments have been considered and addressed.
Distribution of copies: The State Historical Society of Iowa shall receive 100 copies of
the published booklet; the Iowa City Historic Commission shall receive 200 copies;the
Federal Aviation Administration shall receive 100 copies;the Iowa City Municipal
Airport shall receive 200 copies; and the Johnson County Historical Society shall receive
50 copies. The University of Iowa Library and the Iowa City Public Library shall each
receive 10 copies and each school library within Iowa City and Johnson County shall
receive one copy. One copy shall be provided to each of Iowa's public libraries,to each of
Iowa's university, community college, and other college libraries, to each areawide
education agency,to and to each regional and state library. Finally, one copy will be
provided to each local and regional newspaper within the Iowa City area.

SCOPE OF SERVICES
Phase II: Engineering Design and Contract Administration for Obstruction
Mitigation
1.0 BACKGROUND:
The Phase II Engineering Design and Contract Administration services described herein
are based on the results of the Phase I study.
2.0 BASIC SERVICES:
CONSULTANT will provide the following Professional Services for the Iowa City
Airport Obstruction Mitigation Project:
2.1. Property Owner Outreach:
Contact affected property owners to determine their willingness to have the
airport mitigate the obstruction(s)on their property.
2.2 Property Owner Contact or Negotiations:
2.2.1. Tree Removal and Trimming:
• Contact property owners who have expressed interest in having their
tree removed or trimmed.
• Present temporary easement or access permission agreements to
property owners.Note:the Client will provide Agreement
documents.
• Coordinate the removal of obstruction#120 with the property owner.
2.2.2. Obstruction Lighting:
• Meet with representatives of St.Mary's Church to discuss the
lighting of their church steeple. CONSULTANT will present
agreements required and provided by the CLIENT.
2.2.3. Johnson County Courthouse Flagpole:
• Present recommendation to a representative of the Johnson County
Courthouse to lower the Courthouse's flagpole.

2.2.4. Hargrave McEleney Sign and Light Poles:
• Notify Hargrave McEleney of the sign and light poles that are
obstructions.
• Request that the property owner obtain three(3) cost estimates for
the lowering the sign and poles. CONSULTANT will review the
cost estimates for reasonableness.
• Approve payment upon completion of the work.
2.2.5. University of Iowa Power Plant Stack Airspace Study(7460):
• Notify the University that the Power Plant Stack is an obstruction
and will require corrective action.
2.2.6. Mid American Poles:
• Notify the Mid American company of type and location of their
obstructions, and recommended action to resolve the
obstruction. Note: CONSULTANT will not be responsible for
the acquisition of easements or property involved in the
relocation of overhead or underground utilities; or for
associated design work It will be the responsibility of the
utility owner to secure required easements or property and
design the relocation.
2.2.7. Menards:
• Contact Menards and request a copy of their 7460 document.
2.3. Design Phase:
2.3.1 CONSULTANT shall:
• Prepare two(2)Project Manuals consisting of plans, specifications,
and bidding documents; one for Tree Removal and Trimming; and
one Project Manual for Obstruction Lighting. The Tree Removal
and Trimming Contract will include trimming or removal of trees
and surface restoration to mitigate Iowa City Airport obstructions.
The Obstruction Lighting Contract will include obstruction lighting
for the Iowa City Airport Hangers B and C; and St.Mary's Church
Steeple.
- Provide obstruction lighting design for the Iowa City Airport
Hangers B and C in accordance with Federal Aviation
Administration Advisory Circular(AC) 70/7460-1 K.
- Provide obstruction lighting design for St.Mary's Church
Steeple in accordance with Federal Aviation Administration

121, and 141.
• Prepare Project Manuals based on the following conditions:
- Drawings and specifications will be developed using English
units.
- Drawings will be developed using CONSULTANT'standard
drawing size,title block,format, CADD standards and
symbology.
- CADD drawings will be developed using Bentley's Micro
Station.
- Specifications will be developed using Microsoft Word.
- Technical specifications will be developed using Construction
Specification Institute's(CSI) standard Divisions and three-
part format; and CONSULTANTS standard outline type
format.
- Front-end documents will be developed from Engineer's Joint
Contract Documents Committee(EJCDC)standard documents.
• Review Iowa City ordinances and Federal Aviation Administration
(FAA)standards.
• Furnish five(5)final copies of each Project Manual to CLIENT.
2.3.2 CONSULTANTS Basic Services will be considered complete on date
when final copies of Contract Documents have been delivered to
CLIENT.
2.3.3 Conditions of Service: BASIC SERVICES described herein are based
on following:
• The following information and data will be provided by CLIENT on
which CONSULTANT will rely:
- Full information as to CLIENTS requirements for Project
including design objectives and constraints.
- Available information pertinent to Project including reports.

- Affidavits, temporary easement document or other legal
documents as required from the City Attorney's Office.
- Building plans of the Iowa City Airport Hangers B and C.
• CONSULTANT assumes that the dispositions provided in the
Obstruction Table of the Snyder&Associates 2000 Airport Layout
Plan are approved. Note: CONSULTANT will not be preparing any
Airspace Studies (7460s).
• CLIENT will provide access to the Air National Guard property for
design or construction purposes.
2.4. Bidding Phase:
CONSULTANT shall:
• Furnish seven (7)copies of each Project Manual for bidding purposes.
• Assist CLIENT in advertising for, and obtaining bids for the Work; and
where applicable,maintain record of prospective bidders to whom
Bidding Documents have been issued.
• Attend a maximum of one(1)Pre-Bid Conference for the Tree
Removal/Trimming Contract and one(1)Pre-Bid Conference for the
Obstruction Lighting Contract; and receive and process Contractor
deposits or charges for Bidding Documents.
• Issue Addenda to clarify or revise change Bidding Documents. •
• Attend Bid Opening, prepare Bid tabulation sheets, and assist CLIENT in
evaluating Bids and awarding contracts for Work.
• Assist CLIENT in documenting Bids received for one(1)Tree Removal
and Trimming Contract and one (1) Obstruction Lighting Contract.
2.5. Construction Phase:
2.5.1 CONSULTANT shall:
• Consult with CLIENT and act as CLIENTS representative as
provided in General Conditions of the Construction Contract
(EJCDC). The extent and limitations of duties, responsibilities
and authority of CONSULTANT as assigned in said General
Conditions shall not be modified,except as CONSULTANT
may otherwise agree in writing. All of CLIENT'S instructions to
Contractor will be issued through CONSULTANT,who shall
have authority to act on behalf of CLIENT in dealings with

Contractor to extent provided in this Agreement and said
General Conditions except as otherwise provided in writing.
• Furnish up to five(5) copies per contract of Contract Documents
to Contractor for construction purposes.
• Participate in Pre-Construction Conference, if any,prior to
commencement of Work at Site.
• Make visits, as described in Article 2.5.3, during construction to
observe the progress of Work. Such visits and observations by
CONSULTANT are not intended to be exhaustive or to extend to
every aspect of Contractor's work in progress or to involve
detailed inspections of Contractor's work in progress beyond
responsibilities specifically assigned to CONSULTANT in this
Agreement and Contract Documents, but rather are to be limited
to spot checking, selective sampling, and similar methods of
general observation of Work based on CONSULTANT'S
exercise of professional judgment. Based on information
obtained during such visits and such observations,
CONSULTANT will determine in general if Contractor's work is
proceeding in accordance with Contract Documents,and
CONSULTANT shall keep CLIENT informed of progress of
Work.
CONSULTANT shall not,during such visits or as a result of
such observations of Contractor's work in progress,supervise,
direct,or have control over Contractor's work, nor shall
CONSULTANT have authority over or responsibility for means,
methods,techniques, sequences, or procedures of construction
selected by Contractor, for safety precautions and programs
incident to Contractor's work, or for any failure of Contractor to
comply with Laws and Regulations applicable to Contractor's
furnishing and performing the Work. Accordingly,
CONSULTANT neither guarantees performance of any
Contractor nor assumes responsibility for any Contractor's
failure to furnish and perform its work in accordance with
Contract Documents.
• Issue necessary clarifications and interpretations of Contract
Documents as appropriate to orderly completion of Contractor's
work. Such clarifications and interpretations will be consistent
with intent of and reasonably inferable from Contract
Documents. CONSULTANT may issue Instructions to
Contractor authorizing minor variations from requirements of
Contract Documents.
• Recommend Change Orders to CLIENT, as appropriate,and
prepare Change Orders as required.

• Evaluate and determine acceptability of"or-equal"materials and
equipment proposed by Contractor.
• Require such special inspections or tests of Contractor's work as
deemed reasonably necessary, and receive and review all
certificates of inspections,tests, and approvals required by Laws
and Regulations or Contract Documents. CONSULTANT'S
review of such certificates will be for purpose of determining
that results certified indicate compliance with Contract
Documents and will not constitute an independent evaluation
that content or procedures of such inspections, tests,or approvals
comply with requirements of Contract Documents.
CONSULTANT shall be entitled to rely on results of such tests.
• Determine amounts that CONSULTANT recommends
Contractor be paid. By recommending any payment,
CONSULTANT shall not thereby be deemed to have represented
that observations made by CONSULTANT to check quality or
quantity of Contractor's work as it is performed and furnished
have been exhaustive, extended to every aspect of Contractor's
work in progress,or involved detailed inspections of Work
beyond responsibilities specifically assigned to CONSULTANT
in this Agreement and Contract Documents. Neither
CONSULTANT'S review of Contractor's work for purposes of
recommending payments nor CONSULTANT'S
recommendation of any payment including final payment will
impose on CONSULTANT responsibility to supervise,direct,or
control Contractor's work in progress or for means,methods,
techniques, sequences, or procedures of construction or safety
precautions or programs incident thereto, or Contractor's
compliance with Laws and Regulations applicable to
Contractor's furnishing and performing the Work. It will also
not impose responsibility on CONSULTANT to make any
examination to ascertain how or for what purposes Contractor
has used moneys paid on account of Contract Price,or to
determine that title to any portion of work in progress, materials,
or equipment has passed to CLIENT free and clear of any liens,
claims, security interests,or encumbrances, or that there may not
be other matters at issue between CLIENT and Contractor that
might affect amount that should be paid.
• Receive bonds, certificates, or other evidence of insurance not
previously submitted and required by Contract Documents,
certificates of inspection,tests and approvals, Samples and other
data which are to be assembled by Contractor in accordance with
Contract Documents to obtain final payment.
• Conduct inspection to determine if Work is Substantially
Complete promptly after notice from Contractor that Contractor

considers entire Work ready for its intended use, in company
with CLIENT or Obstruction Owner and Contractor. If after
considering any objections of CLIENT, CONSULTANT
considers Work Substantially Complete, CONSULTANT shall
deliver certificate of Substantial Completion to CLIENT and
Contractor.
• Conduct fmal inspection to determine if completed Work of
Contractor is acceptable so that CONSULTANT may
recommend, in writing, final payment to Contractor.
Accompanying recommendation for final payment,
CONSULTANT shall also provide a notice that Work is
acceptable to best of CONSULTANTS knowledge, information,
and belief and based on extent of services provided by
CONSULTANT under this Agreement.
2.5.2. Duration of Construction Phase.
• Construction Phase will commence with execution of first
Construction Agreement for Project or any part thereof and will
terminate upon written recommendation by CONSULTANT for final
payment to Contractors.The maximum duration of Construction
Phase services is a period not exceeding 365 consecutive days from
the award date of the initial contract.
2.5.3. Conditions of Service:
• CONSULTANT shall not be responsible for acts or omissions of any
Contractor, of any of their subcontractors, suppliers, or of any other
• individual or entity performing or furnishing any of Work.
CONSULTANT shall not be responsible for failure of any
Contractor to perform or furnish the Work in accordance with
Contract Documents.
• Visits to Project site for observation of construction for the Tree
Removal and Trimming Contract will involve one(1)site visit per
address to verify that the trees have been removed or trimmed and
that adequate surface restoration has been preformed. A construction
observation report documenting the date and results of the field visit
will be prepared. Visits to Project site for observation of
construction for the Obstruction Lighting Contract will involve one
(1)site visit by CONSULTANT.
2.6 ADDITIONAL SERVICES:
The following ADDITIONAL SERVICES are not included in BASIC
SERVICES:
• Preparation of Airspace Studies(7460s).

• Services resulting from incongruities between the City of Iowa City
ordinances and Federal Aviation Administration(FAA)standards that
may require application for variance.
• Performing topographic surveys.
• Services to investigate, or make measured drawings of existing
conditions or facilities; or to verify accuracy of drawings or other
information furnished by CLIENT.
• Services resulting from CLIENT'S request to evaluate additional
alternative solutions beyond those identified in BASIC SERVICES.
• Services resulting from significant changes in scope, extent or character
of portions of Project including, but not limited to,changes in size,
complexity, CLIENT'S schedule, or method of financing, and revising
documents when such revisions are required by changes in Laws and
Regulations enacted subsequent to effective date of this Agreement, or
are due to any other causes beyond CONSULTANT'S control.
• Services required as a result of CLIENT'S providing incomplete or
incorrect Project information on which CONSULTANT had previously
relied.
• Preparation of documents for alternate bids requested by CLIENT.
• Services attributable to variation in number of construction contracts
from number indicated under BASIC SERVICES.
• Services required attending additional meetings, conducting additional
Site trips, or providing additional copies of Contract Documents.
• Services required to resolve conflicting review comments.
• Services required to re-bid Work.
• Preparation of additional Bid Documents for alternate bids or prices
requested by CLIENT.
• Assisting CLIENT in connection with Bid protests,re-bidding, or
negotiating contracts for construction,materials, equipment, or services.
• Evaluation of substitutions during the Bid phase.
• Visits to Project Site beyond extent indicated under BASIC SERVICES.
• Construction surveys and construction staking.
• Revision of Drawings and Specifications occasioned by acceptance of
substitute materials or equipment(other than "or-equal" items).

other cause during construction, (4) significant amount of defective,

Item. Consider a resolution authorizing the Mayor to sign and the City Clerk to attest an
amendment to the agreement with Iowa Realty Commercial to sell andlor lease 17
commercial lots in the Airport's Aviation Commerce Park.
This agreement provides for a 12-month extension for services with Iowa Realty
Commercial to sell or lease lots in the subdivision known as the Aviation Commerce
Park. The agreement provides criteria for leasing and/or selling the parcels. This is a
joint agreement with the Airport Commission and the amendment was approved by the
Airport Commission at their meeting on December 9, 2003.

RESOLUTION AUTHORIZING THE CHAIRPERSON TO SIGN AND THE SECRETARY TO
ATTEST AN AMENDMENT TO THE AGREEMENT WITH IOWA REALTY COMMERCIAL TO

WHEREAS, it is a goal of the Airport Commission to generate as much income as possible for the
Iowa City Municipal Airport, and;
WHEREAS, the Airport Commission and the City Council have worked cooperatively to develop a
17-lot commercial subdivision on Airport property, and;
WHEREAS, the Airport Commission has agreed to contract with NAI Iowa Realty Commercial to
lease the property known as the Aviation Commerce Park subdivision and the Iowa City City
Council will consider said agreement at the Council meeting on December 16, 2003, and;
WHEREAS, the amendment to the agreement will extend the agreement for an additional 12
month period. (see attached amendment)
NOW, THEREFORE, BE IT RESOLVED BY THE AIRPORT COMMISSION OF THE CITY OF
IOWA CITY, IOWA, that the Commission approves the attached amendment, and authorizes the
Chairperson to sign and the Secretary to attest said amendment.

RESOLUTION NO. 03-18
RESOLUTION AUTHORIZING THE MAYOR TO SIGN AND THE CITY CLERK TO ATTEST AN
AGREEMENT WITH IOWA REALTY COMMERCIAL TO SELL AND/OR LEASE PROPERTY IN
THE AVIATION COMMERCE PARK
WHEREAS, it is a goal of the Airport Commission to generate as much income as possible for the
Iowa City Municipal Airport, and;
WHEREAS, the Airport Commission and the City Council have worked cooperatively to develop a
17-lot commercial subdivision on Airport property, and;
WHEREAS, the Airport Commission and the City Council have agreed to contract with NAI Iowa
Realty Commercial to sell or lease the property known as the Aviation Commerce Park
subdivision, and;
WHEREAS, attached, marked Exhibit 1, and incorporated herein is the Listing Agreement that the
Iowa City Airport Commission has approved by resolution on January 6, 2003.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF IOWA
CITY, IOWA,that the Council approves the attached agreement, and authorizes the Mayor to sign
and the City Clerk to attest said agreement.

LISTING AGREEMENT
This Agreement is being made and entered into among NAI Iowa Realty Commercial
(hereinafter called "Agent"), the City of Iowa City, a municipal corporation, (hereinafter called
"Owner), and the Iowa City Airport Commission (hereinafter called"Commission") in Iowa City,
Iowa.
RECITALS:
Whereas,the Owner desires now to offer the land lots in Aviation Commerce Park(hereinafter
called"the lots"or"the Property")for sale as well as for lease contingent upon approval by the
Federal Aviation Administration to sell the lots;
Whereas,the Owner desires the Commission to recommend to it whether an offer to purchase
should be accepted;
Whereas,the Owner desires the said lots may still be offered for lease by the Commission with
consultation with the Owner; and
Whereas,the Agent desires to be the Owner's agent in selling the lots and the Commission's
agent in leasing the lots.
AGREEMENTS:
NOW,THEREFORE, it is agreed as follows:
1. COMMISSION. The Commission has the sole right and authority to review and approve
any land lease transaction. Attached, marked Exhibit"A", and incorporated herein is an
agreement for the listing of the lots by Agent.
2. OWNER.The Owner has the sole right and authority to review and approve any land
sale transaction The City Manager may accept an offer to purchase on the contingency that
said offer must be approved by the Owner. The Owner may not enter into a land sale
transaction without receiving the Commission's recommendation. If the Owner rejects the
Commission's recommendation,the Owner and the Commission shall meet to discuss the
potential sale transaction, but the Owner maintains the sole right and authority to enter into said
transaction.
3. SALES AND LEASE PROCEDURES. An outline of the land sales transaction is
attached, marked Exhibit°B", and incorporated herein, and shall be utilized for the sale of the
lots.An outline of the land lease transaction is attached, marked Exhibit°C", and incorporated
herein, and shall be utilized for the lease of the lots.
4. AGENCY. Owner hereby employs Agent and Agent accepts such employment by Owner
as the exclusive agent with the sole right and authority, to offer for sale and to sell the land,
designated as lots 1-17 on Exhibit "D" which is attached and incorporated herein, (hereinafter
referred to as the°Property").
5. TERM.The term of this Agreement and Agent's employment, right and authority shall be
extended for 12 months from the last date affixed below.
6. AGENTS RESPONSIBILITIES.Agent hereby agrees as follows:
a. To secure and compile appropriate and customary written information with
respect to the sale of the Property.
b. To exert Agent's best efforts to perform its obligations under this Agreement
including, but not limited to, enlisting the efforts and resources of Agent's organization,
and.to: (i) list the Property for ale with any local or other appropriate multiple listing
services; (ii) advertise the Property for sale in a commercially prudent manner. Agent
shall advertise the Property at terms and conditions that have been approved in advance
in writing by Owner and attached hereto as Exhibit "E°. Agent acknowledges that the
Owner anticipates recording Restrictions and Covenants and that he will notify potential
buyers of said restrictions and covenants.
c. To submit monthly progress reports to the City Manager and the Airport
Manager by the first day of each month, concerning the status of marketing, interested
parties and any negotiations together with current market information affecting the
Property. At the request of Owner, Agent shall attend meetings of Owner relative to the
scope of this Agreement, and at the request of the Commission, Agent shall attend
meetings of Commission relative to the scope of this Agreement.
d. To solicit active cooperation from other qualified brokers in the sale of the
Property.
e. To use its best efforts to sell the Property at the terms approved by Owner.
7. PAYMENT OF SALE COMMISSION. Agent acknowledges and agrees that Owner shall
be obligated to pay sales commissions and fees, as set forth below, only to Agent. Agent shall
be entirely responsible for payment and satisfaction of any and all co-brokerage obligations due
any other brokers or sales agents working with Agent, or who have procured for Agent, or
referred to Agent, a buyer.
8. OWNER'S RESPONSIBILITIES. Owner hereby agrees as follows:
a. During the term of this Agreement, Owner shall pay Agent a sales fee per
transaction for a Buyer procured by Agent as follows:
7% of the first$500,000 of gross sales price
6%of the second$500,000 of gross sale price
5%of the next$1,000,000 of gross sale price
3%thereafter
b. In addition, Owner shall pay Agent a sales fee, as set forth above, for a sale
effected by Owner within 360 days following the termination of this Agreement,
provided: (i) Agent has previously shown the Property to the buyer; (ii) such
buyer is included on a written list of prospective buyers submitted to Owner
within ten (10) calendar days following the termination of this Agreement.
c. Except as specifically set forth herein, to refrain from negotiations with
prospective buyers or their agents and to direct to Agent all prospective buyers

and their agents, and all brokers, and other persons or entities interested in
purchasing the Property.
d. To cooperate with Agent and to permit Agent to conduct all negotiations and
other dealings with all prospective buyers and their agents.
e. At the time of settlement promptly deliver a complete abstract showing good and
merchantable title to the date of transfer and execute a warranty deed to the
property for delivery to the buyer, or enter into a contract for deed.
9. LISTING AGREEMENT WITH COMMISSION. The Listing Agreement entered into
between the Commission and Agent on April 5, 2001, is hereby terminated. Agent waives all
fees, commissions, and other financial remuneration that it may be due under said agreement,
including but not limited to an early termination fee under Paragraph 2 and a commission for
leasing lot 10 to Rob Nichols and fully releases the Commission from any and all liability,
including all claims, demands, and causes of action of every nature arising out of said
agreement.
10. NON-DISCRIMINATION. Agent covenants its employees, and agents shall not
discriminate agaihst any person in employment or public accommodation because of race,
religion, color, creed, gender identity, sex, national origin, sexual orientation, mental or physical
disability, marital status, or age. "Employment" shall include but not be limited to hiring,
accepting, registering, classifying, promoting, or referring to employment. "Public
accommodation" shall include but not be limited to providing goods, services, facilities,
privileges and advantages to the public. Agent shall remain in compliance with all requirements
of 49 CFR Part 21, Non-Discrimination in Federally Assisted Programs of the Department of
Transportation.
11. TIME OF ESSENCE. Time is of the essence as to this Agreement and each of its
terms and provisions.
12. ASSIGNMENT. Agent shall not assign or allow assumption of this Agreement
except with prior written consent of Owner and Commission. In the event this Agreement Is
assigned by Owner in conjunction with the sale of lots, with such an assignment to occur only
with the express consent of Agent, Owner shall be released from liability for all matters arising
after the effective date of the assignment.
13. NOTICES. Any notice required or permitted to be given hereunder shall be in
writing and:
As to Owner shall be delivered by: (i) certified mail, return receipt requested; or (ii) prepaid
Federal Express or other similar overnight delivery service, in care of City Manager, Iowa City
Civic Center,410 E.Washington Street, Iowa City, Iowa 52240.
As to Commission shall be delivered by: (i) certified mail, return receipt requested; or(ii) prepaid
Federal Express or other similar overnight delivery service, in care of Airport.Manager, Iowa City
Municipal Airport, 1801 S. Riverside Drive, Iowa City, Iowa 52246.
As to Agent shall be delivered by: (i) personal service; (ii) certified mail, return receipt
requested; or(iii) prepaid Federal Express or other similar overnight delivery service, addressed
to: Tracy K. Overton, NAI Iowa Realty Commercial, 568 Highway 1 West, Iowa City, Iowa
52246.

Notice by personal service shall be deemed delivered upon service. Notice by certified mail
shall be deemed delivered three business days following deposit of the mailing with adequate
postage, addressed to the receiving party's most current address for the purposes of notice, or
upon receipt of the certified mailing by the party to whom directed, whichever first occurs. Notice
by overnight delivery service shall be deemed given on the next business day following sending
of the notice addressed to the receiving party at their most current address for the purposes of
notice. Addresses for purposes of notices may be changed by a party from time to time upon
providing formal notice of such change to the other party.
14. AMENDMENT. This Agreement may be modified in writing only, duly signed by
all parties.
15. APPLICABLE LAW. This Agreement is declared to be a contract of the State of
Iowa and shall be construed in accordance with the laws of Iowa.
16. ENTIRE AGREEMENT. All negotiations, considerations, representations and
understandings, prior proposals or earlier written documents between the parties as to the sale
of the Property are Incorporated into this Amendment, which contains the entire agreement of
the Parties as to the sale of the Property. The Parties agree and acknowledge that no
representations, warranties or agreements, other than as set forth in this Amendment have
been made by the parties to each other as to the sale of the Property.

EXHIBIT A
This governs the legal relationship (hereinafter called "Lease Agreement") between NAI Iowa Realty
Commercial (hereinafter called "Agent") and the Iowa City Airport Commission (hereinafter called
"Commission')with regard to leasing lots 1-17 in Aviation Commerce Park as designated on Exhibit "C"
of the Listing Agreement(hereinafter called "the Property").
1. AGENCY. Commission hereby employs Agent and Agent accepts such employment by
Commission as the exclusive agent with the sole right and authority, to offer for lease and to lease the
rentable portions of the Property Commission acknowledges that Tracy Overton is its project
representative. Agent shall assign Tracy Overton to this project through the expiration of the original
term of this Lease Agreement. If Agent assigns a person other than Tracy Overton to this project, said
person must be acceptable to Commission. if said person is of equal competence and experience to
Tracy Overton, but is not acceptable to Commission, Commission may elect to terminate this Lease
Agreement, and if Commission does elect to terminate, Commission shall pay to Agent an early
termination fee of $2,500, and not the full early termination fee of $5,000 provided in Paragraph 3
below. If said person is not of equal competence and experience to Tracy Overton and is not
acceptable to Commission, Commission may elect to terminate this Lease Agreement without incurring
any early termination fee.
2. TERM. The term of this Lease Agreement and Agents employment, right and authority
shall commence upon execution of the Listing Agreement and terminate upon termination of the Listing
Agreement, unless sooner terminated by a ninety(90)day written notice by one party to the other party,
with or without cause. In the event the parties continue to observe this Lease Agreement following the
expiration of its stated term without formally renewing the Lease Agreement, it shall be deemed to
continue on a quarter to quarter basis subject to the ongoing termination rights of the parties.
3. EARLY TERMINATION. In the event the Commission elects to terminate this Lease
Agreement prior to the expiration of the original term, then Commission shall pay to Agent, at the time
of notice,a $5,000.00 termination fee, except as provided in Paragraph 1 above. In the event the Agent
elects to terminate Commission prior to the expiration of the original term, Agent agrees to furnish,
upon demand by the Commission and without cost, copies of all basic notes and sketches, charts,
computations, diagrams, charts, maps, and marketing materials prepared or obtained by Agent
pursuant to this Lease Agreement, without restrictions or limitation as to the use relative to the
marketing of the Property. In such event,Agent shall not be liable for the use of such documents by the
Commission or others.
4. AGENT'S RESPONSIBILITIES.Agent hereby agrees as follows:
a. To secure and compile appropriate and customary written information with respect to the
leasing of the Property.
b. To exert Agent's best efforts to perform its obligations under this Lease Agreement
including, but not limited to, enlisting the efforts and resources of Agent's organization,
and to: '(I) list the Property for Lease with any local or other appropriate multiple listing
services; (ii) to place the appropriate signage on the Property; and (iii) advertise the
Property for lease in a commercially prudent manner. Agent shall advertise the Property
at monthly rentals and terms that have been approved in advance in writing by
Commission.
c. To submit written monthly progress reports to Commission by the first day of each month
beginning February 1, 2003, concerning prospective tenants and the status of any lease
negotiations together with current market information affecting the Property. At the
request of Commission,Agent shall attend meetings of Commission relative to the scope
of this Lease Agreement.
d. To solicit active cooperation from other qualified brokers in the leasing of the Property.
e. To use its best efforts to lease the Property at the rentals and upon the terms approved
by Commission.
f. Agent will not be held liable for the performance of any term, covenant or condition
contained in any agreement pertaining to the Property except as set forth in this Lease
Agreement and in any other written Lease Agreement between the parties.
5. PAYMENT OF LEASING COMMISSION. Agent acknowledges and agrees that
Commission shall be obligated to pay leasing commissions and fees, as set forth below, only to Agent.
Agent shall be entirely responsible for payment and satisfaction of any and all co-brokerage obligations
due any other brokers or leasing agents working with Agent, or who have procured for Agent, or
referred to Agent, a tenant.
6. COMMISSION'S RESPONSIBILITIES. Commission hereby agrees as follows:
a. During the term of this Lease Agreement, Commission shall pay Agent a leasing fee
equal to twenty-five cents ($.25) per gross square foot of land area under lease. The
leasing fee shall be due and payable in three (3) equal annual installments with the first
installment due at the time of lease execution and each of the two remaining annual
installments due on/or before the subsequent lease execution anniversary dates.
b. In addition, Commission shall pay Agent a leasing fee, as set forth above, for leases
executed by Commission within one (1) year following the termination of this Lease
Agreement, provided: (1) Agent has previously shown the Premises to that tenant; (ii)
Agent has had active negotiations with tenant; and (iii) such tenant is included on a
written list of prospective tenants submitted to Commission within ten (10) calendar
days following the termination of this Lease Agreement.
c. Except as specifically set forth herein, to refrain from negotiations with prospective
tenants or their agents and to direct to Agent all prospective tenants and their agents,
and all brokers, and other persons or entities interested in leasing the Premises.
d. To cooperate with Agent and to permit Agent to conduct all negotiations and other
dealings with all prospective tenants and their agents. All tenants, lease terms, and
lease conditions shall be approved by Commission, with all leases to be signed by
Commission upon Commission's lease form.
e. Reasonable and customary expenses incurred by Agent in providing leasing services to
the Property shall be at Agent's sole cost and expense. [given that it is doubtful that lots
will lease, as opposed to sell, it seems to me that such costs should be dealt wfin the
listing agreement itself]
7. COMMISSION INDEMNIFICATION OF AGENT. Commission will indemnify, defend and
save Agent safe and harmless from all claims in connection with the Property and from liability for
damaged property and injuries to or death of any person, except in those cases where the damage to
property or injuries or death to persons is caused by, or contributed to, Agent's willful malfeasance, bad
faith, reckless disregard of duty or negligence.

After Purchase Offer has been received by Agent:
1. Agent delivers copy of Offer to City Manager and Airport Manager.
2. Agent works with Airport and City Manager on negotiating favorable terms
and conditions, including but not limited to Counter-Offers.
3. Agent forwards copy of final terms and conditions to City Manager and
Airport Manager.
4. City Manager may accept offer contingent upon approval by City Council.
5. Agent presents Offer, whether or not accepted by City Manager, to
Commission for its recommendations.
6. Commission makes recommendation to Owner.
7. If Owner disagrees with Commission's recommendation, Commission and
Owner shall, within a reasonable period of time, meet and discuss said
offer prior to Owner's final action, but Owner retains sole right to accept or

Purpose
The purpose of this document is to communicate the ideas, analysis and decisions,which
will guide the future role, direction and value proposition of the Iowa City Airport In
approaching the development of our business plan, three key strategic objectives need to
be considered or established:
Establishing a unified understanding of and reason for the City of Iowa City to have
and benefit from an Airport
Communicate and execute proven activities, which will improve the financial
performance of the Iowa City Airport
Establish a process for integrating airport planning with city, county, state and federal
agencies in areas of economic development,transportation and homeland security.

and operates a general aviation airport that is located approximately 2 miles southwest of
the City center. The governance model established for the airport was codified within
Chapter 330.17-330.24 of the 1995 Iowa City Code of Ordinances; Title 13-1, which
established a charter for a 5 member Airport Commission. The role of the Iowa City
Airport Commission is to establish a decision making process, operational operating
model and long term direction setting, thus ensuring the efficient and effective
performance of the airport.
What makes the Iowa City Airport unique to Eastern Iowa in many respects is what makes
Iowa City unique and that is, the community in which we serve. Johnson County has over
110,000 residents of which Iowa City represents 63,000, which is the sixth largest
population center in the State of Iowa. Iowa City's unemployment rate at 3%, which is
lower than the overall 4.1%of the State of Iowa. When we look at where our fellow Iowa
City residents work, we find higher concentrations in Non-agricultural 74.4, Services 66.5
and Government 28.2 as compared to the rest of the state. The Iowa City economy is
diverse,strong and positioned for growth.
The Iowa City Airport is a hub for the transportation needs of many of the major employers
such as the University of Iowa, University of Iowa Hospitals, Pearson, Hy Vee, Lear
Corporation, Kum & Go, Wal-Mart and Procter & Gamble. Additionally, the Iowa City
Airport is home to key elements of our communities Home Land Security support
personnel,such as the Army Reserve, National Guard and CMI Air Patrol.
Location:
In short, the number one market differentiator of the Iowa City Airport is "Location". By
being within 2 miles of the city center and less than 7 miles to each of the noted
employers, the Iowa City Airport creates an unparallel opportunity for shorter travel time,
which translates into more time for the business at hand. When one calculates the
amount of time saved from not having to arrive at a commercial airport, check baggage,
clear security and then connect through the major hubs, such as Chicago, Atlanta and
Denver,clearly a direct flight into Iowa City saves time and resources.
The Iowa City Airport provides the aviation front door service for our community while
supporting the needs of healthcare, business and homeland security.
Services:
The Iowa City Airport offers air charter, aircraft sales, maintenance, fuel, hanger services
and flight training. Each of the noted services creates jobs here in Iowa City as the
demand for them increases proportionately with the number of customers and aircraft

THIS AGREEMENT, made and entered into this -4 - day of V v l! �%�l
,QO: , in Iowa City, Iowa, by and between the Iowa City Airport Commission, of Iowa
City Iowa, hereinafter referred to as the"Commission", and Airport Business Solutions, of Roswell,
Georgia, hereinafter referred to as "ABS".
WHEREAS, the Commission and City Council have agreed that it is in the best interest of the
Iowa City Airport to develop a business and strategy plan for the Airport, and;
WHEREAS, the Commission has researched consultants and has selected ABS as the most
qualified consultant to provide the required technical assistance, and;
WHEREAS, in consideration of the terms and conditions listed in this agreement, the Commission
has agreed to employ ABS to develop a business and strategy plan for the Iowa City Airport.
NOW THEREFORE, it is agreed by and between the parties hereto that the Commission does
now contract with ABS to provide services as set forth herein.
I. SCOPE OF SERVICES
The goals of the Commission are to work towards a self—sufficient airport, enhance management
practices and improve marketing and promotion of the airport to the community. ABS agrees to
provide a plan to work toward those goals, and to do so in a timely and satisfactory manner. The
Scope of Services for a plan is described in Attachment A — Scope of Services and is hereby
incorporated into this agreement.
II. TIME OF COMPLETION
ABS shall complete the following phases of the Project in accordance with the schedule shown.
A. Within 90 days from the Notice to Proceed, a draft Airport Strategic Business Plan,
based on Tasks 1 through 5 in Attachment A of this agreement, will be presented to
the Commission for review and public comment. The plan will, at a minimum,
address the items outlined in Task 1 through Task 5.
B. Within 30 days of receipt of the final comments from the Commission, ABS will
provide 10 copies of the final Airport Strategic Business Plan to the Commission.
III. GENERAL TERMS
A. ABS shall not commit any of the following employment practices and agrees to
prohibit the following practices in any subcontracts.
1. To discharge or refuse to hire any individual because of their race, color,
religion, sex, national origin, disability, age, marital status, gender identity,
or sexual orientation.

2. To discriminate against any individual in terms, conditions, or privileges of
employment because of their race, color, religion, sex, national origin,
disability, age, marital status, gender identity, or sexual orientation.
B. Should the Commission terminate this Agreement, ABS shall be paid for all work
and services performed up to the time of termination. However, such sums shall
not be greater than the "lump sum" amount listed in Section IV. The Commission
may terminate this Agreement upon seven (7) calendar days' written notice to
ABS.
C. This Agreement shall be binding upon the successors and assigns of the parties
hereto, provided that no assignment shall be without the written consent of all
Parties to said Agreement.
D. It is understood and agreed that the retention of ABS by the Commission for the
purpose of the Project shall be as an independent contractor and shall be
exclusive, but ABS shall have the right to employ such assistance as may be
required for the performance of the Project.
E. It is agreed by the Commission that all Commission records and files pertaining to
information needed by ABS for the project shall be available by said Commission
upon reasonable request to ABS. The Commission agrees to furnish all
reasonable assistance in the use of these records and files.
F. It is further agreed that no Party to this Agreement shall perform contrary to any
state, federal, or local law or any of the ordinances of the City of Iowa City, Iowa.
G. At the request of the Commission, ABS shall attend meetings of the Commission
relative to the work set forth in this Agreement. Any requests made by the
Commission shall be given with reasonable notice to ABS to assure attendance.
H. ABS agrees to furnish, upon termination of this Agreement and upon demand by
the Commission, copies of all basic notes and sketches, charts, computations, and
any other data prepared or obtained by ABS pursuant to this Agreement without
cost, and without restrictions or limitation as to the use relative to specific projects
covered under this Agreement. In such event, ABS shall not be liable for the
Commission's use of such documents on other projects.
The Commission agrees to tender ABS all fees in a timely manner, excepting,
however, that failure of ABS to satisfactorily perform in accordance with this
Agreement shall constitute grounds for the Commission to withhold payment of the
amount sufficient to properly complete the Project in accordance with this
Agreement.
J. Should any section of this Agreement be found invalid, it is agreed that the
remaining portion shall be deemed severable from the invalid portion and continue
in full force and effect.
K. Original contract drawings shall become the property of the Commission. ABS
shall be allowed to keep mylar reproducible copies for ABS's own filing use.
L. Upon signing this agreement, ABS acknowledged that Section 362.5 of the
Iowa Code prohibits a Commission member from having an interest in a

contract with the Commission, and certifies that no member of the
Commission, has an interest, either direct or indirect, in this agreement, that does
not fall within the exceptions to said statutory provision enumerated in Section
362.5.
M. ABS agrees at all times material to this Agreement to have and maintain
professional liability insurance covering ABS's liability for ABS's negligent acts,
errors and omissions to the Commission in the sum of $1,000,000.
IV. COMPENSATION FOR SERVICES
Based on the Scope of Services defined in this agreement, the Commission agrees to pay
ABS a not-to-exceed total of $15,000.00 (defined as "lump sum" amount), exclusive of
travel and project-related expenses. Project-related expenses include, but are not limited
to, telephone and fax charges, shipping/postage, travel/meals, meeting facilities, materials,
and document preparation. Proje,,, - leravel related expenses will be reimbursed based
on receipts and shall not excee• = •,;•.. 20% of the lump sum. Expenses in excess
of 20% of the lump sum must be pre-appro'-• •y the Commission. The project will include
two visits, the first to initiate the project and the second to present the plan to the Airport
Commission and City Council.
V. MISCELLANEOUS
A. All provisions of the Agreement shall be reconciled in accordance with the laws of
the State of Iowa.
C. It is further agreed that there are no other considerations or fees contingent upon or
resulting from the execution of this Agreement, that it is the entire Agreement, and
that no other fees or considerations have been solicited.

2004 LEGISLATIVE PRIORITIES
1)Increase the Aviation Assistance Program appropriation from the current$500,000 to
at least$750,00. The extra funds are required to meet the basic safety needs of the state's
public airports.
2) Continue the current appropriations for vertical infrastructure projects at the state's
commercial service and general aviation airports.
3)Provide a special appropriation of$500,000 to be used as a portion of required local
match for Federal Airport Improvement Program nonprimary entitlement grants and
Small Community Air Service Development Program. General aviation airports have
turned down nearly$300,000 because they did not have local funds available for match.
General aviation airports are entitled to$10.2 million during federal fiscal year 2004,but
will be required to provide a five-ten percent local match. In addition, successful grants
for the federal Small Community Air Service Development program require significant
local and regional support. State participation in this program would increase Iowa's
commercial service airports chances of obtaining a grant to improve service,market
service,and reduce prices.
4)Re-establish the Aviation Trust Fund. In the early 1990's the Aviation Trust Fund was
eliminated by the General Assembly,with all aviation generated funds going to the
state's General Fund. The members of the Iowa Public Airports Association urge
Lawmakers to reestablish the Aviation Trust fund during the 2004 legislative session.

Ron & Dick,
I spoke with Mark Schenkelberg this morning about the EA and historic building survey
reports that were provided to him last month. He said he will try to have the EA reviewed
by mid-January. Once his review of the EA is complete, he should be able to tell us if he
is forwarding it on internally for review prior to public release or if more work is
required.
Mark has reviewed the historic building report. He said it looked good and he was going to
forward it to the Advisory Council on Historic Preservation (ACHP) soon, which is a
required step in the process due to the adverse effects to the Old United Hangar. It is
likely that the ACHP will choose to not get involved in the project but we have to offer
them the chance in accordance with the Section 106 regulations.
Mark is planning on forwarding the draft memorandum of agreement (MOA) to the Iowa SHPO
sometime soon for SHPO review and comment. The Iowa SHPO will stay involved in the project
and will probably suggest some modifications of the MOA before they will sign it. FYI, a
copy of the draft MOA is found in Chapter 7 of the historic building survey that was
provided to you last month. A signed MOA is required in order to comply with the
requirements of Section 106 and Section 4 (f) and provides mitigation measures to
compensate for the demolition of the hangar.

Attached for your review is a file that provides our estimate of hours for
each part of Phase I of the Extension of Runway 7-25 at the Iowa City
Municipal Airport. The estimate of hours follows the detailed scope of
services that we previously sent. The hours are based on our understanding
of the scope and the level of effort required to complete each element of
Phase I of the Extension of Runway 7-25. They may differ from the
independent cost analysis and may require discussion.
At the bottom of the second page is the estimate of cost for Phase I of the
project. The estimated labor costs are in accordance with Part VII of the
contract. The estimated expenses are for miscellaneous direct cost as
defined in Part VII of the contract. The subconsultant cost are direct cost
as provided by each subconsultant for the project. Tallgrass Historians has
two lines; one for the historic documentation of the "United Hangar" and one
for Archaeological review of the area associated with the extension of
Runway 7-25. Terracon costs are for subsurface investigation for the Willow
Creek Relocation. We have included a contingency cost that would only be
used upon authorization by the Airport Commission.
The listing at the right had side at the bottom of this page is to show the
breakout costs of each major element of Phase I as defined by the scope of
services.

Ron - I received the attached e-mail from you, and have to say I am a bit
surprised and confused. At the time of our last correspondence, you
indicated to us that the report was okay to finalize, since the Commission
and ity Council had requested no other changes. As such, we submitted 3
copies of the final report to you on December 8, in time for the December 9
meeting, as requested.
Regarding grammatical errors, you, the Commission, and the City Council had
the draft report for several months, and nothing was ever indicated to us
about grammatical errors. While I want to be as amenable as possible, it
seems inappropriate to request modifications to the report at this point
that are grammatical in nature. If there were any factual issues, that
would be a different matter, but minor grammatical errors seem
inconsequential to the scope of the report and its conclusions and
recommendations.
Regarding your request for additional reports, neither the contract, nor any
prior correspondence, indicated a need for 10 copies of the report. In
fact, we would have specifically indicated an additional charge for more
than 3 copies of a report. That is our standard procedure. As far as an
electronic copy, we will be happy to send you a disk of the report, and you
can make as many copies as you need.
I will proceed with providing you with an electronic copy of the document.
In return, I expect that the final invoice payment will be mailed at your
earliest convenience.

Jet Air Customers,
Jet Air, Inc. is pleased to offer an Instrument Ground School Course for private pilots
pursuing an instrument rating or instrument pilots needing a thorough refresher. The
course will be offered at Jet Air's Iowa City facility at the Iowa City Municipal airport
and will be taught by Blane Anderson. Class size will be limited to 12. Classes will be
on Mondays and Wednesdays from 6:30r9:00PM,beginning January 12, ending February
4.
The course will be based on the ASA Instrument Flying Manual and will focus on both
the practical aspects of instrument flying as well as preparation for the written test.
Recommended texts include any instrument flying textbook and the Gleims Instrument
Pilot FAA Written Exam test prep book (the red book).
Although the class is open to the public, Jet Air customers will receive priority
