Resolution setting a public hearing on February 21, 2019 for the
plans, specifications, form of contract, and estimate on cost for
the construction of "Reconstruct Terminal Apron and Taxiway"
Project, and directing city clerk to publish notices of said
hearing, and directing the chairperson to place said plans on file
for public inspection
Be it resolved by the Airport Commission of the City of Iowa City:
1. That a pubic hearing on the plans, specifications, form of contract, and estimate
of cost for the construction of the above-mentioned project is to be held on the
21 st day of February, 2019 at 6:00 p.m. in the Iowa City Airport Terminal
Building, 1801 S. Riverside Drive, Iowa City, Iowa, or if said meeting is cancelled,
at the next meeting of the Airport Commission thereafter as posted by the City
Clerk.
2. That the City Clerk is hereby authorized and directed to publish notice of the
public hearing for the above-named project in a newspaper published at least
once weekly and having a general circulation in the City, not less that four (4) nor
more than twenty (20) days before said hearing.
3. That the copy of plans, specifications, form of contract, and estimate of cost for
the construction of the above-named project is hereby ordered placed on file by
the Chairperson in the office of the City Clerk for public inspection

Resolution approving plans, specifications, form of contract, and
estimate on cost for "Terminal Apron and Taxiway Reconstruction"
construction project at the Iowa City Municipal Airport
Whereas, notice of public hearing on the plans, specifications, form of contract and estimate of
cost for the above-named project was published as required by law, and the hearing thereon
held.
Now, therefore, be it resolved by the Iowa City Airport Commission that:
1. The plans, specifications, form of contract and estimate of cost for the above-named
project are hereby approved.
2. The amount of bid security to accompany each bid for the construction of the above-
named project shall be in the amount of 10% (ten percent) of bid payable to the Iowa
City Airport Commission.
3. The City Clerk is hereby authorized and directed to post notice as required in Iowa
Code section 26.3, not less than 13 days and not more than 45 days before the date
of the bid letting, which may be satisfied by timely posting notice on the Construction
Update Network, operated by the Master Builders of Iowa, and the Iowa League of
Cities website.
4. Sealed bids for the above-named project are to be received by the City of Iowa City,
Iowa at the Office of the City Clerk, at the City Hall, before 2:00pm on the 149, day of
March, 2019. At that time, the bids will be opened and announced by the City Clerk
or her designee, and thereupon referred to the Iowa City Airport Commission for
action upon said bids at its next regular meeting, to be held at the Terminal Building,
Iowa City Airport, 1801 S. Riverside Drive, Iowa City, Iowa, at 6:00pm on the 21s, day
of March, 2019, or if said meeting is cancelled, at the next meeting of the Airport
Commission thereafter as posted by the City Clerk.

Resolution approving Master Agreement for Professional
Services with Bolton & Menk, Inc.
Whereas, the Iowa City Airport Commission conducted an engineering selection process
according to FAA Advisory Circular 15015100-14D "Architectural, Engineering, and
planning consultant services for airport grant projects";
Whereas, Bolton & Menk, Inc. was selected as the preferred firm to provide professional
services under this agreement, and;
Whereas, the Airport Commission desires to enter into the attached agreement for
professional services.
Now, therefore, be it resolved by the Iowa City Airport Commission that:
1. The Chairperson is authorized to sign the agreement upon FAA concurrence.

Airport Terminal Apron and Taxiway Reconstruction Project
Whereas, two bids were received on March 14, 2019 for the Airport Terminal Apron and
Taxiway Reconstruction Project and the lowest bid exceeded the consulting engineer's
estimate by approximately 9% on the base bid; and
Whereas, sufficient funding does not exist to award the bid to the lowest responsible
bidder.
Now, therefore, be it resolved by the Iowa City Airport Commission:
All bids that were received on March 14, 2019 for the Airport Terminal Apron and
Taxiway Reconstruction Project are rejected.

& Menk, Inc. for Airport GIS Survey for Runway 25
threshold relocation
Whereas, the Iowa City Airport Commission entered into a contract entitled "Master Agreement"
with Bolten & Menk, Inc. on February 22, 2019 to provide engineering services for Federal
Airport Improvement Program Projects; and
Whereas, Paragraph IV.B of said agreement provides that the parties will enter into
supplemental agreements for each project; and
Whereas, the Commission and Bolton & Menk, Inc., now desire to enter into Work Order No. 1,
a copy of which is attached; and
Whereas, it is in the best interest of the Commission to enter into Work Order No. 1.
Now, Therefore, be it resolved by the Airport Commission of the City of Iowa City:

agreement with University of Iowa for hangars 32 and 34 at
the Iowa City Municipal Airport.
Whereas, the Commission operates the Iowa City Municipal Airport; and
Whereas, the Commission has negotiated a hangar use agreement with the University of Iowa
with a lease term of over 3 years; and
Whereas, a lease of this period of time requires the holding of a public hearing.
Now, therefore, be it resolved by the Iowa City Airport Commission:
1. The Airport Commission of the City of Iowa City does hereby declare its intent to enter
into the above referenced lease agreement.
2. A public hearing on said proposal should be and is hereby set for May 16, 2019 at
6:00pm in the Iowa City Municipal Airport Terminal Building, 1801 S. Riverside Drive,
Iowa City, Iowa or if said meeting is cancelled, at the next meeting of the Airport
Commission thereafter as posted by the City Clerk

Resolution amending the Airport Minimum Standards for
Commercial Aeronautical Activities at the Iowa City
Municipal Airport.
Whereas, the Iowa City Airport Commission has previously adopted the Minimum Standards for
commercial aeronautical activities at the Iowa City Municipal Airport; and
Whereas, the FAA has updated its requirements for agricultural sprayers and the Minimum
Standards should be amended accordingly; and
Whereas, the standards established for any aeronautical activity must be relevant to that
activity, reasonable in scope, and applied objectively and uniformly.
Now, therefore, be it resolved by the Iowa City Airport Commission:
1. The Iowa City Airport Commission amend the Minimum Standards for Commercial
Aeronautical Activity.

This CORPORATE HANGAR USE AGREE MENTAGREE MENT ("Agreement") entered into by
and between the Iowa City Airport Commission ("Commission") and _University of
Iowa_("University") in Iowa City, Iowa.
In consideration of the mutual covenants contained herein, and for other good and valuable
consideration, the parties hereby agree as follows:
1. Use of the Hangar Space:
The Commission hereby grants an exclusive limited use lic nse to University for hangar
space (the "Hangar Space") located at the Iowa City Mun ipal Airport (the "Airport") and
described as follows:
Building G, Hangar 32 wit a 48' bifold door, office space, and above office
storage space +/- 1560 squar feet.
Building G, Hangar 34 with a 48' ifold door + - 1344 square feet.
The Hangar Space shall be used an occupi by University principally for the storage
or construction of the following aircraft: H L E

2. Term.
The term of this Agreement shall commence -- upon execution of this Agreement and shall end
on the last day of the month of June, 2022.
University shall have the option to renew this Agreement upon the same terms and conditions,
with the exception of the amount of monthly rent, for successive 3 -year terms following the initial
Term. University shall be required to give notice to Commission, in writing, not less than 45 days
prior to the expiration of the preceding term of University's intent to exercise an option for a
renewal term. The monthly rent for each renewal term shall be agreed to by the parties prior to
the beginning of the renewal term, and if the parties are unable to agree to the amount of monthly

In the event University shall continue to occupy the Hangar Space beyond the term of this
Agreement without renewing this Agreement for another term, such holding over shall not
constitute a renewal of this Agreement but shall be a month-to-month tenancy only.
Termination of Prior Agreement. The University and Airport Commission agree to
terminate "Corporate Hangar Use Agreement" dated August 25, 2016 effective upon
execution of this Agreement.
3. Rent.
For use of the Hangar Space, University shall pay the following: i L V

b. University may park its car in the Hangar Space during such time that University
is using the Aircraft.

invitees, and of those doing business with it, in and around the Hangar Space.
University shall keep the Hangar Space clean and free of dibris at all times.
f. In utilizing the Hangar Space during the term of this Agr ement, University shall
comply with all applicable ordinances, rules, and re gul ions established by any
federal, state or local government agency.
g. University shall dispose f used oil only in approved r ceptacles.
h. At no time shall Universi start or run Aircraft a gine(s) within the Hangar or
Hangar Space.
j. On the termination of this use
ement, by expir ion or otherwise, University shall
immediately surrender posses 'on of the Han r Space and shall remove, at its
sole expense, the Aircraft and I other prop rty therefrom, leaving the Hangar
Space in the same condition as w en receiv , ordinary wear and tear excepted.

Rights and Obligations of University.City Clerk

Hangar Space, except as prov ed in 14. To ensure this right, the
Commission shall make all r sonable t keep adjacent areas to the
Hangar Space free and cl r of all s nd obstructions, natural or
manmade.
b. University shallbe respon ble to maintinterio of the Hangar Space to
include janitorial services, aintaining alr lights, eaning of stoppages in
plumbing fixtures and dr in lines, cleansnow wit n two (2) feet of the
apron adjoining the Ha ar Space, dispof any debr or waste materials,
and maintaining any niversity constrstructures a d equipment. The
Commission shall be a sole judge of the due maintenance undertaken by the
University, and may on written notice, require specific maintenance work to be
completed. If such maintenance is not completed within a reasonable time
period, the Comm' sion shall have the right to perform such due maintenance,
and University s II reimburse the Commission for the cost of such maintenance
upon presentaf n of a billing.
C. University shall provide and maintain hand fire extinguisher for the interior of the
Hangar Space of the building in accordance with applicable safety codes.
d. University shall not store any materials outside the Hangar Space.

airport consistent with and pursuant to the Spo sor's Assurances given by
Authority to the United States Government under thel Federal Airport Act.

enjoyment of the Hangar Space.

repair except f r the maintenance tions of University set forth in the
Agreement. In event, however, shCo mission be required to maintain
or repair damage aused by the neglor iliful act of University, its agents,

12. Alterations.
University shall not ins II any fixtures or make any alterations, additions or
improvements to the Mangar Space without the prior written approval of the
Commission. All fixtures installed or additions and improvements made to the Hangar
Space shall, upon completion of such additions and improvements, become
Commission property and shall remain in the Hangar Space at the expiration or
termination of this Agreement, however terminated, without compensation or payment to
University. Fixtures include, but are not limited to, locks, brackets for window coverings,
plumping, light fixtures, luminaries, and any item permanently attached to the wall, floor,
or ceiling of the Hangar Space by means of cement, plaster, glue, nails, bolts, or
screws.
13. Hazardous Materials.

defined in Iowa Code section 455B.411 (2019), may be stored, located, or
contained in the Hangar Space without the Commission prior written approval.

stored or present in the Hangar Space if said substances are contained in
approved containers.

and dispose of fuel petroleum products, and aN other non -"hazardous
substances" owned or used by it on the Airport in accordance with all applicable
federal, state, local and airport statutes, regulationsIrules and ordinances. No
waste or disposable materials shall be released o the ground or in the storm
sewers. Should such materials be spilled or esc3 from storage or in any way
contaminate the Airport or property adjacent to e Airport through activities of
the University, the University shall be responsible for the clean up, containment
and otherwise abatement f such contaminatiEin at University's sole cost and
expense. Further, Univers shall notify t e Commission and appropriate
governmental agency of suc occurrence immediately. Should University fail to
do so, the Commission may tke any reasonable and appropriate action in the
University's stead. The cost of sirph remedial action by the Commission shall be

19. Disclaimer of Liability.
The Commission hereby disclaims, and University hereby releases the Commission
from any and all liability, whether in contract or tort (including strict liability and
negligence) for any loss, damage or injury of any nature whatsoever sustained by
University, its employees, agents or invitees during the term of this Agreement,
including, but not limited to, loss, damage or injury to the Aircraft or other property of
University that may be located or stored in the Hangar Space, unless such loss, damage
or injury is caused by the Commission's gross negligence or intentional willful

22. Security.

building or other structure on the airport which in the opinion of the Commission
would limit the usefulness of the airport or constitute a hazard to aircraft.
During time of war or national emergency, the Commission shall have the right to
enter into an agreement with the United States Governme t for military or naval

Operations Specialist and the Chairperson to make purchases up to certain dollar amounts in

WHEREAS, the Commission should adopt the April 2018 edition of the City Purchasing Manual
to establish uniform purchasing practices with certain amendments to reflect Resolution No.
A08-05 and such other matters relating to the airport operations.
NOW, THEREFORE, BE IT RESOLVED BY THE IOWA CITY AIRPORT COMMISSION THAT
1. The April 2018 Iowa City Purchasing Policy Manual is adopted as the policy governing
purchases by the Airport Commission with the exception of Section I, entitled
"Introduction."
2. Resolution No. A08-05 shall be used in lieu thereof of any provision on signature
approval.
3. Additionally, the following amendments are made: A sole source must be approved by

AGREEMENT
This AGREEMENT ("Agreement") is entered into in Iowa City, Iowa by and between
the Iowa City Airport Commission ("Commission") and the University of Iowa ("University").
WHEREAS, although the north/south runway (18/36) is abandoned, pavement remains;
WHEREAS, the University College of Engineering National Advanced Driving
Simulator and Simulation Center requests the use of the runway for the purpose of conducting
research on vehicle technology ("vehicle research"), and the Commission is willing to grant the
request under certain conditions;

IT IS THEREFORE AGREED AS FOLLOWS:
1. Tenn. The tern of this Agreement is August 1 S, 2019 through November 30,
2. Access. During the term of this Agreement, University shall be allowed access to
the runway from 8:00 am to 6:00 pm on Mondays through Fridays for the sole purpose of vehicle
research. Runway means the approximately 1,000 feet of the southern end of the abandoned
north/south runway (18/36) shown on Exhibit A, which is attached and incorporated ]Herein.
University shall access the runway by entering the airport by means of the gate located on the
south end of the runway.
3, Fee. University shall not be obligated to pay a fee to Commission for its use of
the runway, but is obligated to mark the runway and to return the runway to its prior condition as
provided in Paragraph S below.
4. As Is. The Commission makes no warranty of any kind, either express or implied,
as to the condition of the runway pavement or its fitness for University's use under the
Agreement or for any other purpose. Commission shall be under no obligation to repair any
cracks, holes, or other defects in the pavement. University accepts the condition of the runway
pavement as is,
5. University Obligations.
a. A University researcher will meet participants in the vehicle research in the
airport parking lot where they will complete all of the necessary University
paperwork. Once complete, a University researcher shall drive the participants to
the gated south entrance of the runway. There a second University researcher
shall meet the participants, unlock the gate for their entry, and re -lock it behind
them to ensure the security of the airport. When the participants leave the
runway, a University researcher shall unlock the gate for their exit and re -lock it
to ensure the security of the airport.
b. The vehicle research shall consist of a series of participants driving back and forth
on the runway.
C. In every vehicle driven by a participant during the vehicle research, a University
researcher shall sit in the front passenger seat with access to a secondary brake
should it be necessary to intervene to stop the vehicle at any point.
d. University at its sole cost shall clearly mark lane lines on the runway to allow for
the activation of Tesla's Autopilot and said marking shall not interfere with airport
operations, University shall at its sole cost repair markings, including closed -runway
markings (i.e., the 2 large "X" markings), on the runway to the condition prior to the
term of this Agreement as reasonably determined by the Commission.
6. Indemnification. University shall assume responsibility for and indemnify and
hold the Commission and the City of Iowa City harmless from all claims, damages, and/or

liability, arising from University's temporary use of the runway to the full extent permitted by
Chapter 669, Iowa Code (2019). Provided, however, that the University shall not be responsible
for, indemnify, or hold Commission or the City of Iowa City harmless for damage resulting from
the Commission's or the City of Iowa City's negligence.
7. Sublease. University shall not sublease this Agreement without the
Commission's written consent.
8. Security. University acknowledges that the FAA or another governmental entity
or subdivision may enact laws or regulations regarding security at general aviation airports such
that the Commission may not be able to comply fully with its obligations under this Agreement,
and University agrees that the Commission shall not be liable for any damages to University that
may result from said non-compliance.
9. Inte raQ tion. This Agreement contains the entire understanding of the parties.
10. Severability. Should any section of this Agreement be found invalid, it is agreed
that the remaining portions shall continue in full force and effect as though severable from the
invalid portion.
11. Conflict of Laws and Venue. The laws of the State of Iowa shall govern this
Agreement, and venue for any legal action hereunder shall be in the Johnson County District
Court of Iowa or the U.S. District Court for the Southern District of Iowa.

Resolution approving plans, specifications, form of contract, and
estimate on cost for "Remove Obstructions" project at the Iowa City
Municipal Airport
Whereas, notice of public hearing on the plans, specifications, form of contract and estimate of
cost for the above-named project was published as required by law, and the hearing thereon
held.
Now, therefore, be it resolved by the Iowa City Airport Commission that:
The plans, specifications, form of contract and estimate of cost for the above-named
project are hereby approved.
2. The amount of bid security to accompany each bid for the construction of the above-
named project shall be in the amount of 10% (ten percent) of bid payable to the Iowa
City Airport Commission.
3. The City Clerk is hereby authorized and directed to post notice as required in Iowa
Code section 26.3, not less than 13 days and not more than 45 days before the date
of the bid letting, which may be satisfied by timely posting notice on the Construction
Update Network, operated by the Master Builders of Iowa, and the Iowa League of
Cities website.
4. Sealed bids for the above-named project are to be received by the City of Iowa City,
Iowa at the Office of the City Clerk, at the City Hall, before 2:00pm on the 12' day of
November, 2019. At that time, the bids will be opened and announced by the City
Clerk or her designee, and thereupon referred to the Iowa City Airport Commission for
action upon said bids at its next regular meeting, to be held at the Terminal Building,
Iowa City Airport, 1801 S. Riverside Drive, Iowa City, Iowa, at 6:00pm on the 14th day
of November, 2019, or if said meeting is cancelled, at the next meeting of the Airport
Commission thereafter as posted by the City Clerk.

Whereas, Rathje Construction Co. of Marion, Iowa has submitted the lowest responsive
bid of $496,770.00.
Now, therefore, be it resolved by the Iowa City Airport Commission:

to Rathje Construction Co. of Marion, Iowa. subject to the conditions:
a. That awardee secures adequate performance and payment bond, insurance

Resolution authorizing the chairperson to execute an
amendment to the agreement between the Iowa City Airport
Commission and the University of Iowa.
Whereas, the Iowa City Airport Commission and the University of Iowa entered into an
agreement on June 20, 2019 for the University of Iowa College of Engineering National
Advanced Driving Simulator and Simulation Center to use a portion of the airport grounds for
vehicle research; and
Whereas, both parties wish to amend the agreement by amending Paragraph 1. Term to extend
the term from November 30, 2019 to April 30, 2020.
Now, therefore, be it resolved by the Iowa City Airport Commission:
