AIRPORT TERMINAL BUILDING Members Present: Warren Bishop, Derek LaBrie, Christopher Lawrence Members Absent: Minnetta Gardinier, Robert Libby Staff Present: Sue Dulek, Michael Tharp Others Present: Carl Byers, David Hughes, Matt Wolford RECOMMENDATIONS TO COUNCIL: (to become effective only after separate Council action): None. DETERMINE QUORUM: The meeting was called to order at 6:03 P.M. APPROVAL OF MINUTES: Minutes from the February 21, 2019, meeting were reviewed by Members. LaBrie moved to accept the minutes of the February 21, 2019, meeting as presented. Bishop seconded the motion. The motion carried 3-0, Gardinier and Libby absent. PUBLIC DISCUSSION: None. ITEMS FOR DISCUSSION/ACTION: *Members first chose a temporary Secretary. Bishop volunteered. LaBrie moved to appoint Bishop as temporary Secretary. Lawrence seconded the motion. The motion carried 3-0, Gardinier and Libby absent. a. FAA/IDOT Projects i. Obstruction Mitigation — Hughes spoke to this topic, noting that they have been coordinating with the FAA on the temporary easement, for which they did receive approval. The City will now be able to move forward with this piece of the project. Members briefly discussed the process being undertaken, with Hughes responding to questions. ii. Terminal Apron Rehab — Hughes then spoke to this project, noting that they received bids from two contractors, and both are inline with the engineer's estimate, with the exception of the cost of mobilization and de- mobilization. He further explained how the funding they have will not cover both the taxi way and the apron rehab. Tharp stated that he has March 21, 2019 Page 2 Airport Commission Agenda & Info Packet Meeting Date: April 18, 2019 Page 3 of 46 had conversations with both Jet Air and the State over the past week about this project. He added that if they move ahead with the apron rehab this year, they will have to do the taxiway next year. This then forces them to have closures for three months over the next two seasons, as opposed to one. Tharp's recommendation is to reject the bids and to delay the project to next year. They could then go after the additional funding they will need to complete both the taxi way and the apron rehab. Tharp added that the State was in agreement with his recommendation. He then responded to Member questions and concerns, reiterating that they will return the grant they currently have and can then go after the total amount needed for the project, once the 2020 cycle starts. 1. Consider Resolution #A19-04 accepting bids and authorizing contract — Lawrence moved to reject bids, as discussed. Bishop seconded the motion. The motion carried 3-0, Gardinier and Libby absent. iii. Runway 25 Threshold Relocation — Tharp spoke to this topic briefly. He stated that this is a $97,000 contract. He noted that he has a fee breakdown to share with Members. 1. Consider Resolution #A19-05 authorizing Work Order No. 1 with Bolton & Menk for AGIS Survey for Runway 25 — Lawrence moved to consider Resolution #A19-05, as discussed. Bishop seconded the motion. The motion carried 3-0, Gardinier and Libby absent. b. FY20 Iowa DOT Grant Application — Tharp stated that he does not have any new information to share at this time. He added that they will put in an application for the fuel system, as talked about previously, and they will also submit an application for the parking lot. He then responded to Member questions. C. FBO / Flight Training Reports i. Jet Air — Wolford shared the monthly maintenance reports with Members, noting that in February they were dealing with lots of ice and snow. He reminded the Commission that they may want to buy more of the de-icing pellets since they used much of their supply this season. There were also issues with several hangars icing shut, thus creating problems with the bottom seals on the doors being torn and things like that. Now that the snow and ice have melted, Wolford noted there has been a lot of garbage and debris to be picked up around the grounds. Speaking to Jet Air business, Wolford stated they are behind in fuel sales so far this year, due to the terrible weather they had. However, things are looking up — fuel sales are increasing, the shop is busy, flight training is going well, and flights have picked up. He then spoke briefly to the various updates they will be performing on their own fleet. Wolford then spoke to the flight simulator topic they had previously talked about, noting that there is still an interest in this. Members discussed this further, speaking to the best location for a simulator and how they might set it up for use. Tharp stated that if the Commission is agreeable, he can move forward with seeing how this might work, who is paying for what, etc., and he could then bring the information back to the Commission. Management — Tharp stated that he will be attending the Aviation Conference April 16 and 17 in Sioux City. ii. Budget — Tharp stated that there isn't much to share right now and that they have about three months left in the budget year. Also, depending on what they come up with for the simulator idea, they will then have to address this as it was not something planned for in the recent budget cycle. iii. Events — Tharp stated that they have received an event application for a graduation reception. Most of this will take place outside, but in the event of poor weather, the plan is to use either Care Ambulance or Jet Air's hangars. Tharp stated that due to the applicant wanting to serve alcohol at this event, the Commission has to approve it. 1. Consider a motion approving event application — Lawrence moved to approve the event application, as discussed. LaBrie seconded the motion. The motion carried 3-0, Gardinier and Libby absent. e. Commission Members' Reports — LaBrie stated that he hit his 1,000th flight hour today and is ATP eligible now. Staff Report — Tharp stated that other than the Aviation Conference in April, he does not have anything else at this time. SET NEXT REGULAR MEETING FOR: The next regular meeting of the Airport Commission will be held on Thursday, April 18, 2019, at 6:00 P.M. in the Airport Terminal Building. Whereas, the Commission operates the Iowa City Municipal Airport; and Whereas, the Commission has negotiated a hangar use agreement with the University of Iowa with a lease term of over 3 years; and Whereas, a lease of this period of time requires the holding of a public hearing. Now, therefore, be it resolved by the Iowa City Airport Commission: 1 The Airport Commission of the City of Iowa City does hereby declare its intent to enter into the above referenced lease agreement. 2. A public hearing on said proposal should be and is hereby set for May 16, 2019 at 6:00pm in the Iowa City Municipal Airport Terminal Building, 1801 S. Riverside Drive, Iowa City, Iowa or if said meeting is cancelled, at the next meeting of the Airport Commission thereafter as posted by the City Clerk 3. In consideration of the mutual covenants contained herein, and for other good and valuable consideration, the parties hereby agree as follows: Use of the Hangar Space. The Commission hereby grants an exclusive limited use license to University for hangar space in Hangar #-_32 (the "Hangar Space") located at the Iowa City Municipal Airport (the "Airpoi 'l and described as follows: Building G, Corporate Hangar, with a 48' Bi -Fold Door and attached office space. The Hangar Space shall be used and occupied by University principally for the storage or construction of the following aircraft. Aircraft Make & Model Aircraft Registration Numt Aircraft Registered Owner Registered Owner Home and Business Telephone Numbers University shall promptly notify the Commission in writing of any change in the information furnished above. University may request permission to store a substitute aircraft in the Hangar Space by making a written request to the Commission. In the event University is permitted to store a substitute aircraft in the Hangar Space, all provisions of this Agreement applicable to the Aircraft shall also be applicable to the substitute aircraft. If the University sells the aircraft listed above and does not acquire replacement aircraft within ninety (90) days thereof, University shall immediately notify the Commission, and this Agreement shall be terminated. 2. Term. The term of this Agreement shall commence on July 1, 2016, and shall end on the last day of the month of June, 2019. University shall have the option to renew this Agreement upon the same terms and conditions, with the exception of the amount of monthly rent, for successive 3 -year terms following the initial Term. University shall be required to give notice to Gommission, in writing, not less than 45 days prior to the expiration of the preceding term of University's intent to exercise an option for a renewal term. The monthly rent for each renewal term shall be agreed to by the parties prior to the beginning of the renewal term, and if the parties are unable to agree to the amount of monthly rent, University shall not be able to exercise its option to renew, and there shall be no renewal of theterm. In the event University shall continue to occupy the Hangar Space beyond the term of this Agreement without renewing this Agreement for another term, such holding over shall not constitute a renewal of this Agreement but shall be a month-to-month tenancy only. 3. Rent. Airport Commission Agenda & Info Packet Meeting Date: April 18, 2019 Page 9 of46 2 For use of the Hangar Space, University shall pay the Commission the amount of $ 652.00 per month, payable in advance on the first day of each month. A 1.5% late fee (which is $ 9.78 per day) for rent not received by the Commission will be charged after the fifteenth (15) day of each month. 4. Security Deposit. At the time of execution of this Agreement, University shall pay to the Commission in trust the sum of one month's rent to be held as a rental deposit. At the termination of the Agreement, the Commission shall return the deposit to the University less any amounts due to repair damage, conduct cleanup or owed to the Commission. If the University renews the agreement each year, the deposit will be held over for the next year. 5. Smokefree Air Act. Smoking is prohibited throughout the Iowa City Municipal Airport, including the hangar space 6. Utilities. University shall be responsible for gas and electric utilities Use of the Hangar Space. a. The Hangar Space shall be used primarily for storage or construction of the Aircraft consistent with FAR and the Minimum Standards. This provision is not to be construed as a prohibition for storage of maintenance materials, cleaning materials, tools, parts, spares, and other aircraft components. b. University may park his/her car in the Hangar Space during such time that University is using the Aircraft. C. No commercial activity of any kind shall be conducted by University in, from or around the Hangar Space. d. No maintenance, including painting, on the Aircraft shall be performed in the Hangar Space or anywhere on the Airport without the prior written approval of the Commission, except such maintenance as performed by the University on his or her own aircraft as permitted by the FAA. University shall take steps to ensure that the performance of such maintenance work shall not damage the Hangar Space or the Airport where the work is performed or emit offensive odors. e. University shall be responsible and liable for the conduct of its employees and invitees, and of those doing business with it, in and around the Hangar Space. University shall keep the Hangar Space clean and free of debris at all times. f. In utilizing the Hangar Space during the term of this Agreement, University shall comply with all applicable ordinances, rules, and regulations established by any federal, state or local government agency. University shall dispose of used oil only in approved receptacles. h. At no time shall University start or run his/her Aircraft engine(s) within the Hangar or Hangar Space. Airport Commission Agenda & Info Packet Meeting Date: April 18, 2019 Page 10 of 46 On the termination of this Agreement, by expiration or otherwise, University shall immediately surrender possession of the Hangar Space and shall remove, at its sole expense, the Aircraft and all other property therefrom, leaving the Hangar Space in the same condition as when received, ordinary wear and tear excepted, k. University shall be liable for any and all damage to the Hangar or to the Hangar Space caused by University's use, including, but not limited to, bent or broken interior walls, damage due to fuel spillage, or damage to doors due to University's improper or negligent operation. 8. Rights and Obligations of University. a. University shall have at all times the right of ingress to and egress from the Hangar Space, except as provided in Paragraph 14. To ensure this right, the Commission shall make all reasonable efforts to keep adjacent areas to the Hangar Space free and clear of all hazards and obstructions, natural or manmade. b. University shall be responsible to maintain the interior of the Hangar Space to include janitorial services, maintaining all interior lights, cleaning of stoppages in plumbing fixtures and drain lines, cleaning of snow within two (2) feet of the apron adjoining the Hangar Space, disposing of any debris or waste materials, and maintaining any University constructed structures and equipment. The Commission shall be the sole judge of the due maintenance undertaken by the University, and may upon written notice, require specific maintenance work to be completed. If such maintenance is not completed within a reasonable time period, the Commission shall have the right to perform such due maintenance, and University shall reimburse the Commission for the cost of such maintenance upon presentation of a billing. C. University shall provide and maintain hand fire extinguisher for the interior of the Hangar Space of the building in accordance with applicable safety codes. d. University shall not store any materials outside the Hangar Space. e_ University shall promptly notify the Commission, in writing, of any repairs needed on the Hangar or to the Hangar Space. 9. Rights and Obligations of the Commission. a- The Commission shall at all times operate and maintain the Airport as a public airport consistent with and pursuant to the Sponsor's Assurances given by Authority to the United States Government under the Federal Airport Act. b. The Commission shall not unreasonably interfere with the University's use and enjoyment of the Hangar Space. c. The Commission shall maintain and keep the Hangar and Hangar Space in good repair except for the maintenance obligations of University set forth in the Agreement. In no event, however, shall the Commission be required to maintain or repair damage caused by the negligent or willful act of University, its agents, servants, invitees, or customer. However, d due to any negligent or willful act by the University, its agents, servants, invitees or customer, there is a need for maintenance or repair of damage, then University shall so such maintenance or repair in a prompt, reasonable manner, as approved by the Commission. Airport Commission Agenda & Info Packet Meeting Date: April 18, 2019 Page 11 of 46 d. Snow shall be removed from in front of Hangar Space to within at least two (2) feet of the Hangar. Snow removal closer than two (2) feet is the responsibility of the University. e. The Commission shall ensure appropriate grounds keeping is performed year round. % Sublease/Assignment. University shall not sublease the Hangar Space or assign this Agreement without the prior written approval of the Commission. 11. Condition of Premises. University shall accept the Hangar Space in its present condition without any liability or obligation on the part of the Commission to make any alterations, improvements or repairs of any kind on or about said Hangar Space. 12. Alterations. University shall not install any fixtures or make any alterations, additions or improvements to the Hangar Space without the prior written approval of the Commission. All fixtures installed or additions and improvements made to the Hangar Space shall, upon completion of such additions and improvements, become Commission property and shall remain in the Hangar Space at the expiration or termination of this Agreement, however terminated, without compensation or payment to University. Fixtures include, but are not limited to, locks, brackets for window coverings, plumping, light fixtures, luminaries, and any item permanently attached to the wall, floor, or ceiling of the Hangar Space by means of cement, plaster, glue, nails, bolts, or screws. 13. Hazardous Materials. a. With the exception of Paragraph 13c below, no "hazardous substance," as defined in Iowa Code section 455B.411 (2015), may be stored, located, or contained in the Hangar Space without the Commission prior written approval. U.S. Code can be found online at www.findlaw.comtcasecodetuscodestindex.htmi Federal regulations can be found online at htto:llwww.access.opo.aovinaralcfrlcfr-table- search.htmi. ) Petroleum products and their byproducts for personal use may be stored or present in the Hangar Space if said substances are contained in approved containers. b. With the exception of Paragraph 13c below, University shall handle, use, store and dispose of fuel petroleum products, and all other non -"hazardous substances" owned or used by it on the Airport in accordance with all applicable federal, state, local and airport statutes, regulations, rules and ordinances. No waste or disposable materials shall be released on the ground or in the storm sewers. Should such materials be spilled or escape from storage or in any way contaminate the Airport or property adjacent to the Airport through activities of the University, the University shall be responsible for the clean up, containment and otherwise abatement of such contamination at University's sole cost and expense. Further, University shall notify the Commission and appropriate governmental agency of such occurrence immediately. Should University fail to do so, the Commission may take any reasonable and appropriate action in the Airport Commission Agenda & Info Packet Meeting Date: April 18, 2019 Page 12 of 46 University's stead. The cost of such remedial action by the Commission shall be paid by the University. C. University may have the following materials stored in the Hangar Space: • 1 case of engine oil • 2 112 gallons gasoline for motorized tugs (but no aviation fuel or gasoline in drums) • 1 gallon of cleaning solvents 14. Special Events. During any special event at the Airport, including but not limited to the Sertoma Breakfast or Fly Iowa, University acknowledges that the standard operating procedure at the Airport may be altered such that egress and ingress to the Hangar Space may be altered by the Commission in writing. Universitys failure to comply with the altered procedure is a default of this Agreement, and the Commission may proceed to terminate this Agreement. 15. Airport Rules and Regulations. University agrees to be subject to Airport rules and regulations upon adoption by the Commission or provide 30 -days notice to terminate this Agreement. Commission shall provide University with a copy of said rules and regulations 30 -days prior to their effective date. 16. Access and Inspection. The Commission has the right to enter and inspect the Hangar Space at any reasonable time during the term of this Agreement upon at least 24 hours notice to the University for any purpose necessary, incidental to or connected with the performance of its obligations under the Agreement or in the exercise of its governmental functions. In the case of an emergency, the Commission may enter the Hangar Space without prior notice but will provide notice to the University after the fact. The Commission shall not, during the course of any such inspection, unreasonably interfere with the University's use and enjoyment of the Hangar Space. At a minimum, the Hangar Space will be inspected annually. Upon execution of this Agreement, the University subsequently changes the lock to the Hangar Space, he or she shall provide shall provide notice to the Commission before he or she does so and shall provide a new key to the Commssion within twenty-four hours of doing so. 17 Insurance. a. The University of Iowa is an agency of the State of Iowa and as such, is self- insured for liability. Claims against the State of Iowa are handled as provided in the Iowa Tort Claims Act (Iowa Code Chapter 669) which also sets forth the procedures by which tort claims may be brought. b. Commission shall provide and maintain Commercial General Liability insurance with a minimum limit of $1,000,000 per occurrence, including contractual liability. Such insurance shall be issued by insurance companies duly authorized to engage in the insurance business in the State of Iowa, with an A.M. Best's rating of A-, VII or better. c. Commission shall provide 30 days notice to University for canceled or non - renewed policies. 18. Casualty. In the event the Hangar or Hangar Space, or the means of access thereto, shall be damaged by fire or any other cause, the rent payable hereunder shall not abate provided that the Hangar Space is not rendered unleaseable by such damage. If the Hangar Space is rendered unUniversityable and Commission elects to repair the Hangar or Hangar Space, the rent shall abate for the period during which such repairs are being made, provided the damage was not caused by the acts or omissions of University, its employees, agent or invitees, in which case the rent shall not abate. If the Hangar or Hangar Space is rendered unleaseable and Commission elects not to repair the Hangar or Hangar Space, this Agreement shall terminate. 19. Disclaimer of Liability. The Commission hereby disclaims, and University hereby releases the Commission from any and all liability, whether in contract or tort (including strict liability and negligence) for any loss, damage or injury of any nature whatsoever sustained by University, its employees, agents or invitees during the term of this Agreement, including, but not limited to, loss, damage or injury to the Aircraft or other property of University that may be located or stored in the Hangar Space, unless such loss, damage or injury is caused by the Commission's gross negligence or intentional willful misconduct. The parties hereby agree that under no circumstances shall the Commission be liable for indirect consequential, special or exemplary damages, whether in contract or tort (including strict liability and negligence), such as, but not limited to, loss of revenue or anticipated profits or other damage related to the leasing of the Hangar Space under this Agreement. 20. Attorney Fees. if the Commission files an action in district court to enforce its rights under this Agreement and if judgment is entered against the University, University shall be liable to and shall pay for the Commission's attorney fees incurred in enforcing the Agreement and in obtaining the judgment. 21. Default. This Agreement shall be breached if: (a) University fails to make the rental payment; or (b) University or the Commission fails to perform any other covenant herein and such default shall continue for five (5) days after the receipt by the other party of written notice. Upon the default by University, or at any time thereafter during the cintinuance of such default, the Commission may take any of the following actions and shall have the following rights aganst University: a. Termination. Commission may elect to erminate the agreement by giving no less than thirty (30) days prior written notice thereof to University and upon Airport Commission Agenda & Info Packet Meeting Date: April 18, 2019 Page 14 of 46 passage of time specified in such notice, this agreement and all rights of University hereunder shall terminate as fully and completely and with the same effect as if such date were the date herin fixed for expiration of the Term and University shall remain liable as provided in this paragraph. b. Eviction. Commission shall have the immediate right upon Termination of this agreement to bring an action for forcible entry and detainer. c. University to remain liable. No termination of this agreement pursuant to this paragraph by operation or otherwise, and no repossession of the hangar space or any part thereof shall relieve University of its liabilities and obligations hereunder, all of which shall survive such termination, repossession, or reletting. d. Damages. In the event of any termination of this agreement or eviction from or repossession of the hangar space or any part thereof by reason of the occurrence of an Event of Default, University shall pay to the Comission the rent and other sums and charges required to by paid by the University for the period to and including the end of the Term. 22. Security. University acknowledges that the FAA or another governmental entity or subdivision may enact laws or regulations regarding security at general aviation airports such that the Commission may not be able to comply fully with its obligations under this Agreement, and University agrees that the Commission shall not be liable for any damages to University that may result from said non-compliance. 23. Thirty (30) Days Termination. Either party to this Agreement shall have the right, with cause, to terminate this Agreement by giving thirty (30) days, prior written notice to the other party. 24. Non -Discrimination. University shall not discriminate against any person in employment or public accommodation because of race, religion, color, creed, gender identity, sex, national origin, sexual orientation, mental or physical disability, marital status or age. "Employment' shall include but not be limited to hiring, accepting, registering, classifying, promoting, or referring to employment. "Public accommodation" shall include but not be limited to providing goods, services, facilities, privileges and advantages to the public. 25. FAA Provisions. a. University, for itself, heirs, personal representatives, successors in interest, and assigns, as a part of the consideration hereof, does hereby covenant and agree as a covenant running with the land that in the event facilities are constructed, maintained, or otherwise operated on the said property described in this (license, agreement, permit, etc.) for a purpose for which a Department of Transportation program or activity is extended or for another purpose involving the provision of similar services or benefits, the (licensee, lessee, permittee, etc.) shall maintain and operate such facilities and services in compliance with all other requirements imposed pursuant to 49 CFR Part 21, Nondiscrimination in Federally Assisted Programs of the Department of Transportation, and as said Regulations may be amended. b. University, for itself, personal representatives, successors in interest, and assigned, as a part of the consideration hereof, does hereby covenant and agree as a covenant running with the land that: (1) no person on the grounds of race, color, or national origin shall be excluded from participation in, denied the Airport Commission Agenda & Info Packet Meeting Date: April 18, 2019 Page 15 of 46 benefits of, or be otherwise subject to discrimination in the use of said facilities, (2) that in the construction of any improvements on, over, or under such land and the furnishing of services thereon, no person on the grounds of race, color, or national origin shall be excluded from participation in, denied the benefits of, or otherwise be subject to discrimination, (3) that University, shall use the premises in compliance with all other requirements imposed by or pursuant to 49 CFR Part 21, Nondiscrimination in Federally Assisted Programs of the Department of Transportation, and as said Regulations may be amended. c. It is understood and agreed that nothing herein contained shall be construed to grant or authorize the granting of an exclusive right within the meaning of Section 308 of the Federal Aviation Act of 1958. This Agreement shall be subordinate to the provisions of any outstanding or future agreement between the Commission and the United States government or the Commission and the State of Iowa relative to the maintenance, operation, or development of the Iowa City Municipal Airport. University acknowledges and agrees that the rights granted to University in this Agreement will not be exercised so as to interfere with or adversely affect the use, operation, maintenance or development of the Airport d. University agrees to furnish service on a fair, equal and not unjustly discriminatory basis to all users thereof, and to charge fair, reasonable and not unjustly discriminatory prices for each unit or service; provided, that University may make reasonable and non-discriminatory discounts, rebates, or other similar types of price reductions to volume purchasers. e. The Commission reserves the right (but shall not be obligated to University) to maintain and in repair the landing area of the airport and all publicly -owned facilities of the airport, together with the right to direct and control all activities of University in this regard. The Commission reserves the right further to develop or improve the landing area and all publicly -owned air navigation facilities of the airport as it sees fit, regardless of the desires or views of University, and without interferences or hindrance. The Commission reserves the right to take any action it considers necessary to protect the aerial approaches of the airport against obstructions, together with the right to prevent University from erecting, or permitting to be erected, any building or other structure on the airport which in the opinion of the Commission would limit the usefulness of the airport or constitute a hazard to aircraft. h. During time of war or national emergency, the Commission shall have the right to enter into an agreement with the United States Government for military or naval use of part or all of the landing area, the publicly -owned air navigation facilities andlor other areas or facilities of the airport. if any such agreement is executed, the provisions of this instrument, insofar as they are inconsistent with the provisions of the agreement with the Government, shall be suspended. i. It is understood and agreed that the rights granted by this Agreement will not be exercised in such a way as to interfere with or adversely affect the use, operation, maintenance or development of the airport. j, There is hereby reserved to the Commission, its successors and assigns, for the use and benefit of the public, a free and unrestricted right of flight for the passage of aircraft in the airspace above the surface of the premises herein conveyed, together with the right to cause in said airspace such noise as may be Airport Commission Agenda & Info Packet Meeting Date: April 18, 2019 Page 16 of 46 10 to the leasing of the Hangar Space. Any change or modification hereof must be in writing signed by both parties. 30. Waiver. The waiver by either party of any covenant or condition of this Agreement shall not thereafter preclude such party from demanding performance in accordance with the terms hereof. 31. Successors Bound. This Agreement shall be binding and shall inure to the benefit of the heirs, legal representatives, successors and assigns of the parties hereto. 32. Severability. If a provision hereof shall be finally declared void or illegal by any court or administrative agency having jurisdiction over the parties to this Agreement, the entire Agreement shall not be void, but the remaining provisions shall continue in effect as nearly as possible in accordance with the original intent of the parties. PURPOSE These regulations prescribe minimum standards for the conduct of commercial aeronautical activities, defined in Section II (6) below, at the Iowa City Municipal Airport, permitting the conduct of such activities. B. INTRODUCTION Prudent and proper administration requires that standards be adopted to establish the minimum acceptable qualifications of participants, level and quality of service, and other conditions which will be required of those proposing to conduct commercial aeronautical activities at the Airport. The requirement to impose standards on those proposing to conduct commercial aeronautical activities on a public airport relates to the public interest and provides protection from irresponsible, unsafe or inadequate service. The adoption and enforcement of such standards ensures that the entity is reasonably fit, willing and able to discharge both its service obligations to its patrons and its financial obligations to the Airport community and thereby protects established commercial enterprises, the aviation user, and the public. The standards established for any particular commercial aeronautical activity must be relevant to that activity, must be reasonable in scope and must be applied objectively and uniformly. Standards, thus established and applied, promote financial stability by discouraging unqualified applicants and foster the level of services desired by the public. C. APPLICABILITY The effective dates of these Minimum Standards shall be the 14' day of February, 2002. DEFINITIONS As used in these regulations, the following terms shall mean: A. Commission: The Iowa City Airport Commission, formed pursuant to the Code of Iowa Chapter 330. B. Aircraft: Aeronautical devices including, but not limited to powered aircraft, gliders, kites, helicopters, gyrocopters, parachuting, ground -effect machines and balloons. C. Aircraft Maintenance:The repair, adjustment or inspection of aircraft. 1. Major Repairs— major alterations to the airframe, powerplant, propeller and accessories as defined in Part 43 of the Federal Aviation Regulations 2. Minor Repairs —normal, routine annual inspection with attendant maintenance, repair, calibration or adjustment or repair of aircraft and their accessories. D. Airport: The entirety of the Iowa City Municipal Airport. E. Building: The main portion of each structure, including all projections or extensions and my future additions or changes and shall include garages, outside platforms and docks, carports, canopies, eaves and porches. Paving, ground cover, fences, signs and landscaping shall not be included. F. Commercial Aeronautical Activity: Any commercial activity that relates to the operation of aircraft. Such activity includes, but is not limited to charter operations, pilot training, aircraft rental and sightseeing, aerial photography, crop dusting, aerial advertising and surveying, air taxi operations, aircraft sales and services, sale of aviation petroleum products, repair and maintenance of aircraft and the sale of aircraft parts. G. Entity: Person, firm, corporation or partnership H. Equipment: Any machinery, including supplies, tools and apparatus necessary to the proper conduct of the activity being performed. I. Exclusive Right: Federal Law expressly forbids the granting of an exclusive right to conduct a commercial aeronautical activity on an airport developed or improved with federal funds. J. Fixed Base Operator (FBO): An entity which maintains facilities at the Airport for the purpose of engaging in the retail sale of aviation fuels, or subcontracts to make provisions for rental, flight instruction and training, aircraft charter, aircraft airframe and engine repair, avionics sales, service and repairs. K. Improvnments:All buildings, structures and facilities including pavement, fencing, signs and landscaping constructed, installed or placed on, under or above any leased area by or with the concurrence of a lessee. Plans and specifications for all improvements must be approved in writing by the Commission for the conformity with its building and construction standards. L. Lease: A contractual agreement between the Commission and en entity granting a concession or otherwise authorizing the conduct of certain activities, which is in writing and enforceable by law. M. Repair Facility: A facility utilized for the repair of aircraft to include airframe, powerplant, propellers, radios, instruments and accessories. Such facility must meet FAA standards for a Repair Station. Service Operator or Operator: An entity that provides any one f the services listed in Section V.B through V.J, inclusive. O. Sublease: A lease granted by a lessee to any other entity of all or part of the property or business. P Tic Down: The area, paved or unpaved, suitable for parking and mooring of aircraft wherein suitable tie -down points have been located. APPLICATIONS A. CONTENTS OF APPLICATIONS 1. Applications to perform commercial aeronautical activities shall be in writing, filed with the Airport Manager, and shall include the following information: a. Name and Address b. Proposed date for commencement of operations C. Services to be offered d. Amount, size, location of land to be leased e. Description of buildings and improvements to be constructed or leased. f Number of aircraft to be employed g. Hours of operation h. Number and Types of Insurance coverage to be maintained I Evidence of financial responsibility from a bank or from such other source that may be readily verified through normal banking channels j. Evidence of financial capability to initiate operations and for the construction of buildings, improvements and appurtenances and the ability to provide working capital to carry on the contemplated operation, once initiated k. Business plan consisting of cash flow and a profit and loss projection for the first five years of operation together with a a market analysis supporting said projection. The market analysis will include a written statement addressing the following points: I definition of target market ii. intended market share iii. percent of intended sales related to aircraft based at Iowa City Municipal Airport, if applicable iv. number of people to be employed V. list of certification and licenses required V1. list of products to be sold or distributed, if my, and list of manufacturer or distributor's requirements for obtaining dealership vii. list of suppliers, subcontractors and associates as applicable 1. Statement of past experience in the specified aviation services proposed to be provided at the Airport together with a statement setting forth personnel to be used for the operations and experience data of said personnel. In. Non-refundable application fee established by the Commission and based on estimated cost to the Commission of processing the application. Applications of sublessees of a Fixed Base Operator's required service of Service Operators are exempt from submitting information in e, j & k. Upon receipt by the Airport Manager of an application complying with paragraph (A) above, the Commission shall determine if the application warrants a public hearing. Public hearings are required for any lease of more than three years. Should the Commission determine a public hearing is warranted, paragraphs 2, 3 and 4 of this section apply. 2. Publication of the notice for a public hearing shall be no less than four (4) days before and no more than twenty (20) days before the hearing in anewspaper of general circulation in Johnson County. 3. No public hearing shall be held unless the applicant or a duly appointed representative is present. 4. At the time of the public hearing, the Commission shall hear all evidence for and against the application. After due deliberation the Commission shall reader a written decision upon the application, which shall become a matter of public record. The following standards have been developed after consideration of the above elements with special attention to their applicability at the Airport. The standards set forth are applicable to the specific commercial aeronautical activities addressed and must be met by an applicant desiring to conduct such activities at the Airport. 2. The standards listed are the minimum which the Commission will require in agreements authorizing commercial activities and unless specifically limited, do not preclude applicants from seeking greater operating authority. 3. Prior to execution of an Agreement with the Commission, the prospective operator shall post a security deposit in an amount as set by the Commission. The security deposit shall be kept in force for the duration of the Agreement. The Commission shall retain any interest earned on security deposits invested by the commission for three years. Interest is retained as an administrative fee. 4. Maintenance Building maintenance, performed by the Airport Commission, will be negotiated with the tenant for each individual building. 5. Insurance a. The operator shall procure and maintain insurance of the types and the minimum limits set forth in the Schedule of Minimum Operating Standards for the respective categories of aeronautical services (See Appendix 1). The insurance company writing the required policy or policies shall be licensed to do business in the State of Iowa. b. All insurance which the operator is required to carry and keep in force shall include the City of Iowa City and the Iowa City Airport Commission as additional named insured. The operator shall furnish evidence of his compliance with this requirement to the Commission with proper certification that such insurance is in force and will furnish additional certification as evidence of changes in insurance not less than 10 days prior to any such change, if the change results in a reduction. In the event of cancellation of coverages, the underwriter shall convey 30 days prior notification to the Commission. C. The applicable insurance coverages shall be in force during the period of any construction of the operator's facilities and/or prior to entry upon the Airport for the conduct of doing business. d. The operator will be responsible for my damages arising from the negligent activity of it's officers, employees or agents acting within the scope of their employment, in the exercise of the rights or in the performance of the obligations of these minimum standards. Motor Vehicles on the Airport a. The operator will control the transportation of pilots and passengers of transient general aviation aircraft to and from the operator's office to the operator's apron tie -down areas. The operator performing this service with motor vehicles driven on the airport ramp / taxiway system shall do so only in accordance with Airport rules and regulations, as stated in the Iowa City Code of Ordinances. The operator shall procure and maintain for any of its motor vehicles that are operated on the Airport, proper motor vehicle liability insurance. Aircraft Leaseback, Sublease, or other Aircraft Operating Agreements. All aircraft leases, leasebacks, subleases or other aircraft operating agreements involving commercial activity between an aircraft owner/ operator and other partes operating at the Airport shall conform to the standards stipulated in sections IV and V, for the respective aeronautical activities being performed under the agreement. b. A copy of all such agreements shall be provided to the Commission upon the execution of the agreements. Fees All aircraft leases, leasebacks, subleases or other aircraft operating agreements involving commercial aircraft activity at or from the Airport shall include the following "This agreement shall not violate the Minimum Standards for Commercial Aeronautical Activities as set by the Iowa City Municipal Airport nor shall this instrument be used for the purpose of evading Iowa City Municipal Airport Rules and Regulations." The operator shall pay the standard fees as specified in appendix 2 by the Commission. Such fees shall be specifically included in the Agreement executed with the Commission. b. Any concession activity conducted on the leased premises shall also be subject to the standard rates and charges set by the Commission in appendix 2. SPECIFIC REQUIREMENTS Prior to the commencement of operations, the operator will be required to enter into a written agreement with the Airport Commission. The agreement shall city the terms and conditions under which he will operate his business on the Airport, including, but not limited to, the rentals, fees, charges, and the rights and obligations of the respective partes. Such agreement provisions, however, will neither change, modify, nor be inconsistent with the Minimum Standards. Facilities — For construction of any new facilities, the operator will be subject to the same standards of development as are contained in the Airport MasterPlan, and Design and Development Guidelines. A. FIXED BASE OPERATOR (FBO) 1. General: A Fixed Base Operator (FBO) is an entity that maintains major facilities at the Airport for the purpose of conducting: a. Retail sale of aviation fuels and associated line service b. Flight instruction C. Aircraft rental d. Aircraft charter e. Aircraft airframe and engine repair f Other aviation related services, with priorwritten approval from the Commission Minimum Standards for services provided: a. Ground Space and Improvements I The minimum ground space to be leased for new FBO site construction shall be 20,000 square feet. ii. The principal buildings used by the FBO shall have space for crew, passengers lounge, public restrooms, sales / rental administration, aircraft charter and flight instruction and training activities. iii. Paved tie -down facilities shall be provided iv. A hangar with a minimum of 3,600 square feet of floor space shall be provided within which aircraft airframe and engine repair activities, avionics, instrument and/or propeller repair, if proposed, will be performed. Suitable inside and outside storage space for aircraft before and after maintenance shall be provided. Scope of service for services provided: Fueling I The FBO shall lease fuel storage space from the fuel tanks provided by the Commission, unless other terms are negotiated with the Commission. The FBO shall be responsible for the purchase of their own fuel and accurate monthly reporting of the fuel flowage to the airport manager. ii. Fueling line services shall be provided by the FBO seven days a week, from sunrise to sunset. a. Provide fuel dispensing equipment capable of safe and efficient servicing of all types of general aviation aircraft b. Dispensing equipment shall have a double filtering system for water and contaminates and ameter with printing capabilities. C. Mobile refrelers shall have a minimum dispensing capacity of 350 gallons for each grade of fuel. Separate dispensing pumps for each grade of fuel are required. The Iowa City Airport will collect a flowage fee and fuel farm infrastructure lease fee. Flowage fee will be set and re-evaluated by the Commission in accordance to the written agreements of those utilizing the Commission owned fuel tanks. iv. FBO shall maintain current fuel reports on file and available for auditing at any time by the airport manager or designated representative. b. Line Services I Provide adequate fie -down facilities and equipment, including ropes, chains, and other types of restraining devices and wheel chocks. ii. Provide adequate loading, unloading and towing equipment to safely and efficiently move aircraft as necessary. iii. Provide proper equipment for repairing and inflating aircraft fires, servicing oleo struts, changing oil, washing aircraft and aircraft windows, and recharging or energizing discharged aircraft batteries and starters. iv. Provide conveniently located, heated and air conditioned lourte or waiting rooms for passengers and crews that will be maintained in a clean and sanitary manner. At least on telephone will be provided for public use. C. Aircraft Airframe and Engine Repair I See Section V.B for specific requirements d. Aircraft Charter and Air Taxi I See section VX) for specific requirements h. Avionics, Instrument or Propeller Repair I See section V.0 for specific requirements Insurance Coverage Operator shall provide certificates of cuunc t insurance coverages in the amounts as set by the Commission. Miscellaneous Requirements a. Rates and charges for areas order control of the FBO, including aircraft parking, fie -down and storage, shall be subject to written approval of the Commission. All rates and charges shall be reasonable and be equally and fairly applied to all users of its services. All rates and charges will be filed with the Airport Manager. b. All sublease agreements must receive prior written approval of the Commission. B. ADLFRAME AND POWERPLAN REPAIR General Iowa City Municipal Airport Minimum Standards Page 11 of20 Airport Commission Agenda & Info Packet Meeting Date: April 18, 2019 Page 30 of 46 An Airframe and Powerplant Repair Facility Operator is an entity qualified to provide one or a combination of airframe and powerplant repair services. This category of service will also include the sale of aircraft parts and accessories. Minimum Standards a. Ground Space and Improvements: Operator shall lease from the Commission a hangar or an area of land on which to erect a building or sublease from an FBO with approval of the Commission to provide: I Sufficient hangar space for airframe and powerplant repair services. ii. Adequate floor space for office, customer lounge and rmtrooms that shall be properly heated and lighted and provided with telephone facilities for customer use. b. If not already provided, Operator shall provide a paved aircraft apron to accommodate aircraft movement from its facility to the Airport's taxiway system. Scope of Service a. Operator shall provide trained personnel in such numbers as are required to meet the minimum standards set forth in this category but never less than one person cumently certificated by the Federal Aviation Administration with ratings appropriate to the work being performed and who hold airframe, powerplant or aircraft inspector ratings. b. Operator shall provide suitable tractors, tow bars, jacks, dollies, and other equipment, supplies and parts required to provide professional service. Insurance Coverage Operator shall provide certificates of insurance providing the coverages in the amounts as set by the Commission. AVIONICS, INSTRUMENT AND General An Avionics, Instrument and Propeller Repair Facility Operator is an entity engaged in the business of and providing a facility for the repair of aircraft radios and electrical systems, instruments, propellers and other accessories for aircraft. This category includes the sale of aircraft parts and accessories of the type repaired. Minimum Standards a. Ground Space and Improvements I Operator shall lease from the Commission a hangar or an area of land on which shall be erected a building (or sublease from an 173O with approval of the Commission) to provide: 1. Sufficient floor space to store two (2) aircraft 2. Adequate floor space for office, shop, customer lounge, rmtrooms, all properly heated and lighted, and telephone facilities for customer use. ii. If not already provided, Operator shall provide a paved aircraft apron to accommodate movement of aircraft from its facility to the taxiway complex. Scope of Service a. Operator shall provide trained personnel in such numbers as are required to meet the minimum standards set forth in this category but never less than one person cumently certificated by the Federal Aviation Administration with ratings appropriate to the work being performed. b. Operator shall provide suitable tractors, tow bars, jacks, dollies, and other equipment, supplies and parts required to provide professional service. Insurance Coverage Operator shall provide certificates of insurance providing the coverages in the amounts as set by the Commission. D. AIRCRAFT CHARTER AND AIR TAXI General An Aircraft Charter and Air Taxi Operator is an entity engaged in the business of providing air transportation under FAR Part 135 for persons or property to the general public for hire, either on a commercial charter basis or as an air taxi operator. Minimum Standards a. Scope of Service I Operator shall have available for charter FAA Part 135 certified aircraft, all which must meet the requirements of the Air Taxi Commercial Certificate held by the operator. Operator shall have and provide evidence of aFAR Part 135 certificate. Insurance Coverage Operator shall provide certificates of insurance providing the coverages in amounts as set by the Commission. E. AIRCRAFT RENTAL 1. General An Aircraft Rental Operator is an entity engaged in the rental of aircraft to the public. 2. Minimum Standards a. Ground Space and Improvements 1. Operator shall lease from the Commission a hangar or an area of land on which will be erected a building (or sublease from an FBO with approval of the Commission) suitably provided to accommodate the public. ii. Provide suitable public counter space for the transaction of rental business iii. Operator shall provide hangar space or lease a paved tie -down area with adequate facilities to park aircraft, with paved access to taxiways. b. Scope of Service 1. Operator shall have available for rental, either owned or under written lease to operator, (a copy of such lease shall be provided to the Commission) at least two aircraft, at least one being a four -place singe engine aircraft, based in Iowa City. The four place aircraft shall be capable of flight under instrument conditions. ii. Operator shall have in its employ trained personnel in such numbers as are required to meet the minimum standards in an efficient manner but never less than one person have a current flight instructor rating, current in all models offered for rental. iii. Rental aircraft shall be in airworthiness condition at the time of rental and have all inspection information and certificates available. Aircraft shall meet all FAA requirements for rental. iv. Maintain current, up-to-date specifications, checklists, and operations manuals for all types of model aircraft rented. 3. Insurance Coverage Operator shall provide certificates of insurance providing the coverages in amounts as set by the Commission. F. AIRCRAFT SALES 1. The principal buildings used by the operator shall have space allocated and utilized for sales administration, rostrums for employees and public. b. Scope of Service 1. Operator shall provide, or have available on call, sufficient aircraft of each model offered for sale, for the purpose of demonstration. ii. Operator shall employ, or have available on call, a sufficient number of pilots with instrument and instructor ratings, curreut in all models to be demonstrated. iii. If involved in new aircraft sales, provide a sales or distributorship franchise from a recognized aircraft manufacturer and maintain one demonstration model of such aircraft. iv. Maintain curreut, up-to-date specifications, price lists, checklists, and operations manuals for all types of model aircraft sold. 3. Insurance Coverage Operator shall provide certificates of insurance providing the coverages and in the amounts as set by the Commission. G. FLIGHT INSTRUCTION 1. Geral A Flight Training Facility Operator is an eutity ®gaged in instructing pilots in dual and solo flight training, in fixed or rotary wing aircraft, and provides such related ground school instruction as is necessary preparation for taking a written examination and flight check for the category or categories o pilot's license and rating involved. 2. Minimum Standards a. Ground Space and Improvem®ts 1. Provide, at a minimum, an office, classroom, and briefing room space required by FAR Part 141, with adequate mockups, pictures, slides, filmstrips and other visual aids to support flighttrainingactivity. b. Scope of Services 1. An Operator of fixed -wing flight instruction shall have available for use in flight instruction, either owned or under written lease to lessee, certificated and currently airworthy aircraft, to include a minimum of two fixed -wing, single-®gine type aircraft. One aircraft shall be equipped and capable for use in instrument flight instruction. Operator will have in its employ sufficient flight and ground instructors who meet the standards expressed under the FAA FARs as certified flight or ground instructor. iii. Maintain the premises open for light training a minimum of five hours daily and additionally available to meet the public demand for this service. C. Insurance Coverage Operator shall provide certificates of insurance providing the coverages and in the amounts as set by the Commission H. CONIMERCIAL FLYING CLUB 1. General A Cornmercial Flying Club is an entity engaged in the ownership and/or lease of aircraft and providing flying services for its members but which does not meet the rigid requirements established for aempt Flying Clubs established in Section V.(K). 2. Minimum Standards a. Ground Space and Improvements 1. Operator shall lease from the Commission a hangar or an area of land on which will be erected a building (or sublease from an FBO with approval of the Commission) with accommodations for members and visitors. ii. Operator shall provide hangar space or lease a paved area with tie -down facilities to park aircraft with paved access to taxiways. b. Scope of Service 1. Operator shall have available for use in its services, either owned or under written lease to Operator, certificated and currently airworthy aircraft. ii. If Operator conducts flight training, it shall have in its employ or as members sufficient flight instructors who have been properly certificated by the FAA and shall meet the requirements of Section G. iii. Operator shall have its premises open and services available to meet the demand of its members. C. Insurance Coverage Operator shall provide certificates of insurance providing the coverages and in the amounts as set by the Commission. SPECIALIZED COMMERCIAL AERONAUTICAL ACTIVITIES 1. General A Specialized Commercial Aeronautical Activity is an entity engaged in aircraft support service or in air transportation for hire for the purpose of providing the use of aircraft for the activities listed below: a. Non-stop sigbtseeing flights b. Aerial photography or survey C. Fire fighting d. Operators providing services involving eFop 4444Rg, amal app4satiaB, aircraft painting or other commercial use of chemicals, shall provide a c®trally drained, paved area of sufficient size to facilitate aircraft. Operator shall also provide for the safe storage and containment of hazardous chemical materials. Such storage facilities shall be in a location on the Airport designated by the Commission, which will provide the greatest safeguard to the public. in. Any painting operations shall be done in facilities meeting EPA and OSHA requirements. iv. The principal buildings used by the operator shall have space allocated and utilized for staff, public, restrooms, and administration. b. Scope of Service 1. When required by the nature of its operation, operator shall provide and have based on its leasebold, either owned or under written lease to lessee, at least one aircraft which will be airworthy, meeting all FAA requirements with applicable regulations of the State of Iowa with respect to the type of activity to be performed. ii. Operator shall provide by means of an office or a telephone, a point of contract for the public desiring to utilize the lessee's services. iii. Operator shall have and provide evidence of all proper FAA certificates required for the activity. C. For the reasons stated below, my last day as a Commissioner will be May 31, 2019. I have accepted an associate attorney position in Des Moines, and will not reside in Iowa City beginning May 31, 2019. Under Iowa Code § 330.20 and Iowa City Code § 13-1-2, a member of the Iowa City Airport Commission must be a resident of Iowa City. As I will be unable to satisfy this requirement after May 31, 2019, I hereby announce my resignation. I want to thank the Airport Commission, staff, and the city attorneys who help represent the airport and the city of Iowa City.
