DETERMINE QUORUM
A quorum was determined at 6:01 pm and Pfohl called the meeting to order.
APPROVAL OF MINUTES
Bishop moved to accept the minutes of August 8, 2022 and August 11, 2022, seconded by Clair.
Motion carried 3-0 (Orozco, Lawrence absent)
PUBLIC COMMENT
Dan Lopatka addressed the Commission regarding the viewing area platform. He stated he was
a contractor that had originally bid the on the project and had sent some previous emails to the
Airport Manager. Lopatka stated that he believed the Airport Commission should re -stain the
deck to help preserve the structure.
ITEMS FOR DISCUSSION / ACTION
a. Hangar A Mural project — Tharp stated he and Judy had a few meetings over the
last week and he want to propose a change of schedule for the process. Tharp
stated that as they were preparing for the fundraising kickoff he was having a hard
time developing a plan for those communication. He stated that they wanted to
change the schedule and work with Wendy Ford to get the RFQ out and get an artist
on board to the point of getting a concept set. Then they could use that concept as
a part of the fundraising. Tharp also stated that in an effort to speed up the process
and keep the timeline for final work unchanged, he was asking the Commission to
empower the mural subcommittee to approve the RFQ. Members discussed the
project. Bishop moved to allow the subcommittee to approve the RFQ
document for release, seconded by Clair. Motion carried 3-0 (Orozco,
Lawrence absent)
b. Airport Construction Projects:
i. FAA grant projects
1. Runway 7/25 Rehab East End —Tharp noted that this project was
complete

2. Runway 25 Threshold Relocation — Tharp stated they were just
waiting for the contractor to provide an update schedule for the final
work and that they were still expecting to be underway October 3rd
ii. Iowa DOT grant projects
1. South T-hangar infrastructure — Tharp stated that he was
expecting the contractor to take advantage of the extended time for
completion and that this was going to Spring project. Clair asked
Byers if he had seen any issues with delays of supplies. Byers
noted that surprisingly they had seen some issues with getting
cement on some projects.
2. FY23 Iowa DOT Grants — Tharp stated he did not have the grants
in hand yet, but asked the Commission to approve a resolution
authorizing the Chairperson to sign the grants.
a. Consider a resolution authorizing Chair to sign and
accept FY23 Iowa DOT grants #A22-24 — Bishop moved
the resolution, seconded by Clair. Motion carried 3-0
(Orozco, Lawrence absent)
iii. Airport/Locally Funded Projects
1. Parking Lot Additions — Tharp stated they received bids from the
parking lot structure and they came in about as expected. Tharp
stated they low bid was $72,577 by All American Concrete, which
was the same contractor that had won the taxilane bid.
a. Consider a resolution accepting bids and awarding
project #A22-25 — Clair moved the resolution, seconded
by Bishop. Motion carried 3-0 (Orozco, Lawrence
absent)
iv. Future Projects
1. Terminal Area Study — Tharp noted that he was going to talk about
these projects a little bit at the same time. Tharp stated that he had
spoken with the FAA representatives at the Kansas City conference
and they were supportive of the projects. He stated that the bad
news was that they had to go through and engineering services
RFQ for consultants and that would delay the plans a bit. He stated
that they could do the RFQ with both of these projects to help the
process.
2. Solar Power/Panel — Tharp noted that the RFQ process would
run similar to how the RFQ has ran in the in the past. Clair
asked what the process was for the projects. Tharp noted that
next step was to write the RFQ for review/approval. He stated
he was hoping to get that done so it could be on the agenda
for the meeting next month.
c. Airport "Operations"
i. Management
1. Airport Manager Job Description — Pfohl stated the new job
description was in the packet. Tharp stated that while he had been
involved with the update, it was important that the Commission be
looking at the description as being what they expected the Airport
Manager to be fulfilling. Tharp stated that there was one other point

of discussion and that was with whether to require or keep listed "as
preferred" a commercial driver's license (CDL) or not. Tharp noted
that the airport does own a piece of equipment that requires a CDL
to be driven offsite. He stated that typically Jet Air has employees
that also have their CDL and when needed they've been utilized to
transport equipment or take it to refuel. When that hasn't been
option they've been able to work with the equipment shop to have
someone from their collect the equipment. Members decided by
consensus to have it remained a preferred item. Members asked
about some of the acronyms, Tharp stated that they would spell out
the acronyms. Pfohl asked if the members agreed with the edits if
they would adopt the description for submittal to HR. Pfohl asked
about the process of changing pay. Tharp stated that he would
make the necessary edits to the description and the Commission
would need to have further discussions approval regarding the pay
grade if they would ask HR to do a pay grade review. Clair moved
to adopt the job description with the discussed edits,
seconded by Bishop. Motion carried 3-0 (Orozco, Lawrence
absent)
2. Strategic Plan — Tharp stated he, Judy, and Hellecktra had met with
Regenia Bailey to discuss the next strategic plan and that she had
given them a proposal to review. Tharp noted that the timeline was
essentially December to March for the work. Tharp noted that the
proposal was due to just under $12,000. Bishop asked about
number of meetings and if that was going to be sufficient for the
plan. Tharp noted that the last time they did this they had 4 with one
dedicated to the vision and mission statements. He stated this time
around unless the Commission wanted to do a deep review of those,
that 3 meeting should be sufficient for the work. Tharp noted he
would prepare an approval resolution for the next meeting.
ii. Budget — Tharp noted that he had taken the emails with Dan from earlier
under advisement and work with the Jet Air staff so that they were planning
on staining the deck during the runway painting work when the airport would
be slow. Tharp noted that he was replacing a couple of windows in the
terminal building as the seals were failing and they were getting
condensation within the panes. Bishop noted the flight instructors office in
the morning was getting a large amount of glare. Tharp stated that he had
talked with Andrew about blinds in a couple of areas and he would talk to
him to confirm they're getting done.
1. Consider a resolution approving lease for hangar #31 — Tharp
stated both of these leases are for similar space and that these are
for 3 year terms for equal rates. Bishop moved to approve the
resolution (A22-26), seconded by Clair. Motion carried 3-0
(Orozco, Lawrence absent)
2. Consider a resolution approving lease for hangar #33 Clair
moved the resolution A22-27, seconded by Bishop. Motion
carried 3-0 (Orozco, Lawrence absent)
iii. Events Tharp stated that this was the end of the year for events and the
breakfast went well given the weather conditions. Tharp stated when he had

talked with some of the organization members they had served around 1500
breakfasts and were really happy with the event.

d. FBO / Flight Training Reports —
i. Jet Air — Tharp noted that Matt was over in Galesburg assisting with the
Stearman fly -in. He stated the monthly maintenance report was in the
packet.
e. Commission Members' Reports - none
f. Staff Reported — Tharp reported the passing of Chuck McDonald. He stated that
Chuck was the long time Executive Director of the Iowa Aviation Promotion Group,
and that he was instrumental in bringing Fly Iowa to the Airport both times Iowa City
had hosted it.

Resolution number:
Resolution authorizing Consultant Agreement with Bailey Leadership
Initiative, LLC for services related to FY2023-FY2028 Strategic Plan.
Whereas, The Iowa City Airport Commission has previously completed a strategic plan
to guide short term airport operations.
Whereas, the strategic plan has been beneficial to the Iowa City Airport, and the
Commission desires to update the strategic plan for the next five fiscal years.
Whereas, Bailey Leadership Initiative, LLC has provided a proposal for professional and
consulting services to facilitate the development of a 5-Year Strategic Plan at a total cost
of $11,950.00.
Whereas, the Commission has reviewed the proposal and finds it appropriate to
proceed.
Now, therefore, be it resolved by the Iowa City Airport Commission:
1. The Chairperson is hereby authorized to sign a Consultant Agreement with
Bailey Leadership, LLC for services related to the FY2023-FY2028 Strategic Plan
as outlined in the proposal for a total cost of $11,950.00 upon approval of
counsel.

CONSULTANT AGREEMENT
THIS AGREEMENT, made and entered into this day of
by and between the Iowa City Airport Commission, hereinafter referred to as
the Commission and Bailey Leadership Initiative, of Iowa City, Iowa, hereinafter referred to as the
Consultant.
5-Year Strategic Plan for the Iowa City Municipal Airport
NOW THEREFORE, it is agreed by and between the parties hereto that the Commission does
now contract with the Consultant to provide services as set forth herein.
SCOPE OF SERVICES
Consultant agrees to perform the following services for the Commission, and to do so in a timely
and satisfactory manner.
Project Deliverables
• A five-year strategic plan that includes major project goals and objectives for the Ail -port.
• An adopted strategic plan document in a format suitable for electronic and physical
distribution_
The strategic plan document will include:
• An executive summary.
• Background information.
• An overview of the strategic planning process.
• Goals and strategies.
• Survey information, including a summary of the survey results.

d• A brief electronic survey of the Airport Commission and Airport staff to:
• gather input regarding the Iowa City Municipal Airport's Strengths, Weaknesses,

Airport Commission Planning Sessions

the first hour of their regularly scheduled Commission meetings.

Airport operates and a summary review of the information gathered from the surveys and
interviews.
• During the second session, the Commission wil I review the Airport's Vision and
Mission Statements and discuss goals for the Airport's future.
• In the third session, the Commission will identify priorities, develop major goals and
objectives, and identify measures to evaluate the achievement of the goals.

Tf the Commission determines that attendance at the December meeting will be down due to yea rend

II. TIME OF COMPLETION
The Consultant shall complete the following phases of the Project in accordance with the
schedule shown.
The proposed completion date for this project is June 16, 2023. This timeline is structured to
combine strategic planning sessions with the Airport Commission's regularly scheduled
Commission meetings.
III. COMPENSATION FOR SERVICES
The total cost for this project as proposed is eleven thousand, nine hundred and fifty dollars($11,950).
As projected, the Information Gathering Phase accounts for thirty-eight percent of the
projectes time and activities; the Meeting Phase will entail thirty-four percent of the project's time
and activities, and the Review and Finalization Phase represents twenty-eight percent of the
project.

IV General Terms

A. The Consultant shall not commit any of the following employment practices and
agrees to prohibit the following practices in any subcontracts.
To discharge or refuse to hire any individual because of their race, color,
religion, sex, national origin, disability, age, marital status, gender identity,
or sexual orientation.
2. To discriminate against any individual in terms, conditions, or privileges of
employment because of their race, color, religion, sex, national origin,
disability, age, marital status, gender identity, or sexual orientation.
B. Should the Commission terminate this Agreement, the Consultant shall be paid for
all work and services performed up to the time of termination. However, such
sums shall not be greater than the "lump sum" amount listed in Section III. The
Commission may terminate this Agreement upon seven (7) calendar days' written
notice to the Consultant.

C. This Agreement shall be binding upon the successors and assigns of the parties
hereto, provided that no assignment shall be without the written consent of all
Parties to said Agreement.
D. It is understood and agreed that the retention of the Consultant by the Commission
for the purpose of the Project shall be as an independent contractor and shall be
exclusive, but the Consultant shall have the right to employ such assistance as
may be required for the performance of the Project.
E. It is agreed by the Commission that all records and files pertaining to information
needed by the Consultant for the project shall be available by the Airport Manager
upon reasonable request to the Consultant. The Commission agrees to furnish all
reasonable assistance in the use of these records and files.
F. It is further agreed that no Party to this Agreement shall perform contrary to any
state, federal, or local law or any of the ordinances of the City of Iowa City, Iowa.
G. At the request of the Commission, the Consultant shall attend meetings of the
Commission relative to the work set forth in this Agreement. Any requests made
by the Commission shall be given with reasonable notice to the Consultant to
assure attendance.
H. The Consultant agrees to furnish, upon termination of this Agreement and upon
demand by the Commission, copies of all basic notes and sketches, charts,
computations, and any other data prepared or obtained by the Consultant pursuant
to this Agreement without cost, and without restrictions or limitation as to the use
relative to specific projects covered under this Agreement. In such event, the
Consultant shall not be liable for the Commision's use of such documents on other
projects.
I. Reserved.
J. The Commission agrees to tender the Consultant all fees in a timely manner,
excepting, however, that failure of the Consultant to satisfactorily perform in
accordance with this Agreement shall constitute grounds for the Commission to
withhold payment of the amount sufficient to properly complete the Project in
accordance with this Agreement.
K. Should any section of this Agreement be found invalid, it is agreed that the
remaining portion shall be deemed severable from the invalid portion and continue
in full force and effect.
L. Original contract drawings shall become the property of the Commission. The
Consultant shall be allowed to keep reproducible copies for the Consultant's own
filing use.
M. Reserved
N. Upon signing this Agreement, Consultant acknowledges that Section 362.5 of the
Iowa Code prohibits a Commission member, City officer, or employee from having
an interest in a contract with the Iowa City Airport, and certifies that no
Commission member, City officer, or employee , which includes members of the
City Council and City boards and commissions, has an interest, either direct or

indirect, in this Agreement, that does not fall within the exceptions to said statutory
provision enumerated in Section 362.5.
O. Indemnification.
To the full extent permitted by law, Consultant agrees to defend,
indemnify, and hold harmless the Commission against any and all claims,
demands, suits, loss, expenses, including attorney's fees, and for any
damages which may be asserted, claimed or recovered against or from
the Commission by reason of personal injury, including bodily injury or
death, and property damages, including loss of use thereof, caused by
Consultant's negligent acts, errors or omissions in performing the work
and/or services provided by Consultant to the Commission pursuant to
the provisions of this Agreement.
2. Consultant assumes full responsibility for any and all damage or injuries
which may result to any person or property by reason of Consultant's
negligent acts, errors or omissions in connection with the work and/or
services provided by Consultant to the Commission pursuant to this
Agreement, and agrees to pay the Commission for all damages caused to
the Commission's premises resulting from the negligent acts, errors or
omissions of Consultant.
3. The Consultant's obligation to indemnify the Commission shall not include
the obligation to indemnify, hold harmless, or defend the Commission
against lability, claims, damages, losses, or expenses, including attorney
fees, to the extent caused by or resulting from the negligent act, error, or
omission of the Commission.
4. For purposes of this paragraph, the term "Consultant" means and
includes the Consultant, its officers, agents, employees, sub -consultants,
and others for whom Consultant is legally liable, and the term
"Commission" means and includes the Iowa City Airport, its Commission
members and employee, and the City of Iowa City, Iowa its Mayor, City
Council members, employees, and volunteers.
P. Insurance
The Consultant agrees at all times material to this Agreement to have and
maintain professional liability insurance covering the Consultant's liability
for the Consultant's negligent acts, errors and omissions in the sum of
$1,000,000 Per Claim, $1,000,000 Annual Aggregate, or a $1,000,000
Combined Single Limit. To the fullest extent permitted by applicable state
law, a Waiver of Subrogation Clause (endorsement) shall be added.
2. Consultant agrees to provide the Commission a certificate of insurance
evidencing that all coverages, limits and endorsements required herein are
maintained and in full force and effect, and certificates of Insurance shall
provide a minimum thirty (30) day endeavor to notify, when available by
Consultant's insurer. If the Consultant receives a non -renewal or
cancellation notice from an insurance carrier affording coverage required
herein, or receives notice that coverage no longer complies with the

insurance requirements herein, Consultant agrees to notify the
Commission within five (5) business days with a copy of the non -renewal or
cancellation notice.
Q. Standard of Care.
The Consultant shall perform services for, and furnish deliverables to, the
Commission pertaining to the Project as set forth in this Agreement. The
Consultant shall possess a degree of learning, care and skill ordinarily
possessed by reputable professionals, practicing in this area under
similar circumstances The Consultant shall use reasonable diligence and
professional judgment in the exercise of skill and application of learning.
2. Consultant represents that the Services and all its components shall be
free of defects caused by negligence; shall be performed in a manner
consistent with the standard of care of other professional service
providers in a similar Industry and application; shall conform to the
requirements of this Agreement; and shall be sufficient and suitable for
the purposes expressed in this Agreement.
3. Reserved
4. Consultant's obligations under this Section shall exist without regard to,
and shall not be construed to be waived by, the availability or
unavailability of any insurance, either of Commission or Consultant.
R. There are no other considerations or monies contingent upon or resulting from the
execution of this Agreement, it is the entire Agreement, and no other monies or

Airports included in the National Plan of Integrated Airports (NPIAS) are eligible to apply for federal Airport
Improvement Program (AIP) funds. General aviation and small commercial service airports are required to
submit preapplications for federal AIP funding through the Iowa Department of Transportation's Modal
Transportation Bureau - Aviation, including projects funded with nonprimary entitlement funds.

Preapplication Instructions
Federal Fiscal Year 2024
To be considered for federal AIP funds for FFY 2024, the following requirements must be met:
1. The proposed project must be shown on a current Airport Layout Plan (ALP) that has been approved
by the FAA.
2. The project must be reasonable, justified, necessary and eligible for federal participation. Provide
necessary justification with the application. Each major work item must be on a separate CIP data
sheet signed by the sponsor and dated. The CIP data sheet should include adequate justification and

3. The FAA must have made an environmental determination on the proposed project.
4. In order for a land acquisition reimbursement project to be considered for funding, the land must be
acquired or a purchase agreement must already be negotiated.
5. The sponsor must have the necessary 10% matching share available. The FAA considers the first two
years of the CIP as work the sponsor is committed to accomplishing should funding become available.
To assure that the limited AIP funds are used during the fiscal year obligated, the FAA has adopted the
policy that actual grants must be based upon bids and submitted by April 1 of the year programmed.
6. The sponsor must be willing to sign the grant assurances required for airport funding.

Re: FY2024 Budget Proposal
The Budget Subcommittee met on Monday October 10th and discussed the FY2024 Operations
Budget as well as the FY2023-2027 CIP Program.
As part of the budget discussions the subcommittee has set aside funds for possible use to fund
the pay grade change recommendation that's previously been discussed as part of the job
description changes.
The budget proposal presents an operations budget with the following revenue and expense
projections
Revenue: $404,197.00
Expenses (before proposed payroll change): $390,823
Surplus: $13,374
The subcommittee also discussed possible options for the payroll change. The Commission
submitted the job description for review and scoring and the description was assessed to be
equivalent with pay grade 27.
The subcommittee is recommending the Airport Manager position be placed in pay grade 27.
The subcommittee is also recommending that given the current position is filled, the current step
for Airport Manager Michael Tharp be set step 4 effective as soon as practical.
The budget impact of this change is approximately $3000 for FY23, the current budget year,
and $6000 for FY2024
This would leave the Airport Commission with approximately $7300 of budget surplus for FY24.
